INITIATING PflOBLEM, ISSUE, OPPORTUNITV (Who, Whet, When. Where. Why):
The U of M Theater Department needs to perform while their Showboat is being restored (it
will be tied up at Harriet Island in the future). The City through a lease with the River-
front Corp. has a Big Top tent, staging, seating, some sound equipment available for this
purpose. The U of M Theater will be performing in the tent from June 14 - July 19, 1996.
The tent will also be available for community group use. The City and the University agree
to indemnify and hold each other harmless under the terms of this agreement.
ADVANTAGESIFAPPROVED'
1. The tent and University Theater Department will be an attraction on the River.
2. This will establish the U of M presence in St. Paul for the future when the Showboat
opens up.
3. This will be a cultural and recreational opportunity for our residents and will
attract visitors to St. Paul.
DISADVANTAGES IFAPPROVED.
None
It should be noted under a separate agreement the Riverfront Corporation has agreed to be
responsible for the City's cost in connection with the erection, security and operation of
the tent.

LEASE AGREEMENT
7HIS LEASE AGREEMENT (`7ease'� is made this _ day of ,1996, by and between
the City of St. Paul ("the Cit}� and the Regents of the University of Minnesota for the
Department of Theatre Aris and Dance (°U of M")
WITNESSETH:
WHEREAS, St. Paui is the lessor of the venue known as the Harriet island Tent,
bcated on Harriet Isiand, within the city of Saint Paul; and
WHEREAS, the City is interested in hosting the University Theatre DepartmenYs
production of "The Matchmake�'; and
WHEREAS, University Theatre Department desires to provide said same productan
for the pubiic,
NOW THEREFORE, in consideration of the above premises and for good and
valuabie consideration, the receipt and sufficiency of which are hereby acknowiedged, the
parties agree to this partnership. The parties also agree as foibws:
1. Definitions
(a) Premises: That portion of Harriet Island, as designated on F�chibit A
attached to the lease hereto and hereby made a part of the agreement.
(b) Term: The periods commencing on June 10 and ending on July 19, 1996
(breakdown of times within the period found herein)
(c) Base Rertt: $1 for consideration
2. Use. U of M shall use the premises to prepare for and offer 41 performances of
"The Matchmake�' in accordance to the Site Plan (Exhibit B) attached to the lease.

June 9; (limited aftemoon access on June 9;)
June 10 - 13, 8am - 11 pm Load-in show and rehearse
June 14 - July 19

3. Obl'igations ot the Citv. Cdy agrees that it shall offer the Premises at its c:ost for use in
accorclance with the approved Site Plan, and maintain the same, including, without limitation:
(a) all items fisted under the lease;
(b) a tent with seating capaciry of 1,000 with adjustment to 275 for U of M
pertormances;
(c) a ticket booth with at least one hard wired phone line;
(cn an air conditioned trailer to be used as dressing rooms with an adddional locked
area;

(e) Reserve parking next to the tent for c'dy/U of M staff vehicles, up to three spaces.
(f) provide space for signage conceming the U of M production and space in the
exhibit area ai the rear of the teM for information about the U of M Showboat
capdal renovation campaign as weii as space for sales of Showboat and City
souvenirs.
(g) provide technical equipment as listed in attached, 6chibit C. Any equipment
used which is not found on the list is the sole responsibility of the U of M and shall
be negotiated separatety; and
(h) provide for food and beverage concessionaires during the U of M
performances under agreement listed herein.
(i) provide and pay for on-sde security to protect the tent, iis contents, and all
equipment and supplies related to the U of M production for the duration of said
production.
4. Obligations of U of M. U of M agrees that is shall, at its sole cost and expense:
(a) comply with all United States, State of Minnesota arxl City of Saint Paul laws,
ordinances, and regulations applicabie to the Premises and the occupancy thereof,
and use all reasonable efforts to cause Bs agents, employees, contractors,
licensees and invitees (whi4e such invitees are on the Premises) to do the same and
will observe such reasonable rules and regulations as from iime to time may be put
in effect by the Cdy , to the extent the same do not conflict with U of M's rights
under this agreement;
(b) provide personnei as needed to offer the show to the public i.e. ticketing
services, house managers, ushers, technical personnel, actors, etc. for U of M
performances only.
(c) subject to Ciry's obligations as set forth in Paragraph 3 above, keep the
premises in good order, repair and condition;
(d) give designated City personnel access to the Premises at all times.
(e) provide signage for the production to be placed in areas designated in the site
plan;
(� incfude a Riverfront activities flyer or calendar (provided by the City) wdh ail
U of M production programs;
(g) not make any alteration or addition to the premises without prior written
approval of the Ciry.
(h) not later than August 31, provide the City with a record of attendance at ail
U of M productions on the Premises for City records.
(i) be responsibie for the care of lost or unclaimed personal property of U of M
invitees, to the extent required by Minnesota law; and
(j) when necessary, negotiate with appropriate Union members for the staging of
U of M performances.

5. Concessions. The Ciiy shafl have the right to contract with such entities as it deems
appropriate for ihe provision of concessions and related services during the agreement.
Terms and showing discretion in the choice of inerchandise. Concessions shall include,
without limitaiion:
(a) foods of all kinds, including candies, cooked foods, prepared foods, ready
to serve foods, sweets, desserts, ice cream and popcorn;
(b) beverages of aii kinds, including 3.2 beer and wine provided ihe U of M
assumes no responsibility from the provision of such concessions,
notwithstanding anything to the contrary contained in the Agreement.
(c) sowenirs, inciuding T-shirts, sweatshirts, other ciothing, programs and so-
called "novelty dems;' U of M has the right to sell same said souvenirs and
novelty items relating to "ShowboaY' and "The Matchmaker" production.
The U of M promises io provide a"gift shop" manager /salesperson at
their cost at all performances of 'The Matchmakel' to sell all of ihe above
ftems for both pariies, with 20% of toiai sales from City merchandise retained
by U of M.
6. CasualN Loss. in case of damage to the Premises or the property of the City thereon
by fire, flood, rain or oiher casuaity, U of M shall give immediate notice to the City, the City and
U of M shall joinily determine whether to proceed with any previousiy scheduled event. In
the event the parties decide to proceed, they shall perform their respective obligations
pursuant to Paragraphs 3 and 4 hereof prior to the commencement of such event. Should
the parties determine not to proceed as a resuft of casualty loss, ihey shall joinily determine a
schedule for the performance oi iheir respective obligations pursuant to Paragraphs 3 and 4
hereof, so as to aliow Iater scheduled events to proceed.
Should the City at any time after the inhiation of this contract and before the
completion of the U of M production run decide on iheir own to cancel said performances
(precluding an Act of God,) the City will be held responsible for personnel, equipment and
supply/materials costs incurred directiy by the U of M in conjunction wiih the 1996 production
of'The Matchmaker."
7. Waiver of Claims. Notwithstanding any contrary provision herein, U of M shall be
liable to the Ciry for, any damage to any equipment, inventory, fixture or other personal
property of the City sftuated on Narriet Is�and in and having to do wiih the Riverfront tent,
including, without limflation, the items to be provided by the City and not owned by the City,
pursuant to Paragraph 3 hereof, due to negligence directly attrbuted to the U of M and U of
M assumes all risks of damage to such property.
8 . Indemn'rfication.
(a) That ihe U of M will, at all times protect, indemniiy, save and keep harmless
the City, Rs officers, agents and empbyees against and from any and all loss, cost, damage,
or expense arising out of or from any accident or oiher occurrence on or about the premises
whereon the U of M is operating causing injury to any person or property, whomsoever or
whatsoever, and protect, indemnify, save and keep harmless the City, its officers, agents and
employees against and from any and all claims and against and from any and alI bss, cost,
damage or expense arising out of the failure of U of M in any respect to comply wilh and to
perform the requirements and provisions hereof, As part of this indemnification U of M shall
provide at its own expense a general liability insurance policy in which the City shall be named
as additional insured, which policy shall cover the period of time of the contract and shall
cover injury to persons or property arising out of the U of M productions at Harriet Island Park

in amounts not less than $200,000 where the claim is one for injury or deaih by wrongfui act
or omission and $60�,000 for any number of claims arising out of a single occurrence. U of M
shall not begin operation of the privilege herein granted until sucfi policy sF�atl have been
approved by the City Attorney and 6(ed with ihe Director of Finance of the City.
(b) U of M shall defend, indemnify and hold tfie City harm(ess from and against
any and all cfaims, demands, judgments, penaflies, tiabifiEies, costs, damages and
expenses, including ariomey's fees and coutt costs, arising irom the use by U of M
or any of U of M's agents, performers and exhibitors of patented, copyrighted and
trademarked materiais, equipment, devices, processes or dramatic rights used in the
conduct of U of M's business in the Premises, including, without limitation, royaRies,
license iees and other charges accruing or becoming due by reason of any music,
tive or recorded, or the entedainment produced 6y U of M on the Premises.
9. The Ciry shatl indemnify and save harmless U of M and all of its oHicers, agents and
emptoyees from all suits, actions, or claims of any character whatever, brought for or on
account of any damages received or sustained by any person, persons, or property, by or
from the acts solely committed by the City, its agents, officers, and employees.
Further, the paKies acknowledge lhai the City is self-insured tor the firsY $600,000 per
occurrence and , iherefore, cannot name U of M as an addiiional insured. Accordingly, the
parties agree that the City shall be prirttarily liabie for all claims, aciions, suils or cosis of
whatever nature arising oui of or resuiting from any acior omission by the City, its agents,
officers or employees subject to the limits established by Minnesota Statute 466.
10. City Use of Site. The CHy wili noiify U of M of any use by the City of the site during ihe
production run of "The Matchmake�" and insure the good working condition of any and aii
equipment beionging io the Uof M that may be used by other lessees renting ihe site.
11, fau . In the event either pariy shaN defa�lt in any of Rs obligations hereunder, the
non-defaulting patty shall give the defaulting party written noiice thereof. The non-
defaulting paqy shall have ihirty (30) days after written noiice to cure such defauft; provided
however, that to the extent a defauft is not susceptible of cure wiihin said thirty-day period,
there shall be no defauR hereunder'rf ihe defauiting party commences to cure !he defauli
within ien (10) days after notice and continues to prosecute said cure to completion, which
cure must, at a11 events, be completed with ninety (90) days after notice of defauft. !f cure is
not made as provided in the preceding sentence, eiiher party may, upon notice to ihe oiher
party, cure the defaufts of the defaulting party and, in the case of U of M, reduce the amount
of concession profit sharing due as the the Tsrm by the amount expended to cure the
default.
12. Sions and Use of htame. Withstanding the provisions of the Lease, the City shalf have
the right to provide and erect signs on the Premises and other properties advertising d's
fiosting of tfie U of M's production. U of M agrees that it witl not use any name ihe City gives
to its riverfront summer season wiihoui the City s prior permission, which shail not be
unreasonably wiifiheld or delayed.
13. Condition of Premises. Upon tfie comptetion of each performance U of M shall leave
Premises in good and sanftary condition.
14. Limfted Recourse. Notwdhstanding anything to the contrary contained in this Lease,
it is expressly undersiood and agreed by and between the parties hereto that none of City or
their respective agents, servants, empioyees, oHicers or directors shail have any personai
liabiiity ar personal responsibility of any sort with respect to any of U of M's obligations

(cj The C'rfy understands that its cooperaiion and assistance is vital to the
presentation of a successfu! U of M season and agrees to take a!1 reasonable actions
to aid U of M in the production and presentation of performances.
(d) Any decision aflecting any matter not herein provided for shall rest sole(y
within the discretion of the C"rfy.
(e) The privileges granted ll of M herein shall noi be construed as a waiver of
city righis to eniorce all ru{es and regulations it deems necessary for the
management and operations of said premises. The topical headings of tfie several
paragraphs and ctauses are for convenience on(y and do not define, limi! or construe
the contents of such paragraphs of clauses. All preliminary negotiations are merged
into and incorporaled in this lease. This Lease can only be mod�ed or amended by
an Agreement in writing signed by the parties hereto. All provisions hereof shatl be
binding upon the heirs, successors and assigns of each party fiereto. This Lease
shatl be construed under the laws of ihe Stafe of Minnesota. )f any provision of this
tease is determined to viofate any appficable law, such provision shali be deemed
severed and severabfe from this Sublease and the remainder of this Sublease shall
remain of full force and effect. The invalidity or unenforceabiliry of any provision of
this Lease sha!! in rro way affect the validity or enforceability of any other provisions
hereof.

To be provided bv fhe Citv of Sait�t Paul:
1) Po�ver distnbution box and feeder.
This mast be capable of feeding the re�ited dimmer packs (see #7 belo�v) plus
providing separate 120v-housel�old outlets for power tools, ���arkligi�ts, and
I�auselights. This feed was separate from that which fed the trailer and other
items ou the gzounds. My recollection was a circuit breaker box for
distribution and then a�i outiet box i�aving about 12-20 amp circuits available
witlt duplex receptacles mounted in the box. Tl�e power distributioii center
was neYt to the stage (could be either side--nearest to pole) between the
masking draping and the trailer.
2) Houselights inounted on the tent poles and the underground power nins from the
poles to tlte dimmer packs/disti bos ai
3} Power rtlr�s for the light aud soua�d co��soles in the mid-rear of the tent -- tllese
need to be 2 separate 20 ainp/120v lines froin the power distribution center
tt�at are iised solely for tl�is pt�rpose. Last year t11ey ran do�ui� tl�e center aisle
�ii�der the wood chips (if inemory serves). If possible, it would be pnident
for the audio AC feed to l�ave its own separate ground lift.
4) Whatever emergency lightu�g is deemed necessary by the Fire Marshall or codes.
5) In a separace tencli or along tlie eaves of tiie tent and then across to the ligtlting
console, a cable (to be supplied by the City) needs to run from tile d'nruuers to
the ligl�ting consote. This wotdd be eiflier a DMX or AIvIX output cable
depending on the type of dimmers rented. Length: giiesstimate 100'-150'.
This ligt3t control cable ru�i can be btcndled witli the audio control cable run
but tlie coiitrol cable buiidles caruiot run in the sazne bundle or near the power
AC feeds to tlie consoles (#3 above).
6) Stage lighting lamps for all equipinent supplied far the on-going tent activities
plus a 30% spare lamp inventory for that equipment. List to be supplied.
7) Portable diiruner racks: Supply 48 a 2.4K dirrvners. Suppiy whatever hook-up
cables are necessary between dimmer packs and power distribution box.
Supply item #5 above. The diituners should ideaily have 20A 3-prong
twistlock output coiu�ectors (sunilar to Hubbeil #2313). Dirruners do not
have fo be "intelligent".
8j Covers for dimmer packs if deemed desirabte by tlie renter.
9) In addition to the 30' square tniss the city owns, a 40-foot long 18" triangular
cross truss must be supplied. Tlus will form an onstage first electric.

St. Paul would need to insure U of MN equipment left on site against damage/theft
for full replacement value. Each piece of lighting equipment left for tlie tent
coutimiation would have to return to us wittz a tiew tamp of our specification. (List
to be supptied).

City of St. Paui's Riverfront Tent Season
U of M offers to do the instailation of the Stage deck, Truss support, Lighting equipment,
Sound Equipmenf, and Stage Mask+ng, This wouid require the City ta have ihe above stated
items at the tent site (except for the lighting equipment, which the U of M is suppiying), that
the tent wouid aiready be erecied, that AC power would be supplied and ihe dimmers
instailed (U of M could be consufted on this}, manuaf tifts for the irusses woutd be available (U
of M cou�d be cansulted on this}, and the paying of the staff involved in the project. This
project would be besi accomplished around ihe foilowing dates of June 3-8, 1996.
At present, the U of M estimation for completion of the project would be a staff of 6-8 for faur
(4} 8-hour days. This woufd produce a personnel wst of Y92-256 hours at $71.50/hr.
($2944) Although U of M irrouid be responsible for contacti�g and hiring. if the City would
like to suppiy some of the staff for ihe installation, this wouk3 aiso be acceptabie. U of M work
wouid be open to inspection but the Iiability of the work woutd be carried by the City. An
approximate cost far this installation, including rental of equipment (the lifts) would be $3500
( basicaliy covering labor, with the remainder attributable to rentai of lifts.) The City would pay
the vendor directiy Eor lift rental, and pay the U of M far labor in two instailments (ha(E of the
projecied labor cost on June i, ihe other hatf on June 14.)
U of M atso offers to do the strike o( the Stage deck, Truss support, Lighting equipment,
Sound Equipment, and Stage Masking so long as the st�ike date selected by the Gity is
earlier than September 15, 1986. The strike of the above described set-up couid be done
with a staff of 6-8 peopis in two (2) 8-hour days, if the City woutd like to suppiy some of the
staff for the strike, this would aiso be acceptable. An approximate cost ior ihis sirike,
inciuding rentai of equipment (the lifts) wouid be $2450 {�$1472 to cover Iabor and
supervision by iechnical director and $640 for rentai of lifts.)
