PUBLIC NOTICE OF ANNUAL MEETING AND PROPOSED
AMENDMENTS TO BYLAWS
PLEASE BE ADVISED, that an Annual Meeting of the Board of Directors of the Saint Paul
RiverCentre Convention & Visitors Authority, a Minnesota nonprofit corporation(the "RCVA"), will be
held on Wednesday, September 27, 2006, at 8:00 a.m., in the RCVA Board Room located on the fifth
(5th) floor of the RCVA offices, 175 W. Kellogg Blvd., Saint Paul, Minnesota, for the purpose of: (1)
electing Officers; (2) setting the dates, times and place for Regular Meetings of the RCVA Board of
Directors; (3) conducting any other business the RCVA deems necessary; and (4)to consider the
proposed amendments to the RCVA Bylaws as set forth in the draft RCVA Resolution attached hereto.
