THE COUNCIL OF THE CITY OF SAIN PAUL BO�'S ORDAIN:
Sec ion 1 .
That Chapter 81 of the Saint Paul Administrative Code
is hereby repealed and rescinde in both ti�le and text.
Sec ion 2.
That there is nereby e acted an amended Chapter 81 of
the Saint Paul Adminis-�rativ Code entitle� "Purchasing From
Set Aside Businzsses" to read a follows :
R81 . 01 . Intent. The council of the City of Saint
Paul , pursuant to �che au hority granted it by virtue
of the Uniform Municipal Contracting Law, does hereby
support the policy of enhancing the viability of
the various commercial entities through temporary
aic� and support to those p rsons and entities identified
herein by �acilitating t e�r participation as vendors
to the City in its purchas of goods and services .
r81 .02. Definitions.
Subd. l . For the p rposes of this chapter, the
following words anc� pi�r ses shall have the meanings
set forth in -chis secti n, except where the context
clearly indicates that a .ifferent meaning is intended.

Subd. 2. Set Asid business means a business
entity that has been in existence for six (6) months
or longer, organized f r profit, including but not
limited to any individu l , partnership, corporation,
joint venture , associa ion, or cooperative , which
entity is not 1 ) an affiliate or subsidiary of a
business dominant in i s field of operations ; or
2) a manufacturer ' s agent , broker , non-stocking retailer
or wholesaler ; or 3) has owners who are part owner
or operator of similar bu inesses , and:
a) has employees ho worked a total of 45, 000
hours or less in t e previous fiscal year, or
has not more than he equivalent of $1 , 000, 000
in annual gross reven es in the preceding fiscal
year ; or
b) is 51% owned and controlled by a person
(or natural persons in any combination) who is
a woman, a member of any racial minority, or
handicapped, all as d fined herein.
Subd. 3 . Woman mea s any person of the female
sex.
Subd. 4. Racial mi ority means a person having
ethnic origin in the bl ck racial groups of Africa,
a person of Mexican, erto Rican, Cuban, Central
or South American, or o her Spanish cultural origin;
a person having ethnic origin in any of the original
peoples of the Far East Southeast Asia, the Indian
subcontinent or Pacific Islands (this area includes ,
but is not limited to Ch'na, Japan, Korea, the Philip-
pine Islands , Malaysia, Hawaii and Samoa) ; a person
having origins in any of the original tribes of North
America who is an enroll d member of an Indian Tribe
including any Alaskan N tive Village or region or
villaae corporation wh se governing organization
is recognized by the Uni ed States government . Ethnic
status shall be proved b presenting a birth certifi-
cate , affidavits or othe documents deemed acceptable
by the Purchasing Division.

Subd. 5. Handicap ed person means any person
who has suffered a sub tantial permanent disability.
Handicapped status sha 1 be proved by presenting
a doctor ' s certification, affidavits , or other documents
deemed acceptable by the urchasing Division.
Subd. 6. Small business means a business entity
as defined in Section 81 .02, Subd. 2(a) . Small
business status shall be proved by presenting a signed
copy of a tax statement from the previous year that
includes a tax number or social security number,
a current financial st tement , affidavits or other
documentation deemed a ceptable by the Purchasing
Division.
Subd. 7 . Goods an services means materials ,
supplies , equipment, tra e consultant , or professional
services , construction, a d development projects .
Subd. 8. Owned and ontrolled means the ownership
and control by minority nd/or handicapped individuals
or women shall be real , substantial , and continuing
and shall go beyond the pro forma ownership of the
firm as reflected in i s ownership documents . The
minority and/or handica ped or women owners shall
share the risks and pr fits commensurate with their
ownership interests, as emonstrated by an examination
of the substance rather than form of arrangements .
The minority and/or hand capped or women owners shall
also possess the power to direct or cause the direction
of the management and olicies of the firm and to
make day-to-day as well s major decisions on matters
of finance , management , po icy and operations .
"81 .03. Set-aside of a propriations.
The city shall for each fiscal year designate
and set aside for awar ing to set-aside businesses
approximately twenty (20) percent of the funds appro-
priated for the purchas of goods and/or services ,
including construction ork, and further including
transactions where the ity is the coordinator and
administrator of the d' sbursement of funds under
a grant or similar pro ram. Of that percentage,
approximately one-half hereof shall be used for
the benefit of small busin sses or set-aside businesses ,

the majority control of w ich is vested in a handicapped
person; approximately o e-quarter thereof shall be
used for the benefit f set-aside businesses , the
majority control of whi h is vested in a woman; and
approximately one-quarte thereof for the benefit
of set-aside businesses , the majority control of
which is vested in a erson of a racial minority.
The City of Saint Paul and Ramsey County Purchasing
Division shall authorize the bid specifications and
purchasing decisions ne essary to accomplish these
set aside business require ents.
81 . 04. Applicatio to qualify as a Set Aside
business. Application mat rials in such form as fully
and completely identifie an applicant ' s eligibility
for program participati n shall be presented and
reviewed and a n applic nt interview conducted by
the Purchasing Division p ior to bidding. Applications
meeting all program req irements shall be valid for
one year and must be ren wed thereafter for successive
one year terms in acco dance with overall program
participation limitations defined in Section 81 . 06 .
81 .05. Ineligibili y. The Purchasing Division
may, upon consultation wi h the City Attorney' s Office
refuse to accept a compl ted application for partici-
pation as a set aside usiness upon the grounds of
fraud. The Purchasing Division may also withdraw
its acceptance of any pplication at any time on
the basis of fraud or change in the composition
of a set aside busines which does not conform to
the definitions herein. Any rejection or withdrawal
may be appealed to the Set Aside Business Committee
who shall conduct a he ring.
81 .06. Set-aside bu iness committee ; composition
and duties.
(a) Created. There is hereby created a committee
of seven (7 ) person who shall be appointed in
the same manner as ot er city committees . Initial-
ly, two (2) members shall be appointed for a
term of one year, two 2) members shall be appointed
for a term of two (2) years , and three (3) members
shall be appointed fo a term of three ( 3) years.
Thereafter, the terms of committee members shall
be for three ( 3) yea s and until their successors
are appointed. The mayor shall designate one
of the persons appoint d to serve as chair.

(b) Duties. The committee shall hold meetings
at such times as greed upon by the members.
The committee shall review the applications for
certification which re rejected by the Purchasing
Division, hold public hearings on those rejections ,
resolve disputes a to the qualifications of
a set aside business as such a business , shall
conduct public meeti gs to educate the community
on the benefits of this chapter, shall cause
in conjunction with the Purchasing Division to
advertise and prom te the set aside program,
shall monitor and nnually report to the mayor
and council on the s atus of the set aside program,
and do such other thi gs as are reasonably necessary
to effectuate the purposes of this chapter.
Any aggrieved perso may appeal the committee ' s
decisions to the c uncil , which shall have the
power to modify an decision of the committee.
81 .07. Method of aw rd. The city may, whenever
it deems it feasible, olicit bids that require the
lowest responsible bidd r to subcontract a portion
or percentage of work to a set aside business certified
in the Set Aside Busin ss Program. Alternatively,
the city may, whenever t deems it feasible , solicit
bids from among only s t aside businesses certified
in the Set Aside Business Program.
81 . 08. Inspections. nspections to determine com-
pliance with Set Aside Business Program eligibility
and contractual requir ments and other conditions
of performing contract ork with the City of Saint
Paul shall be performe by the Purchasing Division
as required.
Each set aside busines shall upon request of the
Purchasing Division permi access during normal business
hours to the business rk site , records and files ,
as needed to determine co formance to set aside business
requirements .

81.09. Performance bo ding for set aside businesses.
The Purchasing Divisio is authorized to develop
and administer a perf rmance bonding fund program
to provide performance onds for targeted businesses.
Funds for this program may be received through pro-
visions in city subs ' dized development projects ,
and grants and donatio s from private , governmental ,
and nonprofit sources.
81 .10. Rules , regulat' ons and forms. The Purchasing
Division, subject to th approval of the mayor, shall
promulgate such rules , regulations and forms as may
be needed to carry out he duties and responsibilities
set forth herein.

RULES OF THE SE ASIDE BUSINESS PROGRAM '
The following rules have been enacted to provide expanded
� definition to the pro isions of Chapter 81 of the
Administrative Code and to set forth basic operating
procedures for the Set A ide Business Program.
Article I : Program Definition
Subd. 1 . Administratio . ' The Set Aside Business Program
shall be developed and admi istered by the Purchasing Division
of the City of Saint Paul o carry out the intent of Chapter
81 . Purchasing Division st ff shall serve as consultants and
advisors to City of Saint aul and Ramsey County departments
and shall utilize informat on distribution, self compliance
incentives, educational pro rams, and additions to existing
administrative procedures to b ing about program compliance.
Subd. 2. Mission. The mission of the Set Aside Business
Program shall be to facili ate the participation of persons
and entities that qualify as Set Aside businesses in the City
of Saint Paul and Ramsey Co ty purchasing process, to serve
as an advocate for Set Asid businesses and to help City -and
County departments comply wi h all ordinances, rules, and pro-
cedural requirements related t the Set Aside Business Program.

Article II : Definitions
Subd. l . Set Aside usiness. Set Aside business means
a business entity that is not an affiliate or subsidiary of
a business dominant in its ield of operation or is not a manu-
facturer' s agent, broker, non stocking retailer which is organized
for profit including, but n t limited to, individual ownership,
partnership, corporation, jo'nt venture, association or coopsr- �
ative. _
Subd. 2. Sources. De initions used within the Set Aside
Business Program are referenc d to the following sources:
1 . Definitions within C apter 81 of the Administrative
Code.
2. Definitions contained within other sections of the
Administrative Code elating to purchasing, con-
tracting, insurance, and bonding.
3. The commonly understo d meaning of words as expressed
in everyday usage and dictionary definition except
where the context of sage clearly indicates that a
different meaning is 'ntended.
4. The Purchasing Divisi n will be used as final
authority for program administrative questions
concerning definition . Words and phrases
commonly used in prog am operations but not
otherwise defined sha 1 be so defined by the
Purchasing Systems Ma ager.
Article III : Annual Process
Subd. 1 . Applicable unds. The ordinance definition
of funds appropriated by the city each year for the purchase
of goods and services , includi g construction work, shall include
the following:
a) all city funds appropr' ated for the purchase of
materials, supplies an trade, consultant and
professional services.
b) city construction work including work funded by
special assessments an tax increment financing.
c) expenditures received y the city through inter-
� governmental grant pro rams.

d) funds received from no profit corporations or
private donations for ity projects or programs
when so authorized by he City Council . �
e) funds appropriated for the purpose of purchasing
goods; services, and c nstructian work for Ramsey
County to the extent a thorized by the Board of -
County Commissioners o Ramsey County.
- Subd. 2. Allocation. At the beginning of each fiscal year,
Purchasing Division staff sh 11 review the adopted budget for
the City of Saint Paul to identify proposed expenditures to
which Set Aside business req ' rements may apply. This deterrr�i-
nation shall be submitted in ritten .form to the affected depart-
ments. Purchasing Division staff shall meet with department
representatives during each fi cal year to provide re�ommendations
to the originating department as to how the Set Asicie business
requirements can be met.
Subd. 3. Ongoing revi w. The Purchasing Division shall
examine each purchasing req est to determine the approximate
use of Set Aside businesses The Purchasing Systems Manager
may specify that bids requ' re the lowest responsible bidder
to sub-contract a portion or percentage of work to a Set Aside
business as needed to ensure that City of Saint Paul and Ramsey
County Set Aside business re uirements are achieved. The Pur-
chasing Systems Manager may specify the soliciting of bids
only from Set Aside businesse upon a finding that a sufficient
number of qualified Set As de Business Program participants
exist to ensure competitive bidding. The Purchasing Systems
Manager shall maintain an ongo ng record of such decisions.
Article IV: rogram Eligibility
Subd. l . Application p ocess. Purchasing Division staff
shall develop and administe a process for application dis-
tribution, application revie , and determination of program
eligibility. The process s all be sufficiently thorough and
complete so as to ensure:
a) that all applicants r ceive an impartial and
objective review of p ogram application
materials.
b) that the application rocess requires the
submission of materia deemed appropriate �
by the Purchasing Sys ems Manager to make
a determination on pr gram eligibility.

c) that each applican� w 11 be interviewed by one or
more members of the P rchasing Division staff
within thirty (30) da s of the receipt of
completed application forms for the purpose of
determining the accur cy of application infor- �
mation and the meetin of program eligibility
requirements. The th rty day period may be
�xtended at the discr tion of the Purchasing
Systems Manager when ircumstances warrant.
� d) that the applicant ma be required to furnish
additional informatio to determine program
eligibility.
e) that each applicant r ceive a written notice of
program eligibility o ineligibility within
fifteen (15) days of he last interview required
for program determina ion. Applicants determined
to be ineligible for e program shali receive
notice describing their rights of appeal and the
appeal process.
Subd. 2. Data retention. The application and any additional
information collected in sup ort of the applicatian shall be
maintained in an applicant file during the period of eligibility
and for seven (7) years th reafter. Application materials
of persons . determined not to be eligible for the program shall
be disposed of under the di ection of the Purchasing Systems
Manager. All information athering, filing, and disposing
under the Set Aside Busines Program shall be conducted in
accordance with Minnesota Statu e 13. 37.
Rrticle V: Ineligibility
Subd. 1 . Determination. The Purchasing Division staff
shall utilize the applicati process and periodic grogram
monitoring activities to ensu that Set Aside businesses meet
all program requirements on a c ntinuing basis.
At any time during the app ication process, the Purchasing
Systems Manager may refuse o certify an applicant because
of a misrepresentation of fac s and may declare the applicant
ineZigible for the program.

At any time the eligibilit of a Set Aside business may be
withdrawn based upon a deter ination by the Purchasing Systems
Manager that the business h s misrepresented features of its
operations which affected i s eligibility for the Set Aside
Business Program or the compo ition of the business has changed
so that it no longer qualifies for the program.
Subd. 2. Declaration of neligibility. inThen a determination
of ineligibility has been ma e, the Purchasing System"s Manager
_ shall , by certified mail , nform the affected applicant of
ineligibility for the program the effective date of the period
of ineligibility, the reason s) for being declared ineligible
and the process by which th declaration of ineligibility may
be appealed.
Subd. 3. Appeals prace s. The owner of a business that
has been declared ineligible may appeal the decision to the
Set Aside Business Committee. A written pratest must be forwarded
to the Purchasing Systems anager within fifteen (15) days
of the mailing date of the in ligibility notice. The Purchasing
Systems Manager will forward the written protest and original
determination to the Set As ' de Business Cornmittee wha shall
commence a review within t n (10) days of receipt of the
materials. The Committee may equest such additional information
as may be necessary to . make a final determination and shall
provide an opportunity for he appealing party to be heard
in person.
Subd. 4. Findings. he Set Aside Business Committee
shall at the earliest possibl date, but no later than 45 days �
after the written protest ha been received, make one of the
following determinations :
a) that the Purchasing Sy tems Manager was correct
in determining that th applicant was ineligible
to participate in the rogram.
b) that the Purchasing Sy tems Manager was incorrect
in applying conditions of eligibility for the
Set Aside Business Pro ram and the appealing
party should be consid red as fully eligible for
the program.

c) that additional infor ation is needed from either
or both parties befor a decision can be made and
a date is set for a c ntinuation of the � appeal.
Subd. 5. Records. Th Purchasing_ Systems Manager shall
maintain a record of all he rings and actions taken to carry
out the appeals process.
Subd. 6. Status of appealing party after rejection.
During the time that an app icant is appealirig an eligibility
� decision, the applicant' s r cords shall be maintained within
the Purchasing Division files. The business shall be eligible
to bid on city or county co tracts but shall not be eligible
to receive any of the special benefits that accrue to businesses
that have been fully certif' ed under the Set Aside Business
Program. Any contractual ork currently being performed by
an appealing business shall continue under provisions of the
contract.
Article VI : IJame ch nge; Education
Subd. 1. Name change. Businesses which change their
business name without changin the majority ownership of their
business shall be considere the same business for purposes
of determining eligibility i the Set Aside Business Program.
Subd. 2. Education and technical assistance. Businesses
preparing to participate in the Set Aside Business Program
but that are not yet certifie may receive technical assistance
and participate in educational components of the program.
Article VII . Inspecti ns of Set Aside Businesses
Purchasing Division staff ma conduct inspections of office
and work site locations of businesses performing work under
contract for the City and Co nty governments to determine com-
pliance with Set Aside Busine s Program requirements and other
terms and conditions of per orming contracted work with the
city and/or county.

Article VIII : Performance Bonds
Purchasing Division staff shal regularly monitor the availability •
and costs of performance bon ing and insurance for husinesses
receiving contract awards from the City and/or County governments..
� The results of this monitori g process as it affects Set Aside
businesses shall be annuall summarized in an Annual Report
of the Set Aside Business Prog am.
To the extent that funding so rces are committed for performance
bonding, the Purchasing Syst ms Manager is authorized to use
such funds to carry out the intent of the Set Aside Business
Program.
Rrticle IX: Educatio and Technical Assistance
Subd. 1 . Needs assess ent. Purchasing Division staff
shall regularly monitor the overall business performance of
Set Aside Business Program pa ticipants to identify educational
and technical. assistance needs. The results of this monitoring
, process shall be reported in n Annual Report of the Set Aside
Business Program.
Subd. 2. Services pro ided. Based on the assessment
of needs, the Purchasing Div sion shall make available infor-
mation, educational programs, and technical assistance to Set
Aside Business Program partici ants as may be reasonably provided
within the funds available fro city and county budget appropri-
ations, donated professional services, grants and donations
from private governmental and n nprofit saurces.
