The Memorandum of Understanding set forth the intentions of all parties with respect to improvement of the parking facilities necessary to accommodate Ramsey County's Oscar Johnson Ice Arena and Merriil Corporation. The Memorandum of Understanding, a subsequent license agreement between Ramsey County and Merrill Corporation and a letter from Ramsey Gounty Board Chairman Hal Norgard contemplated that Outiot A, Energy Park which is currently owned by the City of St. Paul would be added to Ramsey County's existing lease agreement with the City of St. Paui in order to accommodate expansion of the common parking facilities. Ramsey County and Merrill Corporation had been working cooperativeiy to design a parking facifity that meets the needs of the Ramsey County ice arena and an expanding employee complement at Merriil Corporation. The plans as prepared by Merril! Corporation utilize the ice arena property known as Lot 2, Biock i, Energy Park as weH as property owned by the City of St. Paul known as Outiot A, Energy Park. In order to implement the plans, Ramsey County requests that Outfot A, Energy Park be included as an amendment to the existing lease agreement between the City of St. Paui and Ramsey County for Lot 2, Block 1, Energy Park. Lot 2, Block 1, Energy Park, subject to utility easement rights. 2. County agrees to use the above descriped real property for the construction and operation of an Artificial Ice Arena only, and if the use of premises for an artificial ice arena is discontinued by the County and transferxed to some other agency of government, that this would be subject to the approval of the City of Saint Paul. 3. County shall construct, operate and maintain this Artificial Ice Arena in strict compliance with all applicable laws and at its own cost and expense, and County expressly agrees and undertakes herewith to fully indemnify and hold harmless and defend the City, its agents, officers and employees £rom any and all damages, claims, losses, judgments, suits, expenses, actions or causes of action of whatsoever manner arising out of or occasioned by the occupation or use of the demised premises by the County. 4. Upon the termination of this lease agreement or the discontinued use of the demised premises for an Artificial Ice Arena, the County expressly agrees, at its own expense, to remove all improvements on the demised premises and to restore the demised premises to its original condition and to the satisfaction of the City. ,:� 5. At all times during the term of this lease, City shall have the right to enter into and up�n the demised premises and improvements thereon during reasonable business hours for the purpose of examining and inspecting Ehe same and determining whether the County shall have complied with its obligations hereunder in respect to the care and maintenance and use of the premises. 6. In the event there is any prior existing lease between the County and City covering the subject property, it is agreed and understood that the lease shall cancel and terminate said prior lease as of the effective date of the lease. The Memorandum of Understanding set forth the intentions of all parties with respect to improvement of the parking facilities necessary to accommodate Ramsey County's Oscar Johnson Ice Arena and Merriil Corporation. The Memorandum of Understanding, a subsequent license agreement between Ramsey County and Merrill Corporation and a letter from Ramsey Gounty Board Chairman Hal Norgard contemplated that Outiot A, Energy Park which is currently owned by the City of St. Paul would be added to Ramsey County's existing lease agreement with the City of St. Paui in order to accommodate expansion of the common parking facilities. Ramsey County and Merrill Corporation had been working cooperativeiy to design a parking facifity that meets the needs of the Ramsey County ice arena and an expanding employee complement at Merriil Corporation. The plans as prepared by Merril! Corporation utilize the ice arena property known as Lot 2, Biock i, Energy Park as weH as property owned by the City of St. Paul known as Outiot A, Energy Park. In order to implement the plans, Ramsey County requests that Outfot A, Energy Park be included as an amendment to the existing lease agreement between the City of St. Paui and Ramsey County for Lot 2, Block 1, Energy Park.
