WHEREAS,
(a) Minnesota Statutes, Chapter 462C (the "Act") confers upon cities, or
housing and redevelopment authorities or port authorities authorized by ordinance
to exercise on behalf of a city the powers conferred by the Act, the power to issue
revenue bonds to finance a program for the purposes of planning, administering,
making or purchasing loans with respect to one or more multifamily housing
developments within the boundaries of the city;
(b) The Housing and Redevelopment Authority of the City of Saint Paul,
Minnesota (the "HRA") has been designated, by ordinance, to exercise, on behalf of
the City of Saint Paul, Minnesota (the "City"), the powers conferred by Minnesota
Statutes, Section 462C.01 to 462C.08 (the "Act");

(c) By Resolution No. 280058, the City Council of the City of Saint Paul
authorized the HRA to issue its housing development revenue bonds pursuant to the
Act to finance a multifamily housing project (the "Concord Green Project", renamed
as the "Woodstone Project"), to be owned by Concord Green Partnership, which
partnership has subsequently been renamed Woodstone Limited Partnership (the
partnership being referred to in this resolution as the "Developer");
(d) The HRA has previously issued its $7,800,000 Variable Rate Monthly
Demand Bonds,Series 1984-D (Concord Green Project)(the"Prior Bonds")pursuant
to an Indenture of Trust dated as of September 1, 1984 (the "Original Indenture")
between the HRA and First Trust National Association (formerly, First Trust
Company of Saint Paul), as trustee;
(e) The proceeds of the Prior Bonds were used to acquire, construct and
equip the Woodstone Project, to fund a reseive fund and to pay the costs of
authorization, issuance and delivery of the Prior Bonds;
(� The Developer previously proposed to the HRA the issuance of
refunding bonds, which proposal was given preliminary approval by a resolution of
this City Council on December 14, 1989, but which refunding issue was not
subsequently undertaken;
(g) The Developer of the Woodstone Project has now proposed to the
HRA that it should issue its refunding bonds (the "Refunding Bonds") to refinance
and refund the Prior Bonds, and that the Refunding Bonds should be issued in two
separate series,one series proposed to be secured by FHA insurance (Section 223(�)
and the second series to be secured by a mortgage and related security subordinate
to the first, prior series;
(h) The Developer has retained Robert W.Baird & Co. Incorporated(the
"Underwriter"), Milwaukee, Wisconsin to act as undervvriter and investment banker
for the Refunding Bonds;
(i) The Developer and the Underwriter have proposed terms and
conditions for the Refunding Bonds which require the City to publish a notice
describing the proposal to issue refunding bonds, and to hold a public hearing
thereon; and a public hearing on said refunding bonds was held on November _,
1991, after notice was published, as required by Minnesota Statutes and federal
income tax law, at which public hearing all those appearing who desired to speak
were heard;

(j) The Minnesota Housing Finance Agency approved the financing
program for the Project prior to the issuance of the Prior Bonds, and Minnesota
Statutes, Chapter 462C does not require that a new financing program be submitted
to, or approved by, the Minnesota Housing Finance A.gency in connection with the
issuance of refunding bonds;
(k) No public official of the City has either a direct or indirect financial
interest in the Project, the Prior Bonds or the Refunding Bonds, nor will any public
official either directly or indirectly benefit financially from the Project, the Prior
Bonds or the Refunding Bonds.
NOW THEREFORE, BE TT RFSOLVED by the City Council of the City of Saint
Paul, Minnesota, as follows:
l. The City hereby preliminarily approves the proposal of the Developer
that the HRA issue refunding bonds (the "Refunding Bonds") to pay all of the outstanding
principal of and accrued interest on the Prior Bonds through their date of redemption
(which date shall be no later than 90 days following the date of issuance of the Refunding
Bonds) pursuant to a financing agreement or loan agreement between the HRA and the
Developer relating to the issuance and sale of the Refunding Bonds in a total principal
amount not to exceed the outstanding principal amount of the Prior Bonds ($7,600,000),
which Refunding Bonds shall be issued pursuant to the Act to refinance the Project; and the
financing agreement or]oan agreement may provide for the entire interest of the Developer
to be mortgaged for the benefit of the purchasers of the Refunding Bonds, or a trustee for
the owner(s) of the Refunding Bonds; and the City, acting by and through the HRA, hereby
undertakes preliminarily to issue its Refunding Bonds in accordance with such terms and
conditions;
2. The Refunding Bonds may be structured in one or more series and, at
the option of the HRA, may be structured so as to take advantage of whatever means are
available and are permitted by law to enhance the security for, or marketability of, the
Bonds; provided that any such financing structure must be consented to by the Developer;
3. On the basis of information available to the City, it appears, and the
City hereby finds: that the Project constitutes a multifamily housing development within the
meaning of subdivision 5 of Section 462C.02 of the Act and is a multifamily housing
development primarily occupied by persons of low or moderate income within the meaning
of subdivision 2 of Section 462C.05 of the Act; that the Project is primarily occupied by
persons of low and moderate income; the availability of the financing under the Act and the
willingness of the City to furnish such financing has been a substantial inducement to the
Developer to undertake the Project, and that the effect of the Project has been to provide
additional multifamily rental housing opportunities to residents of the City, to assist in the
redevelopment of blighted and marginal land and to promote more intensive development
and use of land within the City; and that the refinancing of the Project through the issuance

of the Refunding Bonds by the HRA will substantially improve the financial viability of the
Project so as to enable its continued operation as decent, safe and sanitary housing for
persons of low and moderate income;
4. The proposal that the HRA refinance the Project by the issuance of
revenue refunding bonds is hereby given preliminary approval by the City, subject to final
approval by the HRA, the Developer and the purchasers of the Refunding Bonds as to
ultimate details of the refinancing;
5. Pursuant to Chapter 72, Saint Paul, Minnesota, Administrative Code,
the City hereby authorizes and directs the HRA to issue the housing revenue refunding
bonds to refinance the Project and to take all actions necessary or desirable in connection
therewith, and no further approval or authorization of the City shall be required;
6. The Developer has agreed and it is hereby determined that any and all
costs incurred by the City or HRA in connection with the refinancing of the Project,whether
or not the Refunding Bonds are issued, will be paid by the Developer;
7. Briggs and Morgan, Professional Association, as Bond Counsel, and
Robert W. Baird & Co. Incorporated, acting as Undeiwriter, are authorized to assist in the
preparation and review of necessary documents relating to the refinancing of the Project and
the issuance of the Refunding Bonds, to consult with the City Attorney, Deveioper and
purchasers of the Refunding Bonds (or trustee for the purchasers of the Refunding Bonds)
as to the maturities, interest rates and other terms and provisions of the Refunding Bonds
and as to the covenants and other provisions of the necessary documents and submit such
documents to the HRA for final approval;
8. Nothing in this Resolution or the documents prepared pursuant hereto
shall authorize the earpenditure of any municipal funds on the Project other than the
revenues derived from the Project or otherwise granted to the City or HRA for this purpose.
The Refunding Bonds shall not constitute a charge, lien or encumbrance, legal or equitable,
upon any property or funds of the City or HRA except the revenue and proceeds pledged
to the payment thereof, nor shall the City or HRA be subject to any liability thereon. The
holders of the Refunding Bonds shall never have the right to compel any exercise of the
taxing power of the City or HRA to pay the outstanding principal on the Refunding Bonds
or the interest thereon, or to enforce payment thereon against any property of the City or
HRA. The Refunding Bonds shall recite in substance that the Refunding Bonds, including
the interest thereon, are payable solely from the revenues and proceeds pledged to the
payment thereof. The Refunding Bonds shall not constitute a debt of the City or HRA
within the meaning of any constitutional or statutory limitation of indebtedness.

9. In anticipation of the issuance of the Refunding Bonds to refinance the
Project, and in order that the completion of the refinancing will not be unduly delayed when �
approved, the Developer is hereby authorized to negotiate with a corporate fiduciary to act
as trustee for the Refunding Bonds or to negotiate with institutional purchasers of the Bonds
regarding the terms of the Bonds and the security therefore. None of such actions shall give
rise to any pecuniary or other liability on the part of the City or HRA.
10. Except to the extent any earlier resolutions of the City or the Authority
with respect to the Project and the financing therefor may be inconsistent with this
resolution, this resolution shall not be construed to amend, repeal or vitiate such earlier
resolutions.
