AMENDMENT TO COUNCIL RESOLUTION �9T-1742
Approved by the City Council on October 1, 1991.
Said resolution was amended by CC in accordance to the attached
memo dated September 30, 1991 from Jim O'Leary, P.E.D. and the
City Council.
The amendment states that BCED, owners of the Minnesota World Trade
Center(MWTC) , would pay the original $375, 000 for their share of
the skyway bridge plus 50% of the 9% penalty charge of $33,750
which equals $16,875 and all of the 5% service charge which is
$18, 750. The total assessment amount of $410, 625 would be paid over
a five (5) year period at 9% interest. The original total
assessment amount was $427, 500 over a one (1) periad at 9%
interest.
Also, if the MWTC fails to pay the above assessment amount, the
City of Saint Paul can then reassess the MWTC for the other half
of the penalty charge which is $16,875.
RESOLVED FURTHER,That the said assessment be and it is hereby determined to be payable in one (1)
equal installments.

BCED Minnesota, Inc. and the City of St. Paul had a "Skyway Agreement" that stated BCED would
pay 50� of the skyway cost. Payment was to be made 30 days after receipt of`City invoice,
dated 10/24/89. As per "Skyway Agreement", if payment is not received within 30 days, the Cit
has the right to assess the amount plus interest and service charges. As of 7/24/91, payment
has not been received. Current owner is Brookfield Development, Inc.

RE: MWTC Skywa Assessment
The Skyway Agreement between the owners (BCED) of the Minnesota
World Trade Center (MWTC) and the City calls for the parties to
_ share the cost of construction and installation of the skyway
across Seventh Street between the MWTC and the Seventh Street
Parking Ramp. The Agreement provides for the City to initially
pay for the skyway and for BCED to reimburse the City $375, 000
upon completion. The Agreement also provides for a 9� penalty to
be charged to BCED if reimbursement is delayed. After several
attempts to secure payment from BCED the City initiated the
assessment process to recover our costs and the penalty charge.
' In addition, the assessment policy requires a 5� service fee.
The Resolution that is before the Council for final action,

City staff representing the Real Estate Division (Peter White) ,
the City Attorney's Office (Ed Starr) and PED (Jim O'Leary) met
� with representatives of BCED to discuss the terms of the
assessment. Mr. Harold Brandt of BCED correctly pointed out that
the skyway opening was delayed by several months and that this
delay caused some hardship relative to leasing space in the MWTC.
Brandt stated further that although this wasn't justification for
the late payment, it should be taken into consideration.
In addition to the issues directly related to the cost of the
skyway, the HRA requested a �consideration from BCED on another
matter. The HRA Has approved a loan to the Minnesota World Trade

Center Corporation (MWTCC) in the amount of $130, 000. The
security for the loan is an assignment of the Corporation's
rights and interest in certain portions of the MWTC. The HRA
attorney has advised staff that our security interests would be
enhanced if we could get an agreement from BCED acknowledging the
Corporation's rights and interests in the MWTC. BCED agreed to
provide the HRA with the security acknowledgement. We then
agreed to recommend to the City Council that the assessment be
reduced by reducing the 9� penalty charge by $16,875 and to then
collect the remaining assessment amount ($410,625) over five (5)
years at 9� interest.
We feel that it is reasonable to take into account the financial
impact of the delayed opening of the skyway and BCED's
willingness to provide acknowledgement of the HRA's security
interests in the MWTC through the loan to the MWTCC and to,
there'fore, reduce the penalty charge in the amount of $16,875.
