1 WHEREAS, Cable Access - Saint Paul, Inc. (hereinafter "CASP") carries o community
2 access to cable television responsibilities on behalf of the City of Saint ul pursuant to
3 Saint Paul Legislative Code Appendix H under terms of a Performance reement with the
4 City; and
5 WHEREAS, the current Performance Agreement expired by its n terms on May 11, 1990;
6 and
7 WHEREAS, the City desires to renew the Perform c Agreement with CASP so as to
8 provide guidance to both City and CASP as to riate tasks and standards in which

WITNESSETH:
It is mutually agreed by and between the City and CASP as follows:
DEFINITIONS and POSTULATES
For purposes of this Agreement:
"Access"shall mean the right or privilege of any member of the Saint Paul community
to use the facilities, equipment, and the cable Access Channels provided by Minnesota
Statutes and local ordinance. Access resources (channel time, equipment, staff, etc.) are
made available on a first-come, first-served non-discriminatory basis.
"Access Channels" shall mean those channels dedicated by law, rule, regulation, or
commitment of the Cable Company to the programming use of the general public,
government, and educational institutions. Access or Access services, equipment, and/or
facilities, referenced herein, shall refer to services, equipment, and/or facilities provided for
the general public, government, and educational institutions in support of the Access
Channels, except it shall not include services, equipment, and/or facilities of City. Neither
CASP nor the City controls the content of Access programming. Access programming
content is the responsibility of individual program producers and/ar submittors.

"Cable Company" shall mean Continental Cablevision of Saint Paul, Inc.
I. SERVICES
For the consideration hereinafter stated, CASP agrees to provide management and
promotional services to support not-for-profit Access to cable communications systems in
the City of Saint Paul by individuals, organizations, and institutions as stated below:
A. Task I: Training
1. Provide for at least one training program per calendar year quarter on each
of the following topics:
a. Basic Video Production: Training for individuals with little or no
production experience. At the end of the course, students will be able to set
up and operate (1/2 inch and/or 3/4 inch) camera, deck, audio, and portable
lighting system without assistance.
b. Advanced Video Production: Training for individuals who have
some production experience, and/or who can do basic set up and operation
of 1/2 inch and/or 3/4 inch portable equipment. At the end of the course,
students will be able to produce a one-minute spot, set up and operate
equipment, plan and write a script.
c. Basic Video Editin�: Training for individuals with little or no
editing experience. At the end of the course, students will be able to set up
and operate editing equipment (1/2 inch and/or 3/4 inch) and write an edit
script.

d. Advanced Video Editin� Training for individuals who have some
experience in basic editing. Students will be able to edit a video program,
incorporating audio and video, and use character generator, special effects
generator and/or associated audio equipment.
e. Studio Production: Students will learn how to produce a program
using the production facilities at Union Depot Place and/or 213 East Fourth
Street.
2. In addition, provide at least two training programs during a calendar year to
meet needs specifically identified by:
a. institutional Access users
b. organizational Access users.
3. Manage scheduling, registration,provision of course materials, evaluation and
other administrative tasks for the above training courses.
B. Task II: Equipment and Facilities
1. Develop and maintain inventory records of equipment purchased for Access
use out of Access capital or operating grants, specified in Saint Paul Legislative Code
Appendix H.
2. Develop and implement an annual plan for Access equipment maintenance
and repair; provide or arrange for equipment maintenance and repair according to
the plan.

3. Develop and implement policies for check out and use of Access equipment
and facilities; manage equipment/facilities check out and use.
4. Secure and maintain insurance on Access equipment and facilities managed
by CASP as inventoried at 213 East Fourth Street.
5. Provide recommendations to the City on Access equipment purchase or
replacement according to timelines mutually agreed upon with the City.
6. Receive and inspect equipment and facilities purchased with Access operating
or capital grants specified in Saint Paul Legislatzve Code, Appenditc H.
7. Develop and maintain facilities for Access training, production, editing and
administration of access in keeping with the provisions of the City's franchise
agreement with the Cable Company.
C. Task III: Access Channel Time
1. Schedule use of the Access Channels on the Cable Company's subscriber and
institutional networks designated by the City and the Cable Company for Access
purposes, as described in subparagraphs 2., 3., and 4., below.
These Access Channels shall not include any channels allocated for use by the City
of Saint Paul.
2. Develop policies and procedures for allocating, reserving and using time on
the Access Channels, as described above; manage implementation according to the
policies and procedures.

3. Arrange for playback of video, audio and text programming on the Access
Channels as described above in accordance with policies and procedures.
4. Provide recommendations to the City on the need for changes in the number
of Access Channels, as requested.
D. Task IV: Promotion of Access
1. Develop, publish and disseminate at least one printed document during each
� contract year describing the Access resources available in the City of Saint Paul and
how to make use of these resources.
2. Provide information for publication in Saint Paul community newspapers and
other media about Access activities at least once per quarter during each contract
year.
3. Publish or arrange for publishing at CASP's expense regular schedules of
programming cablecast on the designated Access Channels.
4. Publish or arrange for publishing at CASP's expense schedules and registration
information for Access training described under Task I above.
5. Provide or arrange for speakers to discuss Access activities and opportunities
in Saint Paul upon request by Saint Paul organizations.
6. Respond to requests for information about Access resources and activities in
the City of Saint Paul.
7. Develop other strategies and materials to promote Access within the City of
Saint Paul.

8. Develop at least one outreach program per calendar year quarter aimed at
institutional users.
E. Task V: Qther Management Services
1. Prepare by May 1 an annual budget and workplan for Access development
within the City of Saint Paul.
2. Maintain annual records of equipment/facilities purchase, use, and
maintenance; use of Access channel time; records of Access training; and complaints
or disputes related to Access handled by CASP.
3. Maintain annual records of all payments, expenditures, and other uses of the
Access operating grant and provide for an annual audit of such records.
4. The City shall have the right to inspect CASP's records maintained in
conformance with subparagraphs 2. and 3., above, of this section during regularly
scheduled business hours or at such other time mutually-agreed-upon by the City and
CASP.
5. Provide three written quarterly reports and one annual report to the City of
Saint Paul on the following dates using the format described in Appendi�c A. Two
copies of each report shall be filed; one with the Office of Cable Communications
and one with the President of the Saint Paul City Council.
May 1 - Quarterly Report (for period 1/1 to 3/31)
August 1 - Quarterly Report (4/1 to 6/30)
November 1 - Quarterly Report (7/1 to 9/30)
February 1 - Annual Report (10/1 to 12/31 plus summary of
year in total)

6. Additionally, CASP shall designate a representative to annually make a
presentation of the Annual Report to the Saint Paul City Council on or about
February 1.
7. Provide notices and minutes of monthly CASP Board meetings and notices
and minutes of annual and special membership meetings to the Office of Cable
Communications, the Mayor and the City Council.
8. Provide copies of insurance documents and budgets, related to terms and
conditions of this Agreement, to the City upon request, with reasonable notice.
9. Provide two copies of promotional materials to the Office of Cable
Communications.
10. Develop a plan to provide support to institutions and organizations that may
include the use of the Cable Company's institutional network, including, but not
limited to, planning assistance, scheduling and playback of programming, and
providing technical assistance. Deliver plan to the Office of Cable Communications
by December 1, 1991.
II. EVALUATION
CASP agrees that an overall written evaluation of its performance of this Agreement
including an on site inspection shall be performed annually by the Cable Communications
Officer following receipt of the Annual Report unless another method is determined by the
City Council. Any evaluation shall be based on the fulfillment of the terms and conditions
herein. Should the City find any instances of non-compliance after a regular quarterly
review, the Cable Communications Officer shall transmit a description of the areas of non-
compliance in writing to CASP within 30 days of receipt of CASP's quarterly report. CASP

shall respond to such notices within 15 working days of receipt in writing, detailing
conective actions to be taken.
III. EQUIPMENT OWNERSHIP
CASP agrees that any equipment or production facilities purchased with the $1.2
million capital grant specified in the franchise agreement between the Cable Company and
the City of Saint Paul is the sole property of the Cable Company with no right, title, or
interest therein vesting in CASP; and, that any equipment, furniture, or other capital items
purchased with the annual operating grant specified in the franchise agreement is the sole
property of the City with no right, title, or interest therein vesting in CASP.
IV. STATUS OF EMPLOYEES
At all times, CASP, its agents and employees are independent contractors and not
employees of the City and are entitled to none of the rights, privileges, and benefits granted
regular City employees.
V. HUMAN RIGHTS ORDINANCE
CASP agrees to be bound by Sections 183.01, 183.02, 183.03, 183.032, 183.18 of
Chapter 183 of the Saint Paul Legislative Code.
VI. OFFICIALS DESIGNATED - CASP
CASP designates Executive Director as the person to be contacted by the City
regarding this Agreement. The Board of Directors of CASP shall be the final authority in
any CASP policy determinations.

The City designates the Cable Communications Officer of the Citywide Information
Services Division as the person to be contacted by CASP regarding this Agreement.
VIII. ANNUAL GRANT
For CASP's faithful performance of the services set forth in Article I., hereabove, the
City agrees to direct the Cable Company to pay the annual Access operating grant to CASP.
For the duration of this Agreement the operating grant will be the total sum of $200,000,
payable in quarterly installments on the following dates:
August 15 $50,000
November 15 $50,000
February 15 $50,000
May 15 $50,000
Provided, however, pursuant to Saint Paul Legislative Code Appendix H, said total
sum shall increase in direct proportion to increases in the Cable Company's basic subscriber
rate.
In addition, the City reserves the right to withhold payment for non-compliance with
this Agreement. The City reserves the right to reallocate financial support to another
Access entity or to other cable related purpose for public benefit pursuant to Article III,
Section 6d of Saint Paul Legislative Code Appendix H.
Should the City decide to withhold one or more payments for non-compliance as
determined in section II, the City shall send a written notice to CASP at least five working
days in advance containing the following:
■ Amount being withheld;
■ Specific reasons for withholding payment;

■ Conective actions requested;
■ Identification of dates by which corrective action is to be completed.
CASP may request in writing to the Mayor's Office opportunity to appear before the
Mayor to discuss the withholding action, reasons for the withholding action or terms
associated with conection.
IX. TERMINATION
The City reserves the right to terminate this Agreement or designation as the Access
entity without cause on thirty days written notice. However, should the City decide to
terminate, CASP shall have 60 days from the date of receipt of the written termination
notice to transfer the Access funds, equipment and other items to the new Access entity as
directed by the City. After receipt of the termination notice, but before the 60-day
transferral period is up,CASP may request an opportunity to appear before the City Council
to discuss the reasons for termination.
Notwithstanding any provision contained in this Agreement to the contrary, CASP
shall be entitled to pay its expenses incurred in the normal course of its business until such
time as it is obligated to effect the above-referenced transfer.
X. REAS5IGNMENT
CASP acknowledges that it has received notice that, pursuant to Article III, Section
6 of Saint Paul Legislative Code Appendix H, the Cable Company may negotiate with the
City to reallocate financial support to another Access entity or to other cable related
purpose for public benefit. Should the Cable Company submit a request to reallocate
support to the City, the City shall notify CASP of such action in writing within ten days of
receipt of request from the Cable Company, and shall permit CASP to participate as an

interested party in any public meetings or hearings concerning the Cable Company's request
for a reallocation of support.
XI. CONDITIONS OF DISSOLUTION
Subject to CASP's right to pay its normal operating expenses, as set forth above
(Article IX. Termination), in the event that the City reallocates financial support to another
Access entity, or in the event of the dissolution of CASP, any unspent or unobligated dollars
of current or past annual operating grants shall be paid to the City or any other Access
entity designated by the City, within 60 days of notification of reallocation or dissolution;
and CASP shall release control over all Access equipment purchased with the capital grant
or annual operating grant provided by the Cable Company and all supplies inventoried and
capitalized by CASP in the amount of$500 or above, except those items which are identified
in the books and records of CASP as purchased with funds other than the Access operating
grant.
XII. DISPOSITION OF DOCUMENTS/MATERIALS
Additionally, in the event that the City reallocates the Access function or in the event
of the dissolution of CASP, the City reserves the right to make copies of all CASP
documents, files, computer disks, etc. related to Access operations in the City of Saint Paul, -
including but not limited to lists of trained and certified Access users and their respective
levels of training and certification; forms necessary to the day-to-day operations of Access;
operating policies and procedures. This requirement shall not include any CASP
membership lists. Disposal of all resources not specifically included above shall be through
negotiation between the City and CASP.

CASP Performance Agreement 1991 - 1992
At any time, but no later than 60 days prior to the termination of this Agreement,
CASP may submit a written request for the renewal of this contract to the City. The written
request shall include an outline of the content of the proposed contract and any other items
for discussion as part of the Agreement renewal process. The City shall respond to this
request for renewal in a timely manner.
XIV. COMPLAINTS
CASP may, at any time, file in writing with the Office of Cable Communications,
complaints concerning the operation of the cable system that have a bearing on CASP's
performance under this Agreement. The Cable Communications Officer shall investigate
the complaints pursuant to Saint Paul Legislative Code 430.034. CASP may further request
an opportunity to appear before the Mayor any time to discuss concerns over the operation
of the cable system that have a bearing on CASP's performance under this Agreement.
XV. TERM OF AGREEMENT
This Agreement shall commence at the execution date of this document and shall
remain in effect until May 10, 1992.
XVI. AMENDMENTS TO AGREEMENT
This Agreement may be amended upon the mutual agreement of CASP and the City.
Any and all amendments shall be in writing and effective upon execution by duly qualified
officers of CASP and the City.
XVII. AGREEMENT WHOLE AND CONCLUSIVE
The parties expressly state that this Agreement, together with Appendiaces and
Amendments, constitutes the whole understanding of the parties as to the performance of

Attached is a list of the matters referred to the Public Works Committee. Upon
review by the City Council and administration, it was determined that all items
on this list, with referral dates between January 1, 1988 through December 31,
1991, can be withdrawn except for the following items:

of these items.
