THE COUNCIL OF THE CITY OF SAINT PAUL DOES ORDAIN: Section 1. That permission and authority are hereby granted to Ace Auto Parts & Salvage Company hereinafter referred to as the "Permittee" and its successors in interest by the City of of Saint Paul hereinafter referred to as the "City" to use said right-of-way as a parking lot only. That the authority granted to the Permittee shall not be interpreted as an exclusive right to use said parking lot . That said parking lot shall be open to an6 available for parking , free of charge, to the general public and customers of other businesses in the general vicinity. Section 2 . That the area to be used for parking is described as follows : (per Exhibit "A" attached) Section 3 . That the Director of the Department of Public Works is hereby authorized to issue a permit to the Permittee and its successors in interest to use said right-of-way as a parking lot upon Permittee ' s compliance with the following conditions : a. That said Permittee shall submit and receive approval of a site plan of the proposed parking lot , from the Director of Public Works prior to the use of said right-of-way for parking . b. That said Permittee shall pay all development and construction costs and site-plan fees , including but not limited to costs for paving the parking lot and screening along boundary of the parking lot areas as may be required. c. That said Permittee shall pay the costs of administration, engineering and inspection incurred by tie Department of Public Works because of this uidertaking . gr----97-7/er9 /713 " d . chat the use of said surplus right-of-way is for an ' ndefinite temporary term and that upon 60 days otification to the Permittee and its successors in nterest by the Department of Public Works , said : ermittee shall remove all parking lot improvements and gelinquish the use of said parking lot. e . n lieu of rent , Permittee shall pay all costs and expenses for all maintenance and repair of said parking .:rea , including but not limited to , repair of asphalt ..urfacing , sweeping , trimming of shrubbery and plowing .end removal of snow to the satisfaction of the mepartment of Public Works. Should Permittee fail to aintain parking area as prescribed , Public Works will •erform said maintenance and bill permittee for its , osts . Permittee ' s failure to pay Public Works for aintenance shall result in cancellation of the •rdinance parking lot permit . f . saxes . Permittee shall be responsible for and pay all axes and assessments against the Permit Premises , -xcept that Permittee may, at its own expense , contest :rid challenge the imposition or amount of any such tax .r assessment as prescribed by law; provided , however , tat in the event this permit is terminated by either *arty, City may, at its option , require the Permittee to *ay such contested taxes pending appeal, to place in -scrow a sum sufficient to pay said taxes , or take other .ction which will remove said contested taxes as an -r,cumbrance to title or as an exception to the transferability of marketable title to the Leased iremises . g . hat said Permittee and/or its successors in interest shall fully indemnify, hold harmless , and defend the ity of Saint Paul , its agents , officers , and employees , from any and all damages, claims , leases , judgments , suits , or expenses and on account of all claims of whatever nature or injury to persons and/or property arising out of or connected with the construction , maintenance , operation, and/or removal of said parking lot and by the permission and authority granted herein; and that supplemental to all other obligations on their part , jointly, and/or severally, hereunder , said Permittees and/or its successors in interest shall furnish and maintain , and pay all premiums and other expenses t`ierefore , casualty insurance coverage with a duly licensed casualty insurance company, naming the Permittee and the City as jointly insured to the extent of $600 ,000 for injury to any person and/or persons in 2 ORIGINAL V-#i9 a y single incident and to the extent of $200 ,000 for d.mage to property in any single accident and insuring tie City of Saint Paul against liability on account of a 1 claims of third persons for injury to person(s) aid/or property arising from or connected with the construction, maintenance , operating of said parking lot h: reunder at all times .
