WHEREAS, in • junction with the reconstruction of the 1-94 and 35Ei4hrough downtown Saint Paul,the
Minnesota Dep:rt ent of Transportation has prepared three landscape improvement plans under State
Project number. :282-167, 6282-166 and 6283-151, and
WHEREAS,th:s: landscape improvements contain design elements requested by the City of Saint Paul,
the Capitol Are. , chitectural and Planning Board, and the Minnesota Department of Administration
concerning irrig:ti•n systems, plant locations and species, as part of the aesthetic improvements along
this section of t e nterstate system, and
WHEREAS,the 1. dscaping will require a joint maintenance effort between the City of Saint Paul and the
State of Minne it , and
WHEREAS, an ..'eement numbered 68289 stipulating the terms of the maintenance effort has been
drafted by the la - of Minnesota, and
WHEREAS,Cit s aff has estimated an annual cost to the City, in 1991 dollars, regarding the City's

THIS AGRE DI T IS MADE AND ENTERED INTO by the State of Minnesota,
Department of Transportation, acting by and through its
Commissioner of Transportation, hereinafter referred to as "Mn/DOT"
and the Cite .f St. Paul, Minnesota, acting by and through its City
Council, hereinafter referred to as the "City" .
WITNESSETH:
WHEREAS, it i the policy of Mn/DOT, while providing trunk highways
for improved transportation, to integrate the highway facilities
into the su ounding environment, to improve the aesthetics of the
highway cor ' dor, and to provide the opportunity for community use
of lands whi•h might otherwise remain unused; and
WHEREAS, M /4OT rights-of-way along the Interstate Trunk Highway
No. 94 an. No. 35E corridors are to be used jointly or
independentl by Mn/DOT and the City for purposes such as
landscaping . nd streets; and
WHEREAS, M /DOT has awarded three construction projects within
those trun ighway corridors under State Projects No. 6280-232
(T.H. 35E) , o. 6280-252 (T.H. 35E) and No. 6280-271 (T.H. 35E)
which inclu. = areas that are within the jurisdiction of the Capitol
Area Architectural and Planning Board and have features that were
aestheticall designed to be compatible with the Capitol Area
Master Pla ; and
WHEREAS, t e City wants to improve the entrances to the downtown
area and h-s entered into an agreement with Mn/DOT (Agreement No.
67297 date. August 17, 1990 under State Project "No. 6280-252)
providing io payment by the City to Mn/DOT of the costs of the
construction of gateway obelisks, ornamental railings and concrete
corner pos 's which will be within existing Mn/DOT rights-of-way;
and

WHEREAS, . DOT has programmed three landscape projects within
those trun highway corridors under State Projects No. 6282-167
(T.H. 94) heduled for a June 28, 1991 letting and No. 6282-166
(T.H. 94) -n. No. 6283-151 (T.H. 94) scheduled for a July 24, 1992
letting wh' c include areas that are within the jurisdiction of the
Capitol A e.: Architectural and Planning Board which has plan
approval r [gzts pursuant to Minnesota Statute Section 15. 50; and
WHEREAS, phase landscaping projects contain design elements
specifical y requested by the City, the Capitol Area Architectural
and Planni g Board and the Minnesota Department of Administration
such as i . r ' gation systems, plant material species, size and
locations - . coordinated by an interagency design committee
appointed •y and to represent, the above said parties; and
•
WHEREAS, th- innesota Department of Administration, Mn/DOT and the
City have e pressed a concern that the sodded, irrigated and
landscaped = eas at street level and in the terraced planters to be
constructed .nder the aforesaid projects be maintained in such a
way that it-. =ppearance will be consistent with that of the Capitol
Complex; an.
WHEREAS, it ' s the desire of Mn/DOT and the City to enter into an
agreement t -t provides for the maintenance of certain facilities
to be locat=d along the Interstate Trunk Highway No. 94 and No. 35E
corridors t . - are of special interest to Mn/DOT, the City and the
Minnesota D . .artment of Administration; and
•
WHEREAS, the interagency design committee established to plan the
extensive c a ges to the project area to ensure compatibility with
the Capitol Complex, have agreed upon the attached Exhibits as the
basis for t . iz agreement; and

WHEREAS, a emorandum of Understanding between Mn/DOT and the
Minnesota D: . rtment of Administration provides for the sharing of
maintenance •esponsibilities for those facilities that Mn/DOT is
responsible :or maintaining under this agreement.

NOW, THERE or , IT IS MUTUALLY AGREED AS FOLLOWS
1 . 14.n satisfactory completion of each of the scheduled
projects, •h- City shall properly maintain, without cost or expense
to Mn/DOT, t ose areas constructed under the scheduled projects as
shown in g men color on Exhibit "A" which is attached hereto and
made a par hereof by reference as they lie within the highway
corridor, -n4 including all of the natural elements a part thereof.
The City w' li pursue funding allocations to achieve the landscape
maintenanc= :uidelines in Exhibit "A" . Should funding not become
immediatel =vailable the City shall maintain those areas to the
maintenanc_ •.tandards the City has in place, for the maintenance of
its own pa k system.
2. p4n satisfactory completion of each of the scheduled
projects, M DOT or the Department of Administration shall properly
maintain, ' thout cost or expense to the City, those areas
constructed) nder the scheduled projects as shown in yellow or blue
color on E ibit "A" which is attached hereto and made a part
hereof by e' erence as they lie within the highway corridor, and
including - 1 of the natural elements a part thereof.
3. A ' eptance dates for the maintenance responsibility of
the project -reas will coincide with contract acceptance dates for
landscaped a eas. These dates will occur 30 days following sod
installatio and at the end of the plant establishment period
following i tial planting operations (two calendar years) .
4. U••n satisfactory completion of each of the scheduled
projects, .=a h party shall properly maintain, without cost or
expense to t e other party all of the landscaping in accordance
with the de ' gn intent of the projects, which includes, but is not
limited to, ' rrigation systems, plants, shrubs, mulch, trees,

planters, s.dded lawns and plant replacement, construction under
the project'. as shown by area in each party's appropriate color on
Exhibit and including all of the natural elements as part
thereof. Ih - City will pursue funding allocations to achieve the
landscape . intenance guidelines in Exhibit "A" . Should funding not

the maintenance standards the City has in place, for the
maintenance of its own park system.
5. Mn/DOT permit obtained by the City and approved by
Mn/DOT is =quired for non-routine maintenance or restoration work
to be perf• imed within trunk highway right-of-way.

activity t t would require traffic control or rerouting on Trunk
Highway No. 35E/94 ramps or frontage roads.
7. 1 e City will not assign this agreement, and will not
make or s f er any alteration to be made in or on the property,
without th:- ritten consent of Mn/DOT. At all times during the term
of this a:r-ement, Mn/DOT shall have the right, by itself, its
agents and :mployees, to enter into and upon the land covered by
this agree, : nt for the purpose of examining and inspecting the
same, and for the purpose of inspection, maintenance, repair or
reconstruc on of the highway facilities or other related matters
pertaining o the safety and health of the general public.

9. 'e City indemnifies, saves and holds harmless Mn/DOT and
its agents -nd employees thereof from all claims, demands, actions
or causes el action of whatsoever nature or character, arising out
of, or b reason of the City's use of the herein described
premises.
10 . ' 1 employees of the City and all other employees of any
other ent ies while engaged in the maintenance shall not be
considere• :mployees of Mn/DOT and all claims that may arise under
the Worker' - Compensation Act of the State of Minnesota on behalf
of the employees while so engaged and any claims made by any third
parties as - consequence of any act or omission on the part of the
employees hile so engaged in the maintenance shall be the
obligation ' r responsibility of the City.
