RESOLUTION APPROVING AND AUTHORIZING THE EXECUTION
OF A MEMORANDUM OF UNDERSTANDING WITH RK MIDWAY LLC
REGARDING THE REMEDIATION OF POLLUTION ON THE
MIDWAY CENTER SITE
WHEREAS, the City Council by Resolution No. 95-1OJ25-8 authorized the
submission of a Contamination Cleanup Grant application to the Minnesota
Department of Trade and Economic Development for the Midway Center site and
the City was awarded a grant of $481,482.00; and
WHEREAS, RK Midway LLC, the present owner of the P+Iidway Center site,
wants to perform remediation and clean up work at the site in accordance
with a Voluntary Remediation Action Plan accepted by the Minnesota Pollution
Control Agency and then redevelop the site; and
wHEREAS, the estimated total cost of cleanup is $1,596,000.00, which
cost will be paid by the state grant of $481,482.00, a loan from the City
of $922,518.00 from HUD Section 108 loan guaranty funds, to be paid back to
the City through tax increments and a City contribution of $192,000.00; and
WEiEREAS, City staff has negotiated a Memorandum of Understanding with
RK Midway LLC, for City Council consideration; now, therefore, be it
RESOLVED, that the City Council of the City of St. Paul, hereby approves
and authorizes execution of the Memorandum of Understanding in the form as
attached hereto and authorizes the Mayor, Director, Department of Planning
and Economic Development, and Director, Office of Financial Services to
execute the Memorandum of Understanding, subject to approval by the City
Attorney; and

FURTHER RESOLVED, that staff is authorized to proceed with the
preparation of a final Development Agreement and related documents among the
City, HRA and RK Midway LLC, the terms of which will be consistent with and
which will supersede the Memorandum of Understanding within thirty days
after adoption of this Resolution.
