PAUL FOR RECORDING AA`D BROADCAST SERVICES Th3s Agreement is between Ramsey Counry (hereinafter "County"), by the Ramsey County Department of Property Mana;ement, and the City of St. Paul (hereinafter "City"), by the St. Paul Office of Cable Commun3cations. WHEREAS, the renovation of the 3t. Paul City HaIURamsey County Courthouse (hereinafter "CHCH") that was completed in 1943 included installation of recording and cable cast equipment for the Council CHambers on the third floor of the building; and WHEREAS, since April 1, 1495, by written agreement between the City and the County, meetings of the Board of Ramsey County Commissioners and of Board committee meetings in the Council Chambers have been recorded and broadcast live on St. Paul cable television by ihe City's Office of Cable Communications; and WHEREAS, the Board of Ramsey County Comrnissioners wishes to continue to have the City record and cable cast these meetings; and WHEREAS, pursuant to the March 15, 1988, CHCH Management Agreement, the County's responsibilities include the obii�ation to maintain, repair and replace all equipment used and located in Common Areas and to provide major maintenance, repairs, and services for Building Systems, including electrical systems; NOW, TTiEREFORE, the County and the City agree as foilows: I. SCOPE QF CITY SERVICES A. The City shali record and cable cast the meetings of the Board of Ramsey County . Commissioners ("County Board") and meetin�s of County Board committees 13ve on the local St. Paul cable channel. In addition, the City shall provide the County wath administrative oversioht/graphics consultation, not to exceed four hours per month unless previously approved by the County's Airector of Property Management. B. The City shall fumish ail labor and equipment necessary to perform the services under this AJreement, it being understood that the City shall utilize buildin� equipment andtor City owned equipment for the recording and cable cast of the County Board and cotnmittee meetings and that up to two technicians will be required for each meetin� recorded. C. By 12:00 noon followin� the day of recordin� a meeting, the City shall provide two edited videocassettes of the meeting to County Property Management staff. Editing 3. 9�-37D shall be in accordance with standazds that are compazable to other cable cast programming. D. Starting in 1999 and for any extension of this Agreement, the City sha11 maintain a Capital Replacement Fund (hereinafter "Fund") for the Ciry's equipment used for the recording and cable cast of County Board and comrnittee meedngs in the Council Chambers. Contributions to the Fund in 1499 shail be shazed between the City and the County based upon the 50l50 usage of the equipment in 1998, or such other percent as agreed by the parties based on 1998 actual usage, provided the County's percentage does not exceed 5Q percent. Contributions for subsequent years will be deternuned by the Directors of Cable Communications and Property Management at year's end and will be modified appropriately. II. SCOPE OF COUNTY SERVICES A. During tbe term of this Agreement, the County anticipates conducting most, if not all, meetings of the Boazd of Counry Commissioners and all cotntnittee meetings of the County Board in the Council Chambers on the third floor of the CHCH. B. The County shall provide the City with a copy of all Boazd and comtnittee agendas to be recorded. C. The County shall provide the City with all videotapes needed under this Agreement. D. Pursuan[ to the County's responsibilities under the March 15, 1988, Management Agreement, to maintain, repair and replace all equipment used and located in Common Areas and to provide major maintenance repairs and services for Building Systems, the County, jointly agreed to with the Office of Communications, may replace the lighting equipment in the Councii Chambers as deemed necessary for utilization of the space by the County Board. E. In 1999, the County agrees to contribute wi[h the Office of Cable Communications to the Fund on an on-going 50/50 usage of the equipment in 1998, or such other percent as agreed by the parties based on 1998 actual usa�e, provided the County's percentage does not exceed 50 percent. In subsequent years, during any extension of this contract, the County will pay a percentage mutually agreed Co by the parties. At no time shall the percentage of the Fund payment from the Colmty exceed the percentage of the County's use of the equipment to be replaced by the Fund. III. COMPENSATION/PAYMENT A. The County sha11 pay the City for ongoing services as follows: l. for technician time for pre-telecast room set-up, recording and play-back editing services: at the actual hourly rate plus 2790 for benefits; and 2. for administrative oversighUgraphics consultation: at the rate of $ZS per hour. `? • 9��3�0 B. The City shall submit an invoice to the County on a quarterly basis, including the dates and hours of services for the previous quarter, for ongoing services. The City may include the County's quarterly contribution to the Fund on the City's invoice for ongoing services. C. The County shall pay uncontested amounts to the City within thirty-five (35) days of receipt of an invoice. D. Payment of interest and disputes shall be governed by the provisions of Minn. Stat. {471.425. IV. TERI�I A. The initial term of this Agreement is for the two-yeaz period from January 1, 1998, through December 31, 1999. B. The Agreement will automatically extend for additional one yeaz periods, up to a maximum of five years total for the initial and extended terms, unless either party no[ifies the other in wziting at least ninety days in advance of the expiration of the then-current term of its intention not to extend t�e agreement. Such extensions wiil be on the same terms and conditions as the original agreement uniess the parties agree otherwise in writing. C. Eicher party may ternunate this agreement wich or without cause upon sixty (6�) days' written notice to the other party. V. GEn'ERAL TERMS AND CONDITIONS A. Indemnifacation The County and the City each agree to defend, indemnify and hold harniless the other, its officials, empioyees, and agents, from any and all liability, loss or damage i[ may suffer as a result of claims, demands, judgments, or costs, including reasonable attorney's fees, azising out af or related to the indemnifying party's performance of this A�reement. B. A3terations Any alterations, variations, modifications, or waivers of provisions of ihis Agreement shail only be valid when zeduced to writing and signed by both parties. In addition, the City shall provide the County wath administrative oversioht/graphics consultation, not to exceed four hours per month unless previously approved by the County's Airector of Property Management. B. The City shall fumish ail labor and equipment necessary to perform the services under this AJreement, it being understood that the City shall utilize buildin� equipment andtor City owned equipment for the recording and cable cast of the County Board and cotnmittee meetings and that up to two technicians will be required for each meetin� recorded. C. By 12:00 noon followin� the day of recordin� a meeting, the City shall provide two edited videocassettes of the meeting to County Property Management staff. Editing 3. 9�-37D shall be in accordance with standazds that are compazable to other cable cast programming. D. Starting in 1999 and for any extension of this Agreement, the City sha11 maintain a Capital Replacement Fund (hereinafter "Fund") for the Ciry's equipment used for the recording and cable cast of County Board and comrnittee meedngs in the Council Chambers. Contributions to the Fund in 1499 shail be shazed between the City and the County based upon the 50l50 usage of the equipment in 1998, or such other percent as agreed by the parties based on 1998 actual usage, provided the County's percentage does not exceed 5Q percent. Contributions for subsequent years will be deternuned by the Directors of Cable Communications and Property Management at year's end and will be modified appropriately. II. SCOPE OF COUNTY SERVICES A. During tbe term of this Agreement, the County anticipates conducting most, if not all, meetings of the Boazd of Counry Commissioners and all cotntnittee meetings of the County Board in the Council Chambers on the third floor of the CHCH. B. The County shall provide the City with a copy of all Boazd and comtnittee agendas to be recorded. C. The County shall provide the City with all videotapes needed under this Agreement. D. Pursuan[ to the County's responsibilities under the March 15, 1988, Management Agreement, to maintain, repair and replace all equipment used and located in Common Areas and to provide major maintenance repairs and services for Building Systems, the County, jointly agreed to with the Office of Communications, may replace the lighting equipment in the Councii Chambers as deemed necessary for utilization of the space by the County Board. E. In 1999, the County agrees to contribute wi[h the Office of Cable Communications to the Fund on an on-going 50/50 usage of the equipment in 1998, or such other percent as agreed by the parties based on 1998 actual usa�e, provided the County's percentage does not exceed 50 percent. In subsequent years, during any extension of this contract, the County will pay a percentage mutually agreed Co by the parties. At no time shall the percentage of the Fund payment from the Colmty exceed the percentage of the County's use of the equipment to be replaced by the Fund. III. COMPENSATION/PAYMENT A. The County sha11 pay the City for ongoing services as follows: l. for technician time for pre-telecast room set-up, recording and play-back editing services: at the actual hourly rate plus 2790 for benefits; and 2. for administrative oversighUgraphics consultation: at the rate of $ZS per hour. `? • 9��3�0 B. The City shall submit an invoice to the County on a quarterly basis, including the dates and hours of services for the previous quarter, for ongoing services. The City may include the County's quarterly contribution to the Fund on the City's invoice for ongoing services. C. The County shall pay uncontested amounts to the City within thirty-five (35) days of receipt of an invoice. D. Payment of interest and disputes shall be governed by the provisions of Minn. Stat. {471.425. IV. TERI�I A. The initial term of this Agreement is for the two-yeaz period from January 1, 1998, through December 31, 1999. B. The Agreement will automatically extend for additional one yeaz periods, up to a maximum of five years total for the initial and extended terms, unless either party no[ifies the other in wziting at least ninety days in advance of the expiration of the then-current term of its intention not to extend t�e agreement. Such extensions wiil be on the same terms and conditions as the original agreement uniess the parties agree otherwise in writing. C. Eicher party may ternunate this agreement wich or without cause upon sixty (6�) days' written notice to the other party. V. GEn'ERAL TERMS AND CONDITIONS A. Indemnifacation The County and the City each agree to defend, indemnify and hold harniless the other, its officials, empioyees, and agents, from any and all liability, loss or damage i[ may suffer as a result of claims, demands, judgments, or costs, including reasonable attorney's fees, azising out af or related to the indemnifying party's performance of this A�reement. B. A3terations Any alterations, variations, modifications, or waivers of provisions of ihis Agreement shail only be valid when zeduced to writing and signed by both parties.
