AGREEMENT
This contract, made and entered into this day of December,
1997 by and between the CITY OF SAINT PAUL, a municipal corporation
within the State of Minnesota, hereinafter referred to as "City"
and KOLL, MORRISON & CHARPENTIER, hereinafter referred to as "KMC",
a law firm licensed to practice law in the State of Minnesota.
KMC shall perform all services described herein as an independent
contractor, not as an employee of the City.
SCOPE OF SERVICES
KMC will act as attorney in the defense of the City on workers'
compensation claims, when such claims are referred to KMC by the
City for defense, and shall also give legal advice to the City when
requested on workers' compensation claims and issues. In
connection therewith, KMC will take direction from the City and its
designated manager with respect to the defense of the workers'
compensation claims and shall adhere to any protocols established
by the City in conducting the defenses of claims referred to it by
the City.
INDEPENDENT CONTRACTOR
It is agreed by the parties that, at all times and for all purposes
within the scope of this Agreement, the relationship of KMC to the
City is that of independent contractor and not as that of employee.
No statement contained in this Agreement shall be construed so as
to find KMC an employee of the City, and KMC shall be entitled to
none of the rights, privileges, or benefits of Saint Paul City
employees.
COMPENSATION
The compensation for the services rendered pursuant to this
Agreement shall be at the rate of $107.20 per hour, plus costs and
expenses in connection therewith. Such costs and expenses must be
approved by the City. KMC will be paid on a quarterly basis.
Under no circumstances shall the total compensation under this
contract for any calendar year exceed $37,000.
TERMINATION
It is agreed that this Agreement may be terminated by either party
with or without cause upon thirty (30) days written notice.
Charges which are accrued for services rendered shall survive any
termination of this Agreement.

JLO wiif act as attorney in the defense of the City on workers' compensation
claims, when such claims are referred to JLO by the City for defense, and

defense of the workers' compensation claims and shall adhere to any
