WHEREAS, the City of Saint Paul Public Works Traffic Division proposes to construct a traffic
signal at the intersection of Seventh Street (Trunk Highway 5) and Kittson Street according to
City of Saint Paul Public Works Traffic Division plans numbered T-1281 and State of Minnesota
Project Number 6228-58; and
WHEREAS, the total cost estimate of this project is $88,362 of which the Minnesota
Department of Transportation (MnDO� wiil participate in 50% of the construction costs because
the traffic control signal will benefit the flow of traffic on Seventh Street (Trunk Highway 5); and
10 WHEREAS, payment to the City of Saint Paul from MnDOT will be based on fiinal project
11 costs and authorized by Mn/DOT Agreement IVumber 76657; and

WNEREAS, City of Saint Paul Department of Public Works staff have reviewed the costs and
terms for the above agreement and recommend that it be approved and executed on behalf of
the City of St. Paul.
NOW, THEREFORE, BE IT RESOLVED, that the Counci{ of the City of Saint Paul hereby
approves Minnesota Department of Transportation Agreement Number 76657; and
BE IT FURTHER RESOLVED, that the Council of the City of Saint Pauf hereby directs that the
proper City officials be authorized to execute MnDOT Agreement Number 76657 on behalf of the
City of Saint Paul and sign all documents associated with it.

THIS AGREEMENT made and entered into by and between the
State of Minnesota, Department of Transportation, hereinafter
referred to as the "State", and the City of St. Paul, hereinafter
referred to as the "City", WITNESSETH:
WHEREAS, Minnesota Statutes Section 161.20 (1994)
authorizes the Commissioner of Transportation to make
arrangements with and cooperate with any governmental authority
for the purposes of constructing, maintaining and improving the
Trunk Highway system; and
WHEREAS, it is justified and considered mutually
desirable to remove the existing lighting system and install a
new traffic control signal with street lights, emergency vehicle
pre-emption and signing on Trunk Highway No. 5(East 7th Street)
at Kittson Street; and
WHEREAS, it is considered in the public's best interest
for the City to provide and install the pavement markings, and
provide a new controller and cabinet with emergency vehicle
pre-emption control and inCerface equipment for said new traffic
control signal. Such materials as described immediately above
shall hereinafter be referred to as "City furnished materials";
and
WHEREAS, the City and State will participate in the
cost, maintenance and operation of the new traffic control signal
with street lights, emergency vehicle pre-emption and signing, as
hereinafter set forth;

NOW, THEREFORE, IT IS AGREED AS FOLLOWS:
1. The City shall prepare the necessary p1an,

specifications and proposal which sha11 constitute "Preliminary
Engineering". The City shall also perform the construction
inspection required to compleCe the items of work hereinafter set
forth, which shall constitute "Engineering and Inspection" and
shall be so referred to hereinafter.
2. The contract cost of the work or, if the work is
not contracted, the cost of a].l labor, materials, and equipment
rental required to complete the work, except the cost of
providing the power supply to the service pole or pad, shall
constitute the actual "Construction Cost" and sha11 be so
referred to hereinafter.
3. The City with its own forces and equipment or by
contract sha11 remove the existing lighting system and install a
new traffic control signal with street lights, emergency vehicle
pre-emption and signing on Trunk Highway No. 5(East 7th Street)
at Kittson Street in accordance with State Project No. 6228-58
and City Project No. 97-T-1281. Estimated Construction Cost is
$73,003.00, which includes City furnished materials. State's
share is 50 percent. City's share is 50 percent.
4. Payment to the City will be made by the State for
5� percent of the actual costs plus eight (8) percent of its
share for the Cost of Engineering and Inspection of the City
furnished materials for Paragraph 3(estimated cost is

$13,200.00], £urnished to the project, and unon submission by the
City of an invoice in quintuplicate to the State`s Assistant
Aivision Engineer at Roseville itemizing the costs and certified
by a responsible City Official that said materials have been
furnished under the terms of this agreement. The invoice and
supporting records are subject to audit by the State's
representatives.
5. Upon completion of the work provided for in
Paragraph 3 hereof to the satisfaction of the State`s Assistant
Division Engineer at Roseville or his duly authorized
representative, the State shall pay to the City the State's
share of the actual Construction Costs plus eight (8) percent of
its share for the Cost of Engineering and Inspection.
6. The amount to be encumbered for payment to the
City from Trunk Highway Funds for the City furnished materials
and for the construction work gerformed under this Agreement is
$39,421.62, which is the State's share of the Construction Costs,
City furnished material Costs and Engineering and Inspection
Costs. In the event that at any time it appears that such
reimbursement wi11 exceed said sum, the City shall promptly
notify the State's Assistant Division Engineer at Roseville or
his duly authorized representative of the reason for the increase
in cost and the amount of additional funds necessary to complete
the project. If approved by the State's Assistant Division
Engineer at Roseville or his duly authorized representative,

additional funds shall be encumbered by the State and notice by
the State's Assistant Division Engineer at Roseville or his duly
authorized representative to the City of that additional
encumbrance wi11 permit the City to complete this project.
7. Payment to the City will be made by the State for
such contract work which is complete and approved and upon
submission by the City of an invoice in quintuplicate itemizing
the actuai Construction Cost and certified by a responsible City
official that said work has been completed under the terms of
this Agreement. The invoice and supporting records are subject
to audit by the State's representative at the direction of the
State.
8. In the event the City advertises for bids for all
or a portion of the work in Paragraph 3 hereof, the City shall
submit to the State a certified copy of the low bid received and
an abstract of all bids received by the City, together with the
City's request for concurrence by the State in the award of a
construction contract. Award of the contract shall not be made
until the State advises the City in writing of its concurrence.
9. The construction work provided for herein shall be
under the direction and supervision of the City. Zt is agreed,
however, that the State shall have the right to periodically
inspect said cost sharing construction work.
10. The City sha11 provide an adequate electrical
power supply to the service pad or pole, and upon comoletion of

said new traffic control signal with street lights installation
shall provide necessary electrical power for its operation at the
cost and expense of the City.
11. Upon completion of the work contemplated in
Paragraph 3 hereof, i[ shall be the City's responsibility, at its
cost and expense, to maintain and keep in repair said traffic
control signal with street lights, emergency vehicle pre-emption
and signing.
12. Any and all persons engaged in the aforesaid work
to be performed by the City sha11 not be considered employees of
the State and any and all claims that may or might arise under
the Worker's Compensation Act of this State on behalf of said
employees while so engaged, and any and a11 claims made by any
third party as a consequence of any act or omission on the part
of said employees while so engaged on any of the work
contemplated herein sha11 not be the obligation and
responsibility of the State. The City sha11 not be responsible
under the Worker's Compensation Act for any employees of the
State.
14. Timing of the traffic control signal provided for
herein sha11 be initially determined by the City's Traffic
Engineer. Adjustments o£ said signal timing may be determined by
the State, through its Commissioner of Transportation, and no
changes shall be made thereafter except with the approval of the
State.

signal at the intersection of Seventh Street (Trunk Highway 5) and Kittson Street according to
City of Saint Paul Public Works Traffic Division plans numbered T-1281 and State of Minnesota
Project Number 6228-58; and
WHEREAS, the total cost estimate of this project is $88,362 of which the Minnesota
Department of Transportation (MnDO� wiil participate in 50% of the construction costs because
the traffic control signal will benefit the flow of traffic on Seventh Street (Trunk Highway 5); and
10 WHEREAS, payment to the City of Saint Paul from MnDOT will be based on fiinal project

WNEREAS, City of Saint Paul Department of Public Works staff have reviewed the costs and
terms for the above agreement and recommend that it be approved and executed on behalf of
the City of St. Paul.
NOW, THEREFORE, BE IT RESOLVED, that the Counci{ of the City of Saint Paul hereby
approves Minnesota Department of Transportation Agreement Number 76657; and
BE IT FURTHER RESOLVED, that the Council of the City of Saint Pauf hereby directs that the
proper City officials be authorized to execute MnDOT Agreement Number 76657 on behalf of the
City of Saint Paul and sign all documents associated with it.

flow into and out of area businesses and parking faciliries at tlus intersecrion. MnDOT will parricipate in half

THIS AGREEMENT made and entered into by and between the
State of Minnesota, Department of Transportation, hereinafter
referred to as the "State", and the City of St. Paul, hereinafter
referred to as the "City", WITNESSETH:
WHEREAS, Minnesota Statutes Section 161.20 (1994)
authorizes the Commissioner of Transportation to make
arrangements with and cooperate with any governmental authority
for the purposes of constructing, maintaining and improving the
Trunk Highway system; and
WHEREAS, it is justified and considered mutually
desirable to remove the existing lighting system and install a
new traffic control signal with street lights, emergency vehicle
pre-emption and signing on Trunk Highway No. 5(East 7th Street)
at Kittson Street; and
WHEREAS, it is considered in the public's best interest
for the City to provide and install the pavement markings, and
provide a new controller and cabinet with emergency vehicle
pre-emption control and inCerface equipment for said new traffic
control signal. Such materials as described immediately above
shall hereinafter be referred to as "City furnished materials";
and
WHEREAS, the City and State will participate in the
cost, maintenance and operation of the new traffic control signal
with street lights, emergency vehicle pre-emption and signing, as
hereinafter set forth;

NOW, THEREFORE, IT IS AGREED AS FOLLOWS:
1. The City shall prepare the necessary p1an,

specifications and proposal which sha11 constitute "Preliminary
Engineering". The City shall also perform the construction
inspection required to compleCe the items of work hereinafter set
forth, which shall constitute "Engineering and Inspection" and
shall be so referred to hereinafter.
2. The contract cost of the work or, if the work is
not contracted, the cost of a].l labor, materials, and equipment
rental required to complete the work, except the cost of
providing the power supply to the service pole or pad, shall
constitute the actual "Construction Cost" and sha11 be so
referred to hereinafter.
3. The City with its own forces and equipment or by
contract sha11 remove the existing lighting system and install a
new traffic control signal with street lights, emergency vehicle
pre-emption and signing on Trunk Highway No. 5(East 7th Street)
at Kittson Street in accordance with State Project No. 6228-58
and City Project No. 97-T-1281. Estimated Construction Cost is
$73,003.00, which includes City furnished materials. State's
share is 50 percent. City's share is 50 percent.
4. Payment to the City will be made by the State for
5� percent of the actual costs plus eight (8) percent of its
share for the Cost of Engineering and Inspection of the City
furnished materials for Paragraph 3(estimated cost is

$13,200.00], £urnished to the project, and unon submission by the
City of an invoice in quintuplicate to the State`s Assistant
Aivision Engineer at Roseville itemizing the costs and certified
by a responsible City Official that said materials have been
furnished under the terms of this agreement. The invoice and
supporting records are subject to audit by the State's
representatives.
5. Upon completion of the work provided for in
Paragraph 3 hereof to the satisfaction of the State`s Assistant
Division Engineer at Roseville or his duly authorized
representative, the State shall pay to the City the State's
share of the actual Construction Costs plus eight (8) percent of
its share for the Cost of Engineering and Inspection.
6. The amount to be encumbered for payment to the
City from Trunk Highway Funds for the City furnished materials
and for the construction work gerformed under this Agreement is
$39,421.62, which is the State's share of the Construction Costs,
City furnished material Costs and Engineering and Inspection
Costs. In the event that at any time it appears that such
reimbursement wi11 exceed said sum, the City shall promptly
notify the State's Assistant Division Engineer at Roseville or
his duly authorized representative of the reason for the increase
in cost and the amount of additional funds necessary to complete
the project. If approved by the State's Assistant Division
Engineer at Roseville or his duly authorized representative,

additional funds shall be encumbered by the State and notice by
the State's Assistant Division Engineer at Roseville or his duly
authorized representative to the City of that additional
encumbrance wi11 permit the City to complete this project.
7. Payment to the City will be made by the State for
such contract work which is complete and approved and upon
submission by the City of an invoice in quintuplicate itemizing
the actuai Construction Cost and certified by a responsible City
official that said work has been completed under the terms of
this Agreement. The invoice and supporting records are subject
to audit by the State's representative at the direction of the
State.
8. In the event the City advertises for bids for all
or a portion of the work in Paragraph 3 hereof, the City shall
submit to the State a certified copy of the low bid received and
an abstract of all bids received by the City, together with the
City's request for concurrence by the State in the award of a
construction contract. Award of the contract shall not be made
until the State advises the City in writing of its concurrence.
9. The construction work provided for herein shall be
under the direction and supervision of the City. Zt is agreed,
however, that the State shall have the right to periodically
inspect said cost sharing construction work.
10. The City sha11 provide an adequate electrical
power supply to the service pad or pole, and upon comoletion of

said new traffic control signal with street lights installation
shall provide necessary electrical power for its operation at the
cost and expense of the City.
11. Upon completion of the work contemplated in
Paragraph 3 hereof, i[ shall be the City's responsibility, at its
cost and expense, to maintain and keep in repair said traffic
control signal with street lights, emergency vehicle pre-emption
and signing.
12. Any and all persons engaged in the aforesaid work
to be performed by the City sha11 not be considered employees of
the State and any and all claims that may or might arise under
the Worker's Compensation Act of this State on behalf of said
employees while so engaged, and any and a11 claims made by any
third party as a consequence of any act or omission on the part
of said employees while so engaged on any of the work
contemplated herein sha11 not be the obligation and
responsibility of the State. The City sha11 not be responsible
under the Worker's Compensation Act for any employees of the
State.
14. Timing of the traffic control signal provided for
herein sha11 be initially determined by the City's Traffic
Engineer. Adjustments o£ said signal timing may be determined by
the State, through its Commissioner of Transportation, and no
changes shall be made thereafter except with the approval of the
State.
