WHEREAS, the State of Minnesota now requires local government review of all new/renewal �`
applications for State Currency Exchange Licenses, and '
WHEREAS, the City has received an application for a currency exchange business to be
located at 785 E. Seventh Street, and
WHEREAS, staff of the Office of License, Inspections and Environmental Protection has
reviewed the application materials and found them to be in order and in compliance with
existing state requirements, and

WHEREAS, the City has duly notified appropriate community groups concerning the pending �,
application and held the required public hearing as required by state law, now, I
therefore, be it '
RESOLVED, that the Council of the City of Saint Paul does hereby recommend approval to i
the State of Minnesota for the Currency Exchange License Applications for Check Cashing
Place Inc. at 785 E. Seventh Street, Saint Paul, Minnesota. (RENEWAL APPLICATION)

Real Estate Agreement
ADDENDUM I to
LEASE AGREEMENT PD/17
WHEREAS, on May 1, 1989 the City of Saint Paul, hereinafter referred to
as the LESSEE, entered into Lease Agreement PD/17 with Luverne Worms,
hereinafter referred to as the LESSOR, granting to the LESSEE the use of
2, 485 square feet of office space in the building located at 1441 Rice
Street, St. Paul, Minnesota 55117, hereinafter referred to as the
Leased Premises, for a term of five years; and
WxEREAS, the LESSEE has requested, and the LESSOR has agreed, that the
size of the Leased Premises be amended to 3, 385 square feet with a
proportionate increase in rent; and
WHEREA3, the parties thereto have agreed to extend the term of the lease
from February 1, 1993 through January 31, 1998.
NOW THEREFORE, the LESSOR and the LESSEE do hereby agree to the fol-
lowing revisions to said Lease Agreement PW/12:
1. Paragraph (1) Leased Premises. shall be amended to read:
(1) Leased Premises. The LESSOR, in consideration of the payment
of the Basic Rent and Additional Rent hereinafter specified to be paid
by the LESSEE, and the covenants and agreements herein contained, does
hereby lease, demise and let unto LESSEE the premises hereinafter
referred to as the "Leased Premises, " whose address is:
1441 N. Rice Street Saint Paul. Minnesota 55117
consisting ot 3 , 385 square feet of finished office space and adjacent
off street parking for 31 vehicles.
2 . Paragraph (2) Term of Lease. shall be amended to read:
(2) Term of Lease: This lease shall be in effect for a term
commencing and ending on the dates indicated below, unless terminated
earlier by the either party as provided herein. .

3 . Paragraph (4) Basic Rent. shall be amended to read:

4 . Paragraph (5) Additional Rent. shall be amended to read:
(5) Additional Rent. The LESSEE shall pay all Additional Rent.
Additional Rent means all amounts, other than Basic Rent provided for in
paragraph (4) above, which LESSEE shall be obligated to pay under this
paragraph or other provisions of this Lease. Additional Rent includes,
but is not limited to, the following fees, costs and expenses: (a) all
electricity consumption.
LESSEE shall perform its own janitorial services; replace broken glass;
and plow and remove snow from Police parking and the Rice Street side-
walk only.
5. Paragraph (9� Cancellation or Termination. shall be amended to
read:
(9) Cancellation or Termination. This lease shall be subject to
cancellation and termination by LESSEE at any time during the term
hereof by giving the LESSOR notice in writing at least ninety (90) days
in advance of the date when such termination shall become effective,
except that should LESSEE exercise this clause before January 31, 1995,
the LESSEE shall be obligated to reimburse LESSOR for all construction
costs by LESSOR for the additional 900 square feet provided under this
Lease over and above the space leased under the existing Lease Agreement
PD/17. Furthermore, should LESSEE exercise this clause before January
31, 1995, LESSEE shall be obligated for all rents due through Jahuary
31, 1995.

6. Paragraph (12) Building Modifications. shall be amended to
read:
(12) Buildinq Modifications. The capacity of the air conditioning
unit and furnace shall be of sufficient size to maintain proper
temperature for cooling and heating throughout the Leased Premises.
7. Except as herein specifically amended, all terms, covenants and
conditions of said Lease Agreement PD/17 shall remain in full force and
effect.

(2) Term of Lease. This lease shall be in effect for a term

includes , but is not limited to , the following fees , costs and
expenses : (a) all electricity consumption ; (b) LESSEE shall perform
its own janitorial services ; (c) replacement of broken glass ; and (d)
snow plowing and removal.
(6) Tases. LESSOR shall be responsible for and pay all taxes and
assessments against the Leased Premises.

(7 ) Right of Entry. At all times during the term of this lease ,
the LESSOR shall have the right , by itself , its agents and employees ,
to enter into and upon the Leased Premises during reasonable business
hours for the purpose of examining and inspecting the same , provided
that such entry does not interfere with the conduct of official
business or compromise security of the team station.
( 8) LESSOR' S Insurance . The LESSOR shall be responsible for and
obtain the property insurance on the Real Property owned by the LESSQR.
(9) Cancellation or Termination. This lease shall be subject to
cancellation and termination by LESSEE at any time during the term
hereof by giving the LESSOR notice in writing at least ninety ( 90)
days in advance of the date when such termination shall become
effective. In the event of such termination any unearned rental paid
by the LESSEE shall be returned to LESSEE without interest on the
effective date of termination of the lease.
( 10) Notice. All notices herein provided to be given , or which
may be given by either party to the other , shall be deemed to have
been fully given when served personally on LESSOR or LESSEE , or when
made in writing and deposited in the United States. Mail , certified and
postage prepaid , and addressed to the LESSOR at the address stated on
page ( 1 ) and to the LESSEE at the Division of Valuations , Real Estate
Section , 218 City Hall , Saint Paul , Minnesota 55102. The address to
which the notice shall be mailed may be changed by written notice
given by either party to the other. Nothing herein shall preclude the
giving of such address change notice by personal service.
( 11 ) Assignment and Subletting. LESSEE shall not assign or
sublet this Lease without the written consent of the LESSOR, which
consent must be obtained prior to the execution of any agreement to
sublease the Leased Premises .
(12) Building Iiodifications. LESSOR agrees to perform the
following building modifications as indicated :
a. Immediately :
1 . The height of the drinking fountain will be adjusted.
� 2 . Return air ducts will be iastalled in the Sergeants '
offices and in the Lieutenant ' s/Captain ' s office , and
the fan speed will be increased. If these remedies are
not sufficient to maintain a comfortable temperature
throughout the leased space , the capacity of the air
conditioner and/or furnace will be increased.
3. All carpeting will be cleaned. ,

b. Within Thirty llays of Signature of the Lease :
1 . New carpeting will be installed in the roll-call room.
c. As Soon as Weather Permits :
1 . Paving of the asphalt parking lot will be completed.
( 13) Maintenance and Repairs. LESSOR shall , at its own cost and
expense , be responsible for all repairs , maintenance and upkeep of the
LeaSed Premises , including but not limited to emergency repairs of any
kind ; routine maintenance and repair to keep the Leased Premises in
good repair , safe and in compliance with applicable fire , health ,
building and other life-safety codes ; and all repairs and maintenance
needed to keep the buildings or structures on the Leased Premises in
good condition , including (a) the exterior (including doors , except
glass breakage , and windows , but not including signs erected by the
LESSEE) and interior structure of the buildings or structures , (b) th,e
roof or roofs , ( c ) the heating , ventilating and air conditioning
systems therein , (d ) all electrical , plumbing, lighting, mechanical
systems , fire suppression equipment i. e. fire sprinkler system; and
(e ) all grounds , fences and roads within the Leased Premises . In
addition , the Lessor shall keep the sidewalks bordering on said Leased
Premises at all times free from ice and snow, and shall remove ice and
snow from the roof of the Leased Premises when necessary. The
foregoing obligations shall bind the LESSOR regardless of the cause of
the damage or condition necessitating the repair or maintenance.
( 14) Payments ia Case of Default. LESSEE shall pay LESSOR all
costs and expenses , including reasonable attorney ' s fees in any action
brou�ht by LESSOR to recover any rent due and unpaid hereunder, or for
the breach or default of any of the covenants or agreements contained
in this Lease , or to recover possession of said property, whether such
action progresses to judgment or not.
( 15) Surrender of Premises . The LESSEE , at the expiration of
said term, or any soonar termination of this lease , shall quit
peacefully and surrender possession of said property and its
appurtenances to LESSOR in as good order and condition as the property
was delivered to the LESSEE .
(16) Indemnity. The LESSOR agrees to indemnify, defer►d , save and
hold harmless the City of Saint Paul and any agents , officers and
employees thereof from all claims , demands , actions or causes of
action of whatsoever nature or character , arfsing out of or by reason
of the condition of the premises .
( 17) Holdover. Any holdover after the expiration of the term
of this Lease shall be allowed only after receiving the written consent

ui the LESSOR. Said tenancy shall be deemed to be a tenancy only from
month-to-month. All of the other terms and conditions of this Lease
shall be applicable .
( 18) Pollution and Contaminants. LESSOR agrees to comply with
all ordinances , laws , rules and regulations enacted by any
governmental body or agency relating to the control , abatement or
emission of air and water conta:ninants and/or the disposal of refuse ,
solid wastes or liquid wastes .
LESSOR shall bear all cost and expense arising from compliance with
said ordinances , laws , rules , or regulations and shall indemnify ,
defend , save and hold harmless LESSEE from all liability , including
without limitation , tines , forfeitures , and penalties arising in
connection with the failure by LESSOR to comply with such ordinances ,
laws , rules or regulations . LESSEE has the right to perform cleanup
and deduct such costs from the monthly rental payments should the
LESSOR fail to comply.
( 19 ) Controlling Lease . In the event there is any prior
existing lease or rental agreement between LESSEE and LESSOR (or its
predecessor in interest ) covering the subject property , it is agreed
and understood that this Lease shall cancel and terminate any prior
leases or rental agreements as of the effective date of this lease.
(20) Destruction. In the event of damage to or destruction of
the Leased Premises or in the event the premises becomes untenantable
or unfit for occupancy due to such damage during the term of this
Lease , LESSOR may at its option:
(a) terminate the lease upon fifteen ( 15) days ' written notice
, to LE5SEE; or
(b) within fifteen ( 15 ) days agree to restore the premises
within a reasonable time period following the casualCy .
The Basic �ents to be paid during the restoration period shall be
abated in proportion to the percentage of loss and impairment of the �
use of the Leased Premises as determined by the proportion of said
Leased Premises which are in suitable condition for occupancy and are
actually occupied by the LESSEE.
(21) Default Beaedies. In the event the LESSOR fails to observe
and perform any covenant , condition of agreement on its part to be
observed or perforned as required by this Lease , the LESSEE may, at
its election , terminate this Lease by giving not less than ten days '
written notice to LESSOR, provided that , should the LESSOR rectify its '
failure to observe or perform as required within the said ten day
period or by a mutually agreed upon date , said written notice shall be
withdrawn. .

� Any monies paid in advance for rental or the Leased Premises
subsequent to the date of termination shall be refundable to the
LESSEE and shall be due on the date of termination .
(22) Conpliance vith Lavs. The property described herein may be
used for only the purposes stated herein . It is the sole and
exclusive responsibility of the LESSEE in the use of the property to
comply with any and all laws , rules , regulations or ordinances imposed
by any jurisdiction affecting the use to which the property is
proposed to be put . Inability or failure on the part of the LESSEE to
comply with any of said laws , rules , regulations or ordinances will
not relieve the LESSEE of the obligation to pay the rental provided
herein .
(23) Non-Discriaination. The LESSEE for himself , his personal
representatives , successors in interest and assigns , as a part of the
consideration hereof , does hereby covenant and agree , as a covenant
running with the land, that .
( 1) no person , on the ground of race , sex , color creed ,
religion , age , disability , marital status , status with
respect to public assistance or national origin or ancestry
shall be excluded from participating in , be denied the
benefits of or be otherwise subjected to discrimination in
the use of safd facilities ;
(2) that in connection with the construction of any improvements
on said lands and the furnishing of services thereon , no
discrimination shall be practiced in the selection of
employees and contractors , by contractors in the selection
and retention of first-tier subcontractors , and by first-
tier subcontractors in the selection and retention of
second-tier subcontractors ;
( 3) that such discrimination shall not be practiced against the
public in their access in and use of the facilities and
services provided for as public accommodations ( such as
eating , sleeping , rest and recreation ) constructed or
operatzd on the Leased Premises ; and
(4) that the LESSEE shall use the premises in compliance with
all other requirements imposed pursuant to the Saint Paul
Legislative Code Chapter 183.
(24) Liens . Neither the LESSOR nor the LESSEE shall permit
mechanic ' s liens or other liens to be filed or established or to
remain against the Leased Pre.mises for labor, materials or services
furnished in connection with any additions , modifications ,
improvements , repairs , renewals or replacements made to the Leased
. Premises , or for any other reason . The LESSOR and the LESSEE shall
indemnify, defend , save and hold harmless the other from all claims ,
demands , actions or causes of action of whatsoever" nature or character

' arising therefrom. in addition , LESSOR agrees to indemnify , defend
save and hold harmless the LESSEE from all claims , demands , actions or
causes of action of whatsoever nature or character arising out of or
from any activities of LESSOR or persons or companies under his
control and supervision .
(25) Eminent Doaain. In the ev2nt the entire Leased Premises are
taken by eminent domain , or such portion thereof is so taken that in
the LESSEE ' s reasonable judgement it is uneconomic or otherwise
impractical thereafter to restore the Leased Premises and proceed
under the terms and provisions of this lease , LESSEE may terminate
this Lease by giving to the LESSOR thirty days ' written notice of
termination , e = fective as of the date on which the condemning
authority acquires legal title to or physical possession of the Leased
Premises . The LESSEE shall be entitled to its leasehold interest in
all economic damages in the condemnation award. LESSEE may, to the
extent otherwise permitted in the eminent domain proceeding, remove
its own trade fixtures at its own expense .
( 26 ) LESSEE ' s Obligations . The LESSE� will keep the Leased
Premises clean and will not allow any condition to exist which would
create a nuisance or fire hazard, or which would increase the rate of
insurance on the Leased Premises. LESSEE shall not waste or misuse
water , gas , steam or any other utilities furnished by the LESSOR.
LESSEE shall not , in any manner , deface or injure said Leased
Premises or any part thereof , or overload the floors . Any defacing or
injury to the Leased Premises by the LESSEE , other than ordinary wear
and tear, will be repaired at the LESSEE ' s expense.
(27) Alterations. The LESSEE will not make any alterations to the
premises without the written consent of the LESSOR, such consent not
to be unreasonably withheld. If the LESSEE desires to make any such
alterations , an accurate description shall first be submitted to and
approved by the LESSOR and such alterations shall be done by the
LESSEE at its own expense. All such work shall be performed under the
LESSOR' S supervision and any improvements made to the Leased Premises
at the LE5SEE ' S expense shall become the property of the LESSOR at the
end of the Lease period. LESSEE agrees that all alterations will be
done in a workmanlike manner and in conformance with applicable
building codes , that the structural iategrity and building systems of
the building will not be impaired, and that no liens will attach to
the premises by reason thereof.
( 28) LBSSEB ' s Signs . LESSEE may elect at its own cost and
expense to provide and install an exterior sign ; provided, however,
that the size , design and manner of installation of said sign shall be
subject to the written approval of the LESSOR.

' (29) LESSEE ' s Personal Property. LESSOR sha11 have no obligation
to repair or maintain any personal property or equipment brought into
the Leased Premises or installed therein by LESSEE for LESSEE ' s
purposes , and LESSEE shall be permitted to remove said personal
property upon the termination of this Lease. LESSEE shall , at its own
expense repair any damage to the Leased Premises caused or created by
the installation or removal of said personal property.
( 30 ) Amended . Anything herein contained to the contrary
notwithstanding , this Lease may be terminated , and the provisions of
this Lease may be , in writing , amended by mutual consent of the
parties herein .
