WHEREAS, the City of Saint Paul is committed to addressing concerns related to medical
services for new refugees in Saint Paul; and
WHEREAS, the City of Saint Paul requires skilled medical staff to provide clinical services to
patients in its Pubiic Fieaith Refugee Health Program; and
WHEREAS, the University of Minnesota, Department of Pediatrics has resources available
to provide the necessary services; and
WHEREAS, a contractual agreement between the City of Saint Paul and the University of
Minnesota will provide for responsible provision of services and utilization of resources, and
will strengthen agency relationships;
THEREFORE BE IT RESOLVED, that the proper City Officials are hereby authorized and
directed to execute a contract and any amendments thereto not to exceed two years in
duration with the University of Minnesota.

$48.00 per hour during the period of January 1, 1997 through December 31, 1997. This is a
very reasonable rate to obtain physician services and allows for better use of our financial
resources. Dr. Satran has extensive experience wosking in the Refugee Clinic.

AN AGREEMENT made and entered into this first day ofi January, 1997, by and
between the City of Saint Paul, a municipal corporation of the State of Minnesota,
hereinafter referred to as the "City", acting through its Department of Public
Health, and the University of Minnesota, acting through its Department of
Pediatrics, hereafter referred to as the "University";
WITNESSETH:
WIiEREAS, the City requires medical staff to provide clinical services to patients in
its medical program; and
WHEREAS, it is deemed in the best interest of the City to contract for said service;
NOW, THEREFORE, IT IS MUTUALLY AGREED by and between the City and the
University as follows:
1.
That the University shall provide the City with the physician services of Leon
Satran, M.D.
2. That Dr. Satran's typica{ dut+es shall i�clude but are not limited to:
Performs medical evaluation, diagnosis, treatment and recommendations

necessary to address the health needs of patients in the Refugee
Program.
Makes referrals to other agency programs and outside agencies.
Participates in the planning and administration of clinical program(s).
Provides medical education to students (medical technicians, medical

assistants, nursing and medical students) and medical residents in

various Department of Public Health Medical Clinics.
e. Provides administrative support for the Refugee Screening and Primary
Care Program.
f. Participates in medicai staff activities ii.e. medicai stafifi meetings, in-
service educational activities and quality assurance) when appropriate.
g. Provides coverage for the lmmunization Cfinic and for the medicat
responsibilities of Saint Paul Public Health, Director of Medical Services
in the Director's absence.
h. Provides emergency medical support for Public Health Medical Programs
when on duty.
Writes and signs medical protocois, standing orders and related po{icies
as needed.
j. Provides a maximum of 536 hours per year of service.
3. That the University shali be paid Forty-Eight Doliars (548.00) per hour for Dr.
Satran's clinical duties.
4. That the City shall pay Eighteen Dollars (518.00) a month to ofifset the cost
of Dr. Satran's pager.
5. That the totai amount reimbursed to the University under the terms of this
Agreement shall not exceed Twenty-Five Thousand Nine Hundred Forty-�our
Doltars (525,94-4.00).
6. That the City shall submit to the University a schedule for Dr. Satran's time in
advance.

7. That the City shall reimburse the University o� a monthfy basis upon receipt
of an invoice.
8. That the Department of Pediatrics (Pediatrics/PA) Specialists shall provide
Professional Liability Insurance for Dr. Satran.
9. In no event shall the liability of the GRANTEE exceed the limits set forth in
Minnesota Statutes 468.
10. That at ail times the University agrees that Dr. Satran is an independent
contractor as to the City and not an employee of the City.
11. That the City declares Diane Holmgren to be the person responsible for
compliance with the terms of this Agreement.
12. That nothing in this Agreement shall be construed as limiting the right or
independent operation of either the University or the City for the affiliation of
contract with any other institution or agency while this Agreement is in
effect.
13. That this Agreement may be terminated by either party with or without cause
upon thirty (30) days' written notice. Charges which have accrued for
services rendered shal4 survive any termination of this Agreement.
' 14. That any alteration, variations, modifications, or waivers of provisions of this
Agreement shali be valid only when they have been reduced to writing, fuily
signed, and attached to the original of this Agreement.
