WITNESSETH THAT, the parties hereto, in the joint and sepazate exercise of each of their powers, and in consideration of the mutual covenants herein contained, hereby agree as follows: SECTTON 1. RECITALS 1.1 Council and St. Paul The Council has determined that Interceptor 1-SP-211 on Margaret Street in St. Paul is deteriorated and in need of reconstruction. St. Paul has determined that their local8" sanitary sewer which parallels the Council's interceptor is also in need of replacement. The Council and St. Paul have agreed to replace both sewers with a single pipe. The owner of the proposed single pipe will be the Councii. St. Paul presently has a contractor doing storm sewer and paving work on Margaret Street as part of their overall Project No. 93-S-8091, P. 8071. It is agreed that overall costs can be reduced and efficiencies of project administration realized by having St. PauPs contractor do the following work as an addenda to its contract. The replacement of approa7mately 760 ]ineal feet of 10-inch sanitary sewer, construction of several sewer access manholes including a new 8' by 12' meter vault to house a future 3" parshall flume (hereinafter referred to as the "Interceptor"), and abandoning and Slling the e�sting Council interceptor makes up for the major part of the construction which will be owned and paid for by the Council. The construction of appro�nately 23 reconnected house services (hereinafter referred to as "House Services") will be the responsibility of St. Paul and will be paid for by the City. St. Paul, through city ordinances, will require the property owner to operate and maintain the Aouse Services. All of the above work shall be referred to as the "Margaret Street Improvements ProjecP'. The Council through its predecessor, the Metropolitan Waste Control Commission (MWCC) has approved Resolution 93-118 which authorized entering into an agreement to fund the Council's portion of the pro}ect and to work jointly with St. Paul to facilitate the project. A plan-profile drawing of the proposed work is included as Exhibit "A". �trl - 1 SECTTON 2. FACILIT7ES CONSTRUCTION 2.1 Contract Designees Both St. Paul and the Council will appoint designees to take any actions or exercise any rights under this Agreement, and will inform each other in writing of the named designees and their assignments relative to the Mazgazet Street Improvements Project. The term "Project Designees" user hereinafter in this Agreement means the designees of both St. Paul and the Council. 2.2 Drawin2s and SoeciPcations St. Paul has prepared drawings and specifications for the Margaret Street Improvements Project. Record (as-constructed) documents will be prepared by St. Paul and will be reviewed by the Council's Wastewater Services office. 2.3 BiddingfContract Award 5t. Paul has requested and received bids from their contractor for the Margatet Street Improvements Project. The Council's Wastewater Services staffhas reviewed the bids, finds them acceptable and has recommended awuding the work to St. Paul's contractor. 2.4 Contract Administration/Insqection The construction of the Margazet Street Improvements Pro}ect will be under the supervision and direction of St. Paul and the wnstruction contract for the Margaret Street Improvements Project will be administered by St. Paul. St. Paul hereby agrees to complete the Margaret Street Ixnprovements Project in accordance with the approved contract documents. The City of St. Paul will provide contract administradon and inspection for the Mazgaret Street Improvements Project. Inspection of the project is to be closely coordinated with the Council personnel. SECTION 3. PROJECT COSTS 3.1 Construction Costs The Council agrees to reimburse St. Paul for all labor and material costs required for the Interceptor portion of the Margaret Street 7mprovements Project. These costs are estimated to be $87,790.13. The Council will pay the final construction cost based upon the actual unit price quantities required to build the Interceptor portion of the Margaret Street Improvements Project. An estimated breakdown of costs to be paid by the Council and St. Paul is included in E�ibit `B". -2- �i � -�'1 r1 3 Chan¢e Orders Change orders on the Interceptor portion of the Margazet Street Improvements Project will be coordinated with and approved by the Council prior to the contractor proceeding with the work of the change orders. 3.3 Construction Administrative Costs The Council agrees to reimburse St. Paul for administrative, engineering, and inspection costs in the amount of 18.5 percent of the Council's Interceptor portion of the final construction cost ofthe Margaret Street Improvements Project, including change orders approved pursuant to pazagraph 3.2 o£this Agreemeirt. 3_4 Pavment The Council will pay all construction costs for the Interceptor portion of the Margaret Street Improvements Project incurred in accordance with this Agreement. SECTION 4. OWNERSHIP. MAINTENANCE AND USE 4.1 Final Insnection and Acceutance The Project Designees will make a final inspection of the Margaret Street Improvements Project. St. Paul will direct the contractor to correct any problems found or make any changes required by the Council's designees. The work will be performed in accordance with the approved drawings and specifications. 5t. Paul will advise the Council in writing when it has accepted the Margazet Street Improvements Project. 4.2 Ownership and Use Upon completion of the Margaret Street Improvements Project, the Council shall be entitled to the sole and �clusive use of the Interceptor portion. The Council shall operate and maintain the Interceptor portion in good working order and without causing damage to the other parry's facilities. St. Paul, through city ordinances, will requ'ue the property owner to operate and maintain the House Services portion ofthe system. SECTION 5. MISCELLANEOUS 5.1 Indemnification St. Paul will defend, indenmify and save hamiless the Council, its officers, agents and employees from all suits, actions and claims of any character arising out of or related to the Margaret Street Improvements Project, brought because of injuries or damages -3- °lrl - � �1'1 received or sustained by any person, persons or property on account of the operations of St. Paul, its contractor or any subcontractor or their agents or employees; whether such damage or injury is caused by negligence or not, or on account of or in consequence of any neglect in safeguarding the work, or through use of unacceptable materials in conshucting the worl� or because of any act or omission, neglect or misconduct of St. Paul, its contractor or any subcontractor or their agents or employees; or because of any claims arising or amounts recovered from infiingements of patent, trademark, or copyright; or because of any claims arising or amounts recovered under the Worker's Compensation Act; or under any law, ordinance order or decree. WITNESSETH THAT, the parties hereto, in the joint and sepazate exercise of each of their powers, and in consideration of the mutual covenants herein contained, hereby agree as follows: SECTTON 1. RECITALS 1.1 Council and St. Paul The Council has determined that Interceptor 1-SP-211 on Margaret Street in St. Paul is deteriorated and in need of reconstruction. St. Paul has determined that their local8" sanitary sewer which parallels the Council's interceptor is also in need of replacement. The Council and St. Paul have agreed to replace both sewers with a single pipe. The owner of the proposed single pipe will be the Councii. St. Paul presently has a contractor doing storm sewer and paving work on Margaret Street as part of their overall Project No. 93-S-8091, P. 8071. It is agreed that overall costs can be reduced and efficiencies of project administration realized by having St. PauPs contractor do the following work as an addenda to its contract. The replacement of approa7mately 760 ]ineal feet of 10-inch sanitary sewer, construction of several sewer access manholes including a new 8' by 12' meter vault to house a future 3" parshall flume (hereinafter referred to as the "Interceptor"), and abandoning and Slling the e�sting Council interceptor makes up for the major part of the construction which will be owned and paid for by the Council. The construction of appro�nately 23 reconnected house services (hereinafter referred to as "House Services") will be the responsibility of St. Paul and will be paid for by the City. St. Paul, through city ordinances, will require the property owner to operate and maintain the Aouse Services. All of the above work shall be referred to as the "Margaret Street Improvements ProjecP'. The Council through its predecessor, the Metropolitan Waste Control Commission (MWCC) has approved Resolution 93-118 which authorized entering into an agreement to fund the Council's portion of the pro}ect and to work jointly with St. Paul to facilitate the project. A plan-profile drawing of the proposed work is included as Exhibit "A". �trl - 1 SECTTON 2. FACILIT7ES CONSTRUCTION 2.1 Contract Designees Both St. Paul and the Council will appoint designees to take any actions or exercise any rights under this Agreement, and will inform each other in writing of the named designees and their assignments relative to the Mazgazet Street Improvements Project. The term "Project Designees" user hereinafter in this Agreement means the designees of both St. Paul and the Council. 2.2 Drawin2s and SoeciPcations St. Paul has prepared drawings and specifications for the Margaret Street Improvements Project. Record (as-constructed) documents will be prepared by St. Paul and will be reviewed by the Council's Wastewater Services office. 2.3 BiddingfContract Award 5t. Paul has requested and received bids from their contractor for the Margatet Street Improvements Project. The Council's Wastewater Services staffhas reviewed the bids, finds them acceptable and has recommended awuding the work to St. Paul's contractor. 2.4 Contract Administration/Insqection The construction of the Margazet Street Improvements Pro}ect will be under the supervision and direction of St. Paul and the wnstruction contract for the Margaret Street Improvements Project will be administered by St. Paul. St. Paul hereby agrees to complete the Margaret Street Ixnprovements Project in accordance with the approved contract documents. The City of St. Paul will provide contract administradon and inspection for the Mazgaret Street Improvements Project. Inspection of the project is to be closely coordinated with the Council personnel. SECTION 3. PROJECT COSTS 3.1 Construction Costs The Council agrees to reimburse St. Paul for all labor and material costs required for the Interceptor portion of the Margaret Street 7mprovements Project. These costs are estimated to be $87,790.13. The Council will pay the final construction cost based upon the actual unit price quantities required to build the Interceptor portion of the Margaret Street Improvements Project. An estimated breakdown of costs to be paid by the Council and St. Paul is included in E�ibit `B". -2- �i � -�'1 r1 3 Chan¢e Orders Change orders on the Interceptor portion of the Margazet Street Improvements Project will be coordinated with and approved by the Council prior to the contractor proceeding with the work of the change orders. 3.3 Construction Administrative Costs The Council agrees to reimburse St. Paul for administrative, engineering, and inspection costs in the amount of 18.5 percent of the Council's Interceptor portion of the final construction cost ofthe Margaret Street Improvements Project, including change orders approved pursuant to pazagraph 3.2 o£this Agreemeirt. 3_4 Pavment The Council will pay all construction costs for the Interceptor portion of the Margaret Street Improvements Project incurred in accordance with this Agreement. SECTION 4. OWNERSHIP. MAINTENANCE AND USE 4.1 Final Insnection and Acceutance The Project Designees will make a final inspection of the Margaret Street Improvements Project. St. Paul will direct the contractor to correct any problems found or make any changes required by the Council's designees. The work will be performed in accordance with the approved drawings and specifications. 5t. Paul will advise the Council in writing when it has accepted the Margazet Street Improvements Project. 4.2 Ownership and Use Upon completion of the Margaret Street Improvements Project, the Council shall be entitled to the sole and �clusive use of the Interceptor portion. The Council shall operate and maintain the Interceptor portion in good working order and without causing damage to the other parry's facilities. St. Paul, through city ordinances, will requ'ue the property owner to operate and maintain the House Services portion ofthe system. SECTION 5. MISCELLANEOUS 5.1 Indemnification St. Paul will defend, indenmify and save hamiless the Council, its officers, agents and employees from all suits, actions and claims of any character arising out of or related to the Margaret Street Improvements Project, brought because of injuries or damages -3- °lrl - � �1'1 received or sustained by any person, persons or property on account of the operations of St. Paul, its contractor or any subcontractor or their agents or employees; whether such damage or injury is caused by negligence or not, or on account of or in consequence of any neglect in safeguarding the work, or through use of unacceptable materials in conshucting the worl� or because of any act or omission, neglect or misconduct of St. Paul, its contractor or any subcontractor or their agents or employees; or because of any claims arising or amounts recovered from infiingements of patent, trademark, or copyright; or because of any claims arising or amounts recovered under the Worker's Compensation Act; or under any law, ordinance order or decree. WITNESSETH THAT, the parties hereto, in the joint and sepazate exercise of each of their powers, and in consideration of the mutual covenants herein contained, hereby agree as follows: SECTTON 1. RECITALS 1.1 Council and St. Paul The Council has determined that Interceptor 1-SP-211 on Margaret Street in St. Paul is deteriorated and in need of reconstruction. St. Paul has determined that their local8" sanitary sewer which parallels the Council's interceptor is also in need of replacement. The Council and St. Paul have agreed to replace both sewers with a single pipe. The owner of the proposed single pipe will be the Councii. St. Paul presently has a contractor doing storm sewer and paving work on Margaret Street as part of their overall Project No. 93-S-8091, P. 8071. It is agreed that overall costs can be reduced and efficiencies of project administration realized by having St. PauPs contractor do the following work as an addenda to its contract. The replacement of approa7mately 760 ]ineal feet of 10-inch sanitary sewer, construction of several sewer access manholes including a new 8' by 12' meter vault to house a future 3" parshall flume (hereinafter referred to as the "Interceptor"), and abandoning and Slling the e�sting Council interceptor makes up for the major part of the construction which will be owned and paid for by the Council. The construction of appro�nately 23 reconnected house services (hereinafter referred to as "House Services") will be the responsibility of St. Paul and will be paid for by the City. St. Paul, through city ordinances, will require the property owner to operate and maintain the Aouse Services. All of the above work shall be referred to as the "Margaret Street Improvements ProjecP'. The Council through its predecessor, the Metropolitan Waste Control Commission (MWCC) has approved Resolution 93-118 which authorized entering into an agreement to fund the Council's portion of the pro}ect and to work jointly with St. Paul to facilitate the project. A plan-profile drawing of the proposed work is included as Exhibit "A". �trl - 1 SECTTON 2. FACILIT7ES CONSTRUCTION 2.1 Contract Designees Both St. Paul and the Council will appoint designees to take any actions or exercise any rights under this Agreement, and will inform each other in writing of the named designees and their assignments relative to the Mazgazet Street Improvements Project. The term "Project Designees" user hereinafter in this Agreement means the designees of both St. Paul and the Council. 2.2 Drawin2s and SoeciPcations St. Paul has prepared drawings and specifications for the Margaret Street Improvements Project. Record (as-constructed) documents will be prepared by St. Paul and will be reviewed by the Council's Wastewater Services office. 2.3 BiddingfContract Award 5t. Paul has requested and received bids from their contractor for the Margatet Street Improvements Project. The Council's Wastewater Services staffhas reviewed the bids, finds them acceptable and has recommended awuding the work to St. Paul's contractor. 2.4 Contract Administration/Insqection The construction of the Margazet Street Improvements Pro}ect will be under the supervision and direction of St. Paul and the wnstruction contract for the Margaret Street Improvements Project will be administered by St. Paul. St. Paul hereby agrees to complete the Margaret Street Ixnprovements Project in accordance with the approved contract documents. The City of St. Paul will provide contract administradon and inspection for the Mazgaret Street Improvements Project. Inspection of the project is to be closely coordinated with the Council personnel. SECTION 3. PROJECT COSTS 3.1 Construction Costs The Council agrees to reimburse St. Paul for all labor and material costs required for the Interceptor portion of the Margaret Street 7mprovements Project. These costs are estimated to be $87,790.13. The Council will pay the final construction cost based upon the actual unit price quantities required to build the Interceptor portion of the Margaret Street Improvements Project. An estimated breakdown of costs to be paid by the Council and St. Paul is included in E�ibit `B". -2- �i � -�'1 r1 3 Chan¢e Orders Change orders on the Interceptor portion of the Margazet Street Improvements Project will be coordinated with and approved by the Council prior to the contractor proceeding with the work of the change orders. 3.3 Construction Administrative Costs The Council agrees to reimburse St. Paul for administrative, engineering, and inspection costs in the amount of 18.5 percent of the Council's Interceptor portion of the final construction cost ofthe Margaret Street Improvements Project, including change orders approved pursuant to pazagraph 3.2 o£this Agreemeirt. 3_4 Pavment The Council will pay all construction costs for the Interceptor portion of the Margaret Street Improvements Project incurred in accordance with this Agreement. SECTION 4. OWNERSHIP. MAINTENANCE AND USE 4.1 Final Insnection and Acceutance The Project Designees will make a final inspection of the Margaret Street Improvements Project. St. Paul will direct the contractor to correct any problems found or make any changes required by the Council's designees. The work will be performed in accordance with the approved drawings and specifications. 5t. Paul will advise the Council in writing when it has accepted the Margazet Street Improvements Project. 4.2 Ownership and Use Upon completion of the Margaret Street Improvements Project, the Council shall be entitled to the sole and �clusive use of the Interceptor portion. The Council shall operate and maintain the Interceptor portion in good working order and without causing damage to the other parry's facilities. St. Paul, through city ordinances, will requ'ue the property owner to operate and maintain the House Services portion ofthe system. SECTION 5. MISCELLANEOUS 5.1 Indemnification St. Paul will defend, indenmify and save hamiless the Council, its officers, agents and employees from all suits, actions and claims of any character arising out of or related to the Margaret Street Improvements Project, brought because of injuries or damages -3- °lrl - � �1'1 received or sustained by any person, persons or property on account of the operations of St. Paul, its contractor or any subcontractor or their agents or employees; whether such damage or injury is caused by negligence or not, or on account of or in consequence of any neglect in safeguarding the work, or through use of unacceptable materials in conshucting the worl� or because of any act or omission, neglect or misconduct of St. Paul, its contractor or any subcontractor or their agents or employees; or because of any claims arising or amounts recovered from infiingements of patent, trademark, or copyright; or because of any claims arising or amounts recovered under the Worker's Compensation Act; or under any law, ordinance order or decree.
