Extension Agreement on Use of OCLC
The current Agreement on Use of OCLC between the Minnesota Highez Education Services
O�ce (NIHFSO) and your library will expire at the end of June. Attached aze four copies of a
revised agreement which wiil repiace the current one. The revisions from the previous
agreement reflect minor changes in nomenclature. The administrative fee for participants is
determined annually and is included on the July invoice.
Please indicate the name of the library on page 1 and the name and address of the library on
page 3. All four cogies must be signed on page 4 by two of�cials of your organization
authorized to sign contracts, and returned to the MHESO by 3une 15. 1997. Please return the
contracts to the MHESO at:

AGREEMENT ON USE OF OCLC
This AGREEMENT made /-��,e, / �78 , 1947, by and betvreen
�i� t Pl-uc � f ub/'c L.:bru - , hereinafter referred to
as the User, and the Higher Fducation Servi Office, hereinafter referred to as HESO, for
MINTTEX Library Information Network, hereinafter refened to as IvIINITEX.
WITNESSETH:
This AGREEMENT is dependent upon the continued interstate contract between HESO and
the OCLC Online Computer Library Center, Inc., referred to as OCLC, to znake available online
library services.
USER AGREES to the mutual covenants and understandings included in the current contract
between the HESO and OCLC, the ternvs of which are herein incorporated by this reference.
[JSER AGREES to contribute to the OCLC Online Union Catalog all of its current
bibiiographic and holdings information (as defined by the Agreement between OCLC and HESO)
which the OCLC system is capable of processing whether or not already in the OCLC Online CJnion
Catalog.
USER ACTREES that USER will make no application of the OCLC system or Online L3nion
Catalog not expressly described in the eurrent Agreement between the HESO and OCLC unless
provided the written consent of HESO and QCLC.
USER AGI2EES that all data input to OCLC system under this Agreement may be used by
MINITEX and/or other OCLC member librazies for bibiiographic and holdings access. USER may
refuse to allow its bibliographic records to be used for reseazch projects or other gurposes under the
cuuent cantract between HESO and OCLC.
USER AGREE5 that all requests for use of variant terminals and/or other equipment must be
forwazded to OCLC through MINITEX as agent for HESO.
USBR WARRANTS to HESO and OCLC that any variant computer facilities or software
programs provided by USER for use with the OCLC system shall be suitable and proper for its
operation and without adverse effect on the OCLC system.
USER AGREES to provide appropriate staff who wili oe using the OCLC system for trairung
services prior to installation and available for update training when warranted by OCLC system
changes.
i3SER AGREES to foAow The Principles oF Cooperation for OCLC participating libraries
(attached}.
USER AGREES to pay MINITEX in advance chazges in accordance with OCLC charges as
appended to the current interstate contract or subsequent written notification.
USER AGREES to pay MINITEX for any other user selected services in accordance with
current OCLC charges.
USER AGREES to pay for documentation.

USER shall pay MINITEX an annuai administrative fee to administer and support OCLC
services. The fe� for Fiscal Year 1998 is 51,600.00. In future years, the feel will be no greater than
$2,SQ� annually. I3ES0, through MINITEX, will notify USER of the fee hy Iune 1 for the
subsequent fiscal year.
USER may purchase OCLC terminats through MIIQITEX as agent for HESO, and USER
AGREES to assume ownership•and maintenance responsibility for said terminai(s). As funds permit,
HESO, in its sole discretion, may purchase OCLC terminals for selected USERS and in such
instances HESO shall retain ownership for the 5rst two years of use with maintenance cost
responsibility assigned by muwal agreement.
USER AGREES that IiESO is not responsSble or liable in any way for the qaality or quantiry
of goods and services provided by OCLC pursuant to the attached contract.
USER AGREES to indemnify HESO for ail sums paid to OCLC resulting from services or
goods being provided to USEI2, whether or not tJSER finds the services or goods to be satisfactory.
HESO, through MINITEX, AGREES to assume responsibility for preparation of the
institurionai profile for USER.
HESO, through MII3ITEX, AGREES to provide appropriate initial training in use of ihe
OCLC system, thzough worJsshops and on-site training and to keep USER promptly apprised on any
f)�T.0 modifications relating to-the OCLC system.
IiESO through MINITEX, AGREES to arrange OCLC equipment service contracts as
requested by USER, to report equipment malfunCtion promptly, and to work towazd satisfac*.ory
equipment utilization.
FIESO, through MINITBX, AGREES to arrange with OCLC to Iink tiie temunais by
telecommunications channels which are determined to promote efficien*. rsponse at lowest possible
network costs to the OCLC system.
FiESO, through IvIINITEX, AGREES ta assume responsibiiin� io= biiiing. USER wii; receive
a detaifed monthly statement for ai1 services rendered.

Tk� parties shall give written notice of address change to the MINITEX Office and HESO.
The USER shall designate one person and one aiternate to whom information pursuant to this
contract shall be sent. These should include one administrative liaison and one Library liaison.
These naznes should be submitted to the HESO office upon execution of th9s contract. In addition,
hhe billing address should be specified.
'ffie fees for OCLC services under this Agreement aze subject to change by OCLC in
accordance with the interstate contract between the HESO and OCLC. The fees for OCLC
representation aze subject to change upon majority action by the USERS and subsequent review and
approval by the D'uector of the Higher Education Services Office. Failuxe of the USER to make
payment to MINTTE� under the tertns of this Agreement shail entitle HESO, in its sole discretion, to
suspend or terminate this Agreement. In the event of suspension or termination by HESO, USER
shall remain liable for all costs incurred by HE50 in suspending or ternunating services to USER and
for ail unpaid chazges properly bilied or billabie to USER.
This Agreement shaIl be construed in accordance with the laws of the state of Minnesota and
any provision hereof, void, or voidable by reason of law, shall not invalidate the other provisions of
the Agreement.
HESO affuins Ihat USER has nrovided acceptable evidence of compIiance with the workers'
compensation insurance coverage requirement of Minnesota Statutes, Section 176.181, Subdivision 2.
When applicable, USER certifies tnat it has received a certificate of compliance from the
Commissioner of Human Rights pursuant to Minnesota Statutes, 1986, Section 363.075.
The USER, if a Minnesota state agency, agrees to provide voter registration services in
accordance with Minnesota Statutes 201.162.
This Agreement shall be in force until June 30, 2002, or until amended by muNal consent of
both parties. The USER may terminate this Agreement with or without cause by providing 90 days
written notice and meetin; all outstanding financial obligations. HESO may ternunate this Agreement
with or without cause by providing 90 days written notice to the USER. Iiowever, if su�cient funds
are not appropriated by the Minnesota Legislature for MINITEX, the Agreement may be terminated
by HESO and such temunation shail be effective upon receipt by the TJSER of written notice of
termination.

This Agreement shall revoke and supersede any prior agreements between the parties on the
vse of OCLC.

USER may purchase OCLC terminats through MIIQITEX as agent for HESO, and USER
AGREES to assume ownership•and maintenance responsibility for said terminai(s). As funds permit,
HESO, in its sole discretion, may purchase OCLC terminals for selected USERS and in such
instances HESO shall retain ownership for the 5rst two years of use with maintenance cost
responsibility assigned by muwal agreement.
USER AGREES that IiESO is not responsSble or liable in any way for the qaality or quantiry
of goods and services provided by OCLC pursuant to the attached contract.

HESO affuins Ihat USER has nrovided acceptable evidence of compIiance with the workers'
compensation insurance coverage requirement of Minnesota Statutes, Section 176.181, Subdivision 2.
When applicable, USER certifies tnat it has received a certificate of compliance from the
Commissioner of Human Rights pursuant to Minnesota Statutes, 1986, Section 363.075.
The USER, if a Minnesota state agency, agrees to provide voter registration services in
accordance with Minnesota Statutes 201.162.
This Agreement shall be in force until June 30, 2002, or until amended by muNal consent of
both parties. The USER may terminate this Agreement with or without cause by providing 90 days
written notice and meetin; all outstanding financial obligations. HESO may ternunate this Agreement
with or without cause by providing 90 days written notice to the USER. Iiowever, if su�cient funds
are not appropriated by the Minnesota Legislature for MINITEX, the Agreement may be terminated
by HESO and such temunation shail be effective upon receipt by the TJSER of written notice of

Extension Agreement on Use of OCLC
The current Agreement on Use of OCLC between the Minnesota Highez Education Services
O�ce (NIHFSO) and your library will expire at the end of June. Attached aze four copies of a
revised agreement which wiil repiace the current one. The revisions from the previous
agreement reflect minor changes in nomenclature. The administrative fee for participants is
determined annually and is included on the July invoice.
Please indicate the name of the library on page 1 and the name and address of the library on
page 3. All four cogies must be signed on page 4 by two of�cials of your organization
authorized to sign contracts, and returned to the MHESO by 3une 15. 1997. Please return the

This AGREEMENT is dependent upon the continued interstate contract between HESO and
the OCLC Online Computer Library Center, Inc., referred to as OCLC, to znake available online
library services.
USER AGREES to the mutual covenants and understandings included in the current contract
between the HESO and OCLC, the ternvs of which are herein incorporated by this reference.
[JSER AGREES to contribute to the OCLC Online Union Catalog all of its current
bibiiographic and holdings information (as defined by the Agreement between OCLC and HESO)
which the OCLC system is capable of processing whether or not already in the OCLC Online CJnion
Catalog.
USER ACTREES that USER will make no application of the OCLC system or Online L3nion

FROM ITS INCEPTTON, THE �CI.0 �NLSNE UNION CATALOG (DI.UC� has been used both as a
foundation for shared cataloging and as a de facto international union catalog. The deveSopment of the
OCLC Interlibrary Loan system and OCLC reference systems has capitalized on and added value to this
core bibliographic resource. The OLUC and related files,and the OCLG systems and services based upon
them, have become vitaliy important to the operacions and services of maay libraries in the L3nited States
and an increasing number of iibraries worldwide.
