That the specific responsibilities of the Contractor are: a. writing policies and procedures for the Women`s Health Programs b. performing medical examinations and subsequent evaluation c. participating in Quality Assurance activities d. assisting in the devefopment and implementation of other program activities 2. That the Contractor is a physician currently licensed by the State of Minnesota. 3. That the Contractor shall be paid by the City for aH serv{ces rendered at a �7-33j rate of $50.00 per hour. However such payment shall not exceed 520,000 per year. 4. That the City shail reimburse the Contractor on a bi-weekly basis upon receipt of hours worked. 5. That fees for professional services rendered by the Contractor at the Saint Paui Pub{ic Hea{th sha{I be exclusively collected by the City and used by the City to defray City expenses. 6. That Dr. Bealka wiil save harmless, indemnify and defend the City up to a limit of Two Hundred Thousand Dollars (5200,000.00) per individuai claim and Six Hundred Thousand Do!lars (5600,Q00.00) in aggregate from all claims of whatever kind and nature arising out of the performance of services as recited and reflected herein. 7. That the Contracto� shali provide professional Iiability insurance acceptable to the City Attorney. A certificate evidencing such insurance shall be submitted annually. A certificate for the current year is attached to this Agreement. 8. That the Clty allow the Contractor access to health records of patients at the Saint Paui Public Health. The Contractor will abide by the policies and procedures of the Health Records Section, ofi the Saint Paul Pubiic Health. 9. That the City declares Mary Sonnen, in consultation with appropriate program staff, as the person responsible for compliance with the terms of the Agreement. 2 9� :�3� 10. That at all times the Contractor is an independent contractor as to the City and not an emp{oyee of the City. 11. That nothing in this Agreement shal{ be construed as limiting the right of the independent operation of either the City or tha Contractor for the affitiation or contracting with any other institution or agency white this Agreement is in effect. 12. That this Agreement may be terminated by either party with or without cause upon sixty {60) days written notice. Charges which have accrued for services rendered shal{ survive any termination of this Agreement. 13.
