PAUL AND TFIE HRA TO FURTFIER A MLTTUAL GOAL TO PERMANENTLY LOCATE CAFESJIAN'S CAROUSEL IN COMO PARK WHEREAS, in December, 1988, Our Fair Cazousel, Ina (OFC), a not-for-profit corporafion, purchased the Cazousel which had operated at the State Fairgrounds since 1914, in order to keep the Cazousel intact and operating in Minnesota as an alternafive to the then owner's plan to have the statues sold individually at auction; and WIIEREAS, on March 12, 1990, HRA made a$350,000, 10-year, zero interest loan to complete the refinancing of a City of Saint Paul guaranteed loan from First Bank, which HRA loan was guaranteed by OFC's major fmancial contributor, G.L. Cafesjian, and concurrently, OFC conveyed title to the Carousel to the City, while maintaining operation, maintenance, and restoration control, and a"right-of-first-refusal" that would return ownership to OFC for $1 if the Cazousel is unable to operate in a viable location within the City; and WHEREAS, the Carousel was installed and operated in the Loft of Town Squaze Pazk, also referred to as Seventh Place Park, pursuant to the initial agreements, continued operation at that location under the Amendatory Agreement and has now ceased operations at that location; and WHEREAS, OFC wishes to exercise its rights to purchase the Carousel, pursuant to paragraph 18 of the Amendatory Agreement and Article 6 of the Carousel Funding Agreement; and WHEREAS, the City and the HRA mutually agree thaY, following such purchase, the public interest would be enhanced by relocating the Cazousel to Como Pazk, which is public property that is used and enjoyed by over 2 million families each yeaz and which would provide a location that could enable the Carousel to generate revenue and permit its continued enjoyment by the public; and WHEREAS, OFC has issued a Request For Proposal to relocate the Carousel, and the City has responded with a proposal to relocate the Carousel in Como Park; and WI�REAS, the City and the fIRA mutually agree that a modification of the terms and condifions of the HRA loan could allow the public purpose of relocating the Cazousel in Como Pazk to be achieved, and fi�rther agree that the use of public properiy in Como Park for that placement of the Cazousel would enhance the public interest.
