REASONABLY INCURRED.
3.) THE CONSULTANT WILL PRODUCE WRIITEN INTERVIEWS OF ALL PERSONS CONTACTED
6Y THE CONSULTANT WITH AN ACCOMPANYING WRITTEN COMMENTARY AND ANALYSIS SUPPORTED BY
DOCUMENTATION WHEN APPLICABLE.
4.) THE CIIY SHALL BE RESPONSIBLE FOR SETTING THE CONSULTANT'S PARTICULAR
ASSfGNMENT AND SUCH TIME LINES AS THE CITY MAY ESTABLISH FOR THE COMPLETION OF ANY
INVESTIGATION.
5.) Ttie CONSULTP.NT SHALL SUBMIT AN tTEMIZED INVOICE UPON COMPLETION OF THE
INVESTGATION. UPON RECEIPI' OF THE INVOICE AND VERIFICATION OF THE CHARGES, PAYMENT SHALL
BE MADE BY THE CITYTO THE SAINT PAUL POLICE DEPARTMENT, I OO EqST ELEVENTH STREET, SAINT
PAUL, MN 55 I O I , WITHIN THIRTY (3O) DAYS.
6.) THE CONSULTANT SHALL KEEP GONFIDENTIAL ALL INVESTIGATIVE REPORTS AND SUGH
OTHER DOCUMENTS AS MAY COME iNTO ITS POSSESSION AND SHALL UPON THE COMPLEfION OF AN
INVESTIGATION TURN OVER THE SAME TO THE CITY FOR ITS USE. FURTHER, THE CONSULTANT WILL
RECEIVE FROM THE CRY A COMPLEfE CONSENT AND RELEASE FOR ACCESS TO ANY AND ALL
INFORMATION REGARDING AN APPLiCANT BEFORE ANY INVESTIGATION IS UNDERTAKEN.
7.) THE CONSULTANT IS AT ALL TIMES HEREUNDER AN INDEPENDENT CONTR4CTOR AND NOT
AN EMPLOYEE OF THE CITYAND IS NOT ENTiTLED TO ANY OF THE RIGHTS, PRIVILEGES, AND BENEFITS

INVESTGATION. UPON RECEIPI' OF THE INVOICE AND VERIFICATION OF THE CHARGES, PAYMENT SHALL
BE MADE BY THE CITYTO THE SAINT PAUL POLICE DEPARTMENT, I OO EqST ELEVENTH STREET, SAINT
PAUL, MN 55 I O I , WITHIN THIRTY (3O) DAYS.
6.) THE CONSULTANT SHALL KEEP GONFIDENTIAL ALL INVESTIGATIVE REPORTS AND SUGH
OTHER DOCUMENTS AS MAY COME iNTO ITS POSSESSION AND SHALL UPON THE COMPLEfION OF AN
INVESTIGATION TURN OVER THE SAME TO THE CITY FOR ITS USE. FURTHER, THE CONSULTANT WILL
RECEIVE FROM THE CRY A COMPLEfE CONSENT AND RELEASE FOR ACCESS TO ANY AND ALL
INFORMATION REGARDING AN APPLiCANT BEFORE ANY INVESTIGATION IS UNDERTAKEN.
7.) THE CONSULTANT IS AT ALL TIMES HEREUNDER AN INDEPENDENT CONTR4CTOR AND NOT
AN EMPLOYEE OF THE CITYAND IS NOT ENTiTLED TO ANY OF THE RIGHTS, PRIVILEGES, AND BENEFITS
GRANTED REGULSUt CITY EMPLOYEES, CONSISTENi WITH THIS DECLARATION, THE WORK PRODUGT OF
THE CONSULTANT IS ITS OWN AS TO THE FACTS, OPINIONS AND RECOMMENDATIONS MADE AND THE
Cf7Y SHALL NOT INFLUENCE OR DIREGT THE CONSULTANT'S FINDINGS OR CONCLUSIONS.

8.) THIS AGREEMENT MAY BE TERMINATED WITHOUT CAUSE BY EITHER PARTY UPON FOF2TY-
EIGHT (48) HOURS WRITfEN NOTICE FROM ONE TO THE OTHER AND THE CITY SHALL BE LIABLE FOR
THE VALUE OF CONSULTANT�S SERVICE TO THE EFFEC77VE DATE OF THE NOTICE.
9.) THE CINS LIAISON FOR THE PURPOSES OF THIS AGREEMENT SHALL BE JANE A.
CHAMBERS OR HER DESIGNEE. THE CONSULTANT'S LIAISON SNALL BE INSPECTOR TIMO'fHY J.
POUCHER.
I Q.) THE EFFECTIYE DATE OF THIS AGREEMENT SNALL BE THE DATE FIRST NOTED ABOVE
AND, UNLESS TERMINATED AS PROVIDED HEREIN AT AN EARLIER DATE, SHALL AUTOMATICALLY
TERMINATE ONE � I) YEAR FROM THE EFFECTIVE DATE.
I I.) THAT THE Cf1Y WILL INDEMNIFY AND HOLD HARMLESS THE CONSULTANT FOR ANY
CLAIMS ARISING OUT OF THE CONSULTANT'S PERFORMANCE HEREIN, SUBJECT TO THE LIMITS OF
MINNESOTA STATUTE 46G. THE CONSULTANT AGREES TO GIVE HIS OR HER FULL COOPERATION AND
ASSISTANCE IN THE DEFENSE OF ANY CLAIMS.
I 2.) THIS AGREEMENT MAY BE AMENDED 6Y FURTHER WRITiEN AGREEMENT OF THE PARTIES
