1 WHEREAS, the Division of Parks and Recreation is hosting the Minnesota
2 Orchestra concert on Harriet Island on Saturday, September 6, 1997 which will
3 be free of charge and open to the public; and
4 WHEREAS, a fireworks finale has been planned and budgeted for the event; and
5 WHEREAS, the best location for the fireworks shoot would be from a barge on the
6 Mississippi River and Shiely Company, doing business at 2915 Waters Road,
7 Eaqan, MN has offered to donate a barge to use for the show and Upper River
8 Services, Inc., doing business at 46 State 5txeet, St. Paul, MN has offered to
9 stage the barge for set up, move the barge to the shoot site and return the
10 barge during the period of September 4, 1997,until September 7, 199'l; and
11 WHEREAS, the promise of indemni£ication and defense for such a purpose will
12 facilitate this event and enable it to take place; now therefore, be it

RESOLVED, that the Council of the City of Saint Paul on behalf oP the City of
Saint Paul hereby agrees to defend, indemni£y and hold Shiely Company and Upper
River Services and their respective employees and agents harmless from any and
all damages it may be required to pay as a result of suits, claims, actions or
judgments arising out of activities connected with the fireworks show planned
for Harriet Island on September 6, 1997 for or on account of any injuries or
damages received or sustained by any party, parties, or property by reason of
any act of negligence or omission of said City, its contractors, agents or
employees; and be it
22 FURTHER RESOLVED, that the foregoing defense and indemnification does not cover
23 any damages in excess of the City's liability'limits as set forth in Minn.
