VJHEREAS, Continental Cablevision of St. Paul, Mimiesota holds a cable franchise
with the City of St. Paul, which requires the prior approval by the City of St. Paul of any
transfer in ownership of said franchise and has requested the approval of the City of St. Paul
to the transfer its franchise to U.S. West, Inc., and
WHEREAS, Continental Cablevision Inc., has petitioned the Federal Communications
Commission for Special Relief, which would allow it to transfer its cable franchise to U.S.
West, Inc., without the approval of local franchising authorities, and
WIIEREAS, the effect of such Special Relief by the Federal Communications would
be to allow the transfer of the franchise in St. Paul without the approval of the City of St.
Paul; and
WHEREAS, it is in the interest of the City of St. Paul to appear in the proceedings
before the Federal Communications Commission to oppose this Special Relief, and
WHEREAS, the City of St. Paul currently has an Agreement with the law firm of
Miller, Canfield, Paddock and Stone, P.L.C. of 1225 Nineteenth Street, N.W., Suite 400,
Washington, D.C.20036, for legal consulting services relative to the cable franchise, and
WHEREAS, due to the special circumstances of the specific expertise needed to
represent the City before the Federal Communications Commission, the City Attorney requests
the appointment of Miller, Canfield, Paddock and Stone, P.L.0 as special counsel.
THEREFORE, NOW BE IT RESOLVED, that the law firm of Miller, C�eld,
Paddock and Stone, P.L.0 be appointed special counsel, under the direction of the City
Attorney, to represent the City in matters related to the transfer of the cable franchise from
Continental Cablevision, Inc., to U.S. West, Inc., and
FURTHER RESOLVED, that the compensation to Miller, Canfield, Paddock and
Stone, P.L.0 be as stated in the attached Agreement, which currently range from $105 to
$220 for attorney time and $65 to $7Q for pazalegal time, and that said compensation be paid
from activity code 01121-0218.

INITIATING PROBLEM, ISSUE, OPPOflTUNITY (Who, Whet, When, Where, Why):
Continental Cablevision holds a cable franchise with the City which requires the prior
approval of the City to any transfer in ownership of said franchise and has requested the
City's approval to transfer its franchise to U.S. West, Inc. It also has petitioned the FCC f
special relief which would allow the transfer wit�he City's approval. To oppose this
special relief, special legal expertise is needed. The City Attomey requests the appointment
of Miller, Canfield� Paddock and Stone as special counsel in this matter. The City currently
has an agreement with this law firm for legal consulting services relative to the cable
franchise. This resolution would chan e their status from consult
