WITNESSETH: WHEREAS, the City requires medical staff to provide ciinical mental health services to its patients in its Preventive Clinic and Refugee Screening Program; and WHEREAS, the City is permitted to contract for the performance of said service or any port+on thereof; and WHEREAS, it is deemed in the best interest of the City to contract for said service; NOW, THEREFORE, IT IS MUTUALLY AGREED by and between the City and the Ramsey Clinic as follows: 1. That the Ramsey Clinic shall provide the City with the physician services of Mark Williams, M.D. 2. That the Ramsey Ciinic shali be paid 590.00 per hour fior Dr. Mark Williams duties. 3. That Dr. Mark Williams typical duties will include but are not limited to: a.) Performs medical evaluations, diagnosis, medication management to patients needing mental health services. b.) Makes referrals to other agency programs and outside agencies. c.) Participates in Quality Assurance activities. q`- ao�t d.) Provides emergency medical support for Saint Paul Public Health when on duty if deemed necessary. 4. That the City shaii reimburse the Ramsey Clinic on a monthly basis upon receipt of an i�voice, but in no case shall the total amount of reimbursement to the Ramsey Clinic under the terms of this Agreement exceed 59,000 annually. 5. That the City shall submit to the Ramsey Clinic a schedute for Dr. Mark Williams on time in advance. 6. That the City declares the Department of Public Health, Medical Director, Neai Holtan, in consuitation with appropriate staff, as the person responsible for compliance with the terms of this Agreement. 7. That the Ramsey Clinic will defend, save and hold harmless the City from any and all claims, demands, actions or causes of action arising out of any act of commission or omission on the part of its agents, servants or employees in the performance of this Agreement excepting those claims, demands, actions or causes of actions solely attributahle to the negligence of the City. 8. That the City of Saint Paul will defend, save and hoid harmless the Ramsey Clinic from any and all claims, demands, actions or causes of action arising out of any act of commission or omission on the part of its agents, servants or employees in the performance of this Agreement excepting those claims, demands, actions or causes of actions solely attributable to the negligence of the Ramsey Clinic. `a q�- a oy 9. That at ail times the Ramsey Ciinic agrees that Dr. Mark Williams is an independent cantractor as to the City and not an employee of the City. 10. That nothing in this Agreement shall be construed as limiting the right of independent operation of either the Ramsey Ciinic or the City fior the afifiiliation of contract with any other institution or agency whi�e this Agreement is in effect. 11. That any Agreement may be terminated by either party with or without cause upon thirty (30) days' written notice. Charges which have accrued for services rendered shail survive any termination of this Agreement. 12. That any alteration, variations, modifications, or waivers of provisions of this Agreement shall be valid only when they have been reduced to writing, fully signed, and attached to the original of this Agreement. 3 9�-aoy 13.
