WHEREAS, Ramsey County is owner in fee of the following properry:
See Exlubit "A"; and

WHEREAS, the City of Saint Paul, acting through its Valuation Engineer, has secured an
agreement for the purchase of easement rights, on the above mentioned property, as described
in the documents incorporated herein by reference; and
WHEREAS, Ramsey County has approved the conveyance of these easements rights to the
City of Saint Paul by County Resolution #95-576 on December 12, 1995, a copy of which is
attached hereto; and
WHEREAS, said easement rights aze necessary for the reconstruction of the Wabasha Bridge.
The value at which these easement rights may be purchased is in the amount of Twenty-Six
Thousand Dollars ($26,000), this being a fair and reasonable value for said easement rights as
determined by an independent appraiser; so
THEREFORE BE TT RESOLVED, that the proper City Officials are hereby authorized and
directed to accept the agreementincorporated herein by reference; and
BE IT F'IJRTHER RESOLVED, that the proper City Officials are hereby authorized and
directed to pay Ramsey County, Minnesota the sum of $26,000. Said sum to be charged to
Activity Code: C96-2S107-0788-00000

TEMPORARY CONSTRIICTION EASEMEN'1' �
AND RIGHT OF ENTRY PERMIT

For valuable consideration, the County of Ramsey, a political
subdivision of the State of Minnesota (hereafter ^GRANTOR") does
hereby grant to the City of St. Paul, a municipal corporation of
the State of Minnesota, (hereafter "GRANTEE) the right to enter
upon GRANTORS property identified in the attached exhibit A
(hereafter "PREMISES") for the purpose of construction,
reconstruction, modification, or repair of the Wabasha Bridge
Project �62555, as submitted in the plans for said bridge,
subject to he £ollowing conditions:.
1. The City of Saint Paul will consult with the proper
officials zepresenting the Fee Owner before commencing
with work abutting existing structures.
2. This agreement shall remain in effect until suitable
easement documents are filed, damages are paid for said
easements and improvements to existing structures are
completed as indicated in the plans the above
mentioned bridge.
3. All work and operations will be performed in a safe and
worJmlanlike manner.
4. This permit shall be subject to all existing leases,
licenses and permits heretofore granted to and by the
Fee Owner, on said property.
5. The GRANTEE shall de£end, indemnify, and hold the
- GRANTOR harmless from and against every demand, claim,
cause of action, judgment and expense, including
attorneys' fees, and all loss or damages arising from
any injury or damage to any person or property,
including the property of GRANTOR, where the injury or
damage azises from GRANTEE'S, or its agents,
contractors,�servants, or employees use or occupancy of
the PREMISES £or the purposes described herein.

6. This temporary easement and right of entry shall expire
upon completion of the Wabasha Bridge Project A62555, or
December 31; 1998, whichever is earlier.

For valuable consideration, the County of Ramsey, a political
subdivision of the State of Minnesota (hereina£ter "GRANTOR")
hereby grants, conveys, and quitclaims to the City of St. Paul, a
municipal corporation of the State of Minnesota (hereafter
"GRANTEE") a permanent easement for the construction,
reconstruction, use, and maintenance of a bridge or bridge
structure over and across the real property described in the
attached e�chibit "A", (herea£ter the "PREMISES") subject to the
following conditions:
(1) GRANTOR shall retain the right to use those portions of
the PREMISES beneath the bridge structure and not
physically occupied by the bridge structure, including
its deck, abutments, suppo=ts, or other structures
attached to the surface of the PREMISES, for any purpose
not inconsistent with use of the PREMISES for
construction, reconstruction, operation, repair and
maintenance of the bridge structure. ,
(2) This easement shall expire and be of no further force and
effect at such time as the GRANTEE abandons its use of
the PREMISES for bridge purposes. Upon such abandonment,
the GRANTEE, its successors or assigns, shall remove all
bridge and related structures from the PREMISES and shall
restore the PREMISES to its original condition, all at
the sole cost and expenses of the GRANTEE, its successors
or assigns.
This easement and the conditions stated herein shall run with
the land and shall be binding on and inure to the benefit of the
parties hereto and their successors and assigns.
