WFIEREAS, the City of Saint Paul, acting through its Valuation Engineer, bas secured an
agreement for the purchase of real property, said property is described as follows:

Lots 14 and 15, Block 2, Michel's Subdivision
of Block 5, Stinson's Addition.
WHEREAS, said property described is necessary for street widening in connection with the
Dale Street North Improvement Project, said property was approved for acquisition on
with Council File Numbered 88-1522. The value at which said property may be purchased at is
in the amount of One Hundred Forty-Four Thousand Five Hundred Dollars ($144,000), this
being a fair and reasonable value £or the subject properties as deternuned by an independent
appraiser; and
WHEREAS, the Valuation Engineer has recommended the purchase of said property at
the recommended value, subject to the terms and conditions agreed upon between Fee Owner
and City of Saint Paul as specified in the attached purchase agreement;
SO TIiEREFORE BB IT RESOLVED, that the proper City Officials are hereby
authozized and directed to pay George C. Schultz the sum of $142,500.
Said sum to be charged to Activity Code: C88-2GQ03-Q788-25014

6. Real Estate Taxes: Seller shall pay all tases payable in 1995, as well as any delinquent tases
not yet paid. Seller shall provide buyer with proof of payment of tases. Any assessments,
taYes, and liens not paid as of the date of closing, will be withheld from the purchase price.
Buyer shall pay all taxes payable in 1996 and thereafter.
Seller shall pay all assessments levied and pending aaainst said property as of the date of
closing. Seller shall provide buyer with proof of payment of assessments.

9. Seller shall provide the Buyer, within ten days of signing this Purcbase A�eement, an
updated Absuact of Title andJor an Owner's Certificate of Title. Seller aa ees, at Sellers's
cost and e�ense, to conect or remove any exception or "clouds" on the title as shown on
the Buyer's "Commitment to Insure" title examivation report.
I0. Closing shall occur on or before August 18, 1995, at which time the title to the premises
shall be conveyed to the City. Buyer shall pay all closing cosu.
11. Buyer agrees that seller shall retain possession and sball be allowed to laase the subject
property until January 31, 1946. Buyer further ab ees to notify seller at least 45 days prior
to said scheduied date of demolition. Seller agrees to notify buyer if occupancy will
terminate prior to said scheduled date. Furthermore, tbe seller shall retain insurance for the
duration of the lease.
12. The seller agrees to waive all consideration for relocation benefits.
13. Seller shail provide an affidavit on the date of closing, indicating that the Seller has not used
or permitted the use of the subject property as a hazardous wasTe disposal facility as defined
in section 115A03 Subd. 10 of Chapter 121 of the Laws o£ Minnesota of 1983, and that
tbere is no basis to conclude that this property has been subject to or contaminated by tbe
release of any hazardous substance, hazardous waste, pollutants of contaminants as defined
in Section 115B.02 of the Mianesota Statutes.
14. l-�11 warranties and representations made in this Purchase Agreement shall survive the
closing and tbe conveyance of title to the property. This Purchase Agreement and all
obligations provided shall, to the ea�tent not fully satisfied and performed by or through the
Closing survive the closing and the conveyance of title to the property.
