WHEREAS, the City of Saint Paul as embarked on a program and policy of awakening
its River Heritage, and;
WHEREAS, the River Valley Preser ation Company has approached the City with a
proposal to operate a floating Bed/Bre kfast and Restaurant facility on the River, and;
WHEREAS, a Bed/Breakfast and Res aurant facility located on the River will become a
great entertainment attraction for th I citizens of Saint Paul and tourists, and;
WHEREAS, the Bed/Breakfast and estaurant will enhance the Citys efforts to
emphasise its River Heritage;
NOW THEREFORE BE IT RESOLVED, t at the Saint Paul City Council directs the
appropriate City officials to enter i to the attached lease agreement with River Valley
Preservation Company.

G R E E M E N T
THIS AGREEMENT, made�and entered into this day of
, 1994, byland between the City of Saint Paul,
herein referred to as the�"City�� and THE RIVER VALLEY PRESERVATION
COMPANY, hereinafter refe to as River Valley."
WITNESSETH:
1. That the City does l ereby grant to River Valley the privilege
of operating a bed nd breakfast and restaurant at a site to
be agreed, by the P'rties, on the Saint Paul portion of the
the right descendin bank of the Mississippi River in
proximity to river ile 839.7.
2. That the period of his Agreement shall be for fifteen years
commencing on or ab ut July 1, 1995 and running through May
31, 2010.
3. That River Valley s�all pay the City the greater of the
following:
A. $4000 minimum f fee per year or:
B. 1.5% of the rev nue generated by the restaurant and gift
shop over $350, 00 for years 1995 and 1996 and 1.5% of
the revenue gen rated by the bed and breakfast room
rental over $10 ,000 for years 1995 and 1996.
1.75% of the re enues generated by the restaurant and
gift shop over 350,000 for years 1997, 1998 and 1999 and
1.75% of the re enue generated by the bed and breakfast
from room renta over $100,000 for years 1997, 1998 and
1999.
20 of the reve �e generated by the restaurant and gift
shop over $350,,000 for years 2000, 2001, 2002, 2003 and
2004 and 20 of Ithe revenue generated by the bed and
breakfast from room rental over $100,000 for years 2000,
2001, 2002, 20 3 and 2004.
2.5% of the re enue generated by the restaurant and gift
shop over $350 000 for years 2005, 2006, 2007, 2008 and
2009 and 2.5% f the revenue generated by the bed and
breakfast from'�room rental over $100,000 for years 2005,
2006, 2007, 20 8 and 2009.

Fees are subject to e abatements provided elsewhere herein.
4. That the $4000 minim flat fee payment in paragraph 3.A and
the $350,000 and $10',000 threshold figures listed in
paragraph 3.B shall e increased in any year that the
Minnesota Cost of Li ing Index shows an increase of 5a or
more from the previo s year. These figures shall be
increased by a perce tage equal to the Minnesota Cost of
Living Index percent ge increase in that year.
5. That River Valley sh 11 use an accounting method acceptable
to the City and shal keep and maintain in accordance with
generally accepted a counting principles, proper and adequate
books, records and a counts which will accurately reflect and
permit the determina ion and verification of the amounts due
the City of Saint Pa 1 under the Agreement. Such books,
records and accounts shall be available for inspection by the
City between the hou s of 9:00 a.m. and 5:00 p.m., Monday
through Friday, incl sive by any duly authorized agent of the
City, at times of re'taurant and bed and breakfast business
operation.
6. That on or before th fifteenth day following the end of each
calendar quarter und r this Agreement, River Valley shall
submit to the City a statement, in duplicate, showing the
total gross revenue eceived from the operation of the
restaurant and bed d breakfast for the preceding quarter.
The statement to be ubmitted shall be in such form and
contain such detail s may be necessary to adequately account
to the City in acco ance with generally accepted accounting
principles, for the ' ayments due under this Agreement.
7. That River Valley s�all pay the City $2000 on July 1 and
$2000 on October 1 f each year of the life of this
Agreement, except i year one (1995), and subject to the
abatements providedielsewhere herein.
In year one (1995) iver Valley shall pay the City $1,166 on
September 1 and $1, 66 on December 1, subject to the
abatements provided!elsewhere herein.
8. That by February 28�h of each year during which this
Agreement is in eff ct, River Valley shall submit to the City
a detailed statemen of the total gross receipts for the past
calendar year. Suc report, prepared in accordance with
generally accepted ccounting principles, shall accurately
reflect the total g oss receipts accruing from the restaurant
and bed and breakfa t enterprise and shall contain such
detail and be in su h form as may be required to satisfy the
obligations of Rive Valley hereunder and said report shall
be accompanied by f'll payment for any adjustments or changes
which a review of t e quarterly reports shall show are due
and owing. �

9. That River Valley her by agrees to hold the City and all of
its officers, agents nd employees harmless and indemnified
from and against any enalty, damage or charge imposed for any
violation of laws or rdinances that are occasioned by the
negligence of River V lley or those holding or operating under
River Valley. In add tion thereto, River Valley hereby agrees
to hold harmless and ndemnify the City, its officers, agents
and employees from an against all loss, cost, damage or
expense arising or gr wing out of any accident or other
occurrence in connect on with the operation by River Valley on
or about the premises used by River Valley pursuant to the
privileges granted he eunder which may cause injury to any
person or property. s additional assurance of such
indemnification but n t in lieu thereof, River Valley shall
obtain and pay the pr miums upon a general liability insurance
policy (ies) which wi l name the City as an additional
insured. Such policy!(ies) shall cover injury to persons or
property arising out f the operation of River Valley's
business with limits f not less that $50,000 with respect to
property loss, $600,0 0 with respect to injury or death to any
one person and $1,000 000 for any number of claims arising out
of a single occurrenc . The policy (ies) of insurance shall
be submitted to the C ty Attorney of the City for approval and
shall be filed with t e Department of Finance and Management
Services prior to the execution of this Agreement. Such
insurance policy (ies shall be kept in force during the
entire period that th's Agreement or any renewal thereof is in
effect and shall cont in a provision which will not permit
cancellation without 0 days' prior written notice to the
City.
A reciprocal obligati n on the part of the City shall
indemnify and hold h mless River Valley, its officers, agents
and employees from a against all loss, cost, damage or
expense arising or g wing out of any accident or other
occurrence in connec jion with the premises maintained and
controlled by the Ci .
10. That in the event th�t River Valley determines to sell beer
and/or wine, River V'lley shall provide a liquor liability
insurance policy whi h names the City as an additional insured
in limits of not les than $50,000 with respect to property
loss, $600,000 with espect to injury or death to any person
and $1,000,000 for a y number of claims arising out of a
single occurrence. he insurance policy shall be submitted
to the City Attorney of the City for approval and shall be
filed with the Depar ment of Finance and Management Services
prior to the serving of beer and/or wine by River Valley.
Such insurance polic (ies) shall be kept in force during the
entire period that t is Agreement or any renewal thereof is in
effect and shall con ain a provision which will not permit
cancellation without 30 days' prior written notice to the

11. Th
at River Valley wi make no claim and waives any right
against the City on ccount of any loss or damage by fire,
water, windstorm, fl ods, freezing, gas, electric wires and
other acts of God af ecting its property in connection with
its operation. The ent specified in paragraph #3 shall be
abated in any periodlduring which River Valley's business
operations are halte on account of fire, windstorm, floods,
other acts of God.
12. That River Valle sh�ll v
y obser e all ordinances, rules and
regulations of the C ty, pertaining to discrimination in
employment, housing,leducation and public accommodations on
grounds of race, cre d, national origin or ancestry.
13. That River Valley sh operate the enterprise in a manner
which will be a cred t to the City of Saint Paul.
A. The facility hou ing the enterprise shall be kept in good
repair both insi e and out. Painting will be done, as
needed, in a tim ly manner.
B. The outside of t�e enterprise shall be kept free of trash
and debris.
C. On land faciliti s and areas, which support the
enterprise shall�be kept in a clean condition.
D. Customers, guest and the general public shall be treated
in a polite, sen itive and customer friendly manner.
14. That the City shall otify River Valley by registered mail of
any failure to compl with the obligations outlined above and
River Valley shall h ve ten days after receipt of such letter
within which to make necessary corrections and to notify the
City that such corre tions have been made. Failure of River
Valley to make such orrections shall be considered a breach
of contract and shal give the City the right to terminate
its agreement with 'ver Valley. The City shall notify River
Valley of it's inte ions to terminate the agreement by
registered mail. Ri er Valley shall have thirty days to
vacate the premises pon receipt of such termination notice.
15. That River Valley s 1 11 keep and observe all the laws and
ordinances relating o said premises and the care and use
thereof .
16. That River Valley m erect signage to advertise and identify
its enterprise. Su h signage shall be submitted to the City
of approval prior t it being erected.

17. That River Valley sh pay all utility hook-up and usage
costs associated wit their enterprise. This includes,
water, electrical, g s, sewer, telephone, cable television
and any other such s rvice, except charges occasioned by a
move compelled by th City's construction projects.
In the event of a mo e, required by the City, rent will abate
to the extent necess ry to cover the above referenced utility
costs. i
18. That the City will u its best efforts to maintain and keep
the park area in, ab ut and adjacent to the area from which
the enterprise will perate clear of refuse, rubbish and
miscellaneous unsigh ly storages. River Valley shall dispose
of all rubbish and r fuse generated in connection with its
operation but shall ot be responsible for the upkeep,
maintenance or repai of park property used in connection
with the enterprise.; However, River Valley shall be
responsible for all rash removal costs associated with its
enterprise.
19. That the City shall l ave the right to terminate this
Agreement at any tim upon thirty (30) days' notice for any
uncured default by R ver Valley hereunder.
20. That River Valley sh 11 have the right to terminate this
Agreement at any tim upon thirty (30) days' notice for any
uncured default by C'ty hereunder.
21. That upon terminatio' of this Agreement River Valley will
vacate the area used by the enterprise in as good condition
and order as they we e at the time they were accepted,
ordinary and reasona le use and damage by the elements
excepted. In the e nt a Court of competent jurisdiction
shall determine that the City is unable to perform its
obligations under t's Agreement, then all rights granted
hereunder shall aut atically terminate and neither party
shall be liable to t e other for damage.
22. That as said herein I n uncured default is such default as
shall not have been emedied within ten (10) days from the
date of written not'fication thereof given by one party to
the other.
23. That notwithstandin any other provision herein, this
Agreement shall aut atically terminate upon the occurrence
of any of the event described below:
A. A petition by o against River Valley under the
bankruptcy laws of the United States, which petition is
not dismissed w'thin 90 days from the date of such
filing; i

B. The assignment b River Valley of its assets for the
benefit of credi ors under any state insolvency laws; and
24. That it is understoo that the facility to be used by River
Valley for the ente rise upon termination of this Agreement
be removed or dispos d of as River Valley sees fit.
25. That the City and Ri er Valley acknowledge that construction
projects in the Miss ssippi River area will be ongoing during
portions of the life of this Agreement. And further agree to
cooperate with each ther if the construction causes the
enterprise to be mov d to a different location during the
life of this Agreeme t. Such new location shall be as
accessible as the or ginal location, as is reasonably
possible. i
26. That in the event th t the parties cannot agree on a new
site, if a move as o tlined above becomes necessary either
party may cancel thi agreement by giving the other party
sixty days notice of'their intention to do so.
27. That failure of perf�rmance or delays by either party shall
be excused if caused'by or if arising out of acts of God,
strikes, labor dispu es, acts of the public enemy, wars,
riots, floods, storm , material shortages, act of State or
Federal government a d any other causes whether similar or
dissimilar, which ar not reasonably within the control of
the party claiming F rce Majeure.
28. That no provisions o this agreement may be construed as
giving River Valley xclusive rights to this type of
enterprise or any ot er enterprise in that portions of the
river where the ente prise is located. The City shall have
the right to evaluat and place other business ventures
within the proximit �of River Valley.
29. That all notices pe aining to this agreement shall be in
writing and shall b'sufficiently give if personally
delivered or sent b registered mail (date of receipt to

30. That the parties her to agree that they are acting as
independent contract rs and that nothing in this Agreement is
intended to create, or shall anything herein be construed or
interpreted as creat ng a partnership, joint venture, or any
other such mutual re ationship between the City and River
Valley except as exp essly agreed to herein. Each party
shall be responsible'for its own separate debts, obligations
and other liabilitie .
31. The laws of the Stat of Minnesota shall apply and bind the
parties in any and a 1 questions arising hereunder,
regardless of the ju isdiction in which any action or
proceeding may be in tiated or maintained. If any provision
of this Agreement in any way violates or contravenes the laws
of any applicable co ntry, state or municipality, such
provision shall be d emed not to be a part of this Agreement
and the remainder of Agreement shall remain in full
force and effect. T e invalidity or unenforceability of any
provision of this Ag eement shall in no way affect the
validity and enforce bility of any other provision hereof.
32. That if any provisio of this Agreement shall be declared
invalid for any reas n and such provision does not destroy
the objects and purp ses or this Agreement or make unfeasible
the performance of t e remaining terms and conditions of this
Agreement, such prov sion shall be deemed severable and the
remaining terms and rovisions of this Agreement shall be
enforced in accordan e with their terms.
33. That this Agreement hall not be assigned by River Valley
without the prior wr tten consent of the City expressed by a
written order of its�Mayor.

Preservation Company and he City.
The essentials of the Agree I ent include:
1. Location in proximity l o river mile 839.7 which is near or on the new
public dock (page 1). �
2. Agreement Duration: � 15 years beginning in 1995 and ending on May 31,
2010 (Paragraph 2). '
3. Payment to the City: � Minimum of $4,000 annually. See Attachment 1
for an analysis of pr 'ected revenues for the enterprise and the
corresponding paym nts to the City. Our numbers are very conservative
compared to those p ojected by River Valley, and the various agencies
that advised them o business growth such as P.E.D., the Small
Business Administra on and their Banker (Paragraph 3).
4. The threshold figure of $4,000 minimum payment to the City and
$350,000 for restaur nt sales and $100,000 for Bed and Breakfast sales
are adjusted in any ear that the Minnesota Cost of Living Index shows
an increase of 5% o more (Paragraph 4).
5. River Valley is resp nsible for any utility hook-up it needs as well as the
cost of any utility us ge (Paragraph 17).
