Project will not be eligible for County State Highway Aid financing from Ramsey County. 70TALAAAOUNTOFTRANSACTIONS 41 ,036.58 COST/REVENUEBUDGETED(CIfiCLEONE) FUN�ING SOURCE �� � L�L 'j �C�//, (� � ACINITY NUMBER C93-25039 FINANCIAL INFORMATION: (E%PU11N) YES No � � AGREEMENT FOR REVISION AND MAINTENANCE OF TRAFFTC CONTROL SIGNALS AND EVP SYSTEMS AGItEEMENT NO. 95019 Amount Encumbered $41,038.67 THIS AGREEMENT, made and entered into by and between the County of Ramsey, Department of Public Works, hereinafter refened to as the "County," and the City of St. Paul hereinafter referred to as the "Cit}�' for the revision and maintenance of traffic control signal systems with street lights, signs and emergency vehicle pre-emption at various intersections with the City of St. Paul; WITNESSETH: WIIEREAS, the County has detemuned that there is justification and it is in the public's best interest to revise eaisting trafiic control signals and with street lights and signs on Franklin Avenue (County State Aid Highway No. 33) at Eustis Street; on Franklin Avenue (County State Aid Highway No. 33) at Cromwell Avenue ; on Franklin Avenue (County State Aid Highway No. 33) at University Avenue (T.H. 52) and Pelham Blvd.; on Raymond Avenue (County State Aid Highway No.46) at University Avenue (T.H. 52), and WI�REAS, the City requested and the County agrees to provide an Emergency Vehicle Pre- emption Systezn, hereinafter referred to as the "EVP System" as a part of said traffic control signals with street lights in accordance with the terms and conditions hereinafter set forth; and WHEREAS, the City requested and the County agrees to provide an interconnect system as a part of said traffic control signals in accordance with the terms and conditions hereinafter set forth; and WHEREAS, it is anticipated the County and the Minnesota Department of Transportation will enter into an agreement to transfer jurisdiction to the County a portion of University Avenue (T.H. 52) from the West County Line to T.H. 49; and WHEREAS, there exists, in full force and effect, a Cooperative Agreement known as "7oint Powers AgreemenY', County Board Resolution 93-643, dated November 23, 1993 entered into by and between the City and County to share the cost of routine traffic signal maintenance of tr�c control signat systems, cabinets, controllers, control equipment, conduit systems, interconnect cables and electric power costs; and WI�REAS, the County and the City will participate in the cost, maintenance and operation of said traffic control signals with street lights, signs, interconnect and EVP system as hereinafter set forth. NOW, THEREFORE, IT IS AGREED AS FOLLOWS: 1. The City shall prepare the necessary plans, specifications, force account agreements and proposals and shall perform the engineering and inspection required to complete the items of work hereinafter set forth. Such work as described immediately above shall constitute "Engineering and Inspectiori' and shall be so referred to hereinafter. 95019- 1 �'S -�-5 � 2.The contract cost of the work or, if the work is not contracted, the cost of all labor, materials and equipment rental required to complete the work, except the cost of providing the power supply to the service equipment or pad shall constitute the actual "Construction Cost" and shall be so referred to hereinafter. 3.The City with its own forces and equipment or by contract shall revise or cause the revision of said traf�'ic control signals with street lights, signs, interconnect and EVP system in accordance with the plans and specifications under City Project No. 95-T-1262, State Project No. 6208-34 and S.A.P. No. 62-633-01 on Franklin Avenue at Eustis Avenue; Franklin Avenue at Cromwell Avenue; and Franklin Avenue at University Avenue / Pelham Bivd.; and S.A.P. No. 62-646-14 on Raymond Avenue at University Avenue. Construction cost shall be shared as follows: a. Franklin Avenue at Eustis Street. System "A" S.A.P. No. 62-633-01. Revise the e�cisting traffic control signal with signs and street lights, and install an BVP system. 1) Traf�c Control Signal with signs and street lights. Estimated Construction Cost is $12,600.00 which excludes City furnished materia(s and EVP system materials (cable, detectors, and lights}. Anticipated Minnesota Department of Transportation share is 25.00 percent. County share is 50.00 percent. City share is 25.00 percent. 2) City furnished materiais (Traffic Control Signal) . Estimated Cost is $900.00 which excludes BVP system control and interface equipment. Anticipated Minnesota Department of Transportation share is 25.00 percent. County share is 50.00 percent. City share is 25.00 percent. 3) EVP system. Estimated Construction Cost is $3958.00 which includes City furnished materials. Anticipated Minnesota Department of Transportation share is 25.00 percent. No. 62-633-01 and 62-46-14. Install Interconnect system with the existing traffic control signals. 1) Interconnect System. Estimated Construction Cost is $54,200.00 which excludes City furnished materials. Anticipated Minnesota Department of Transportation share is 43.75 percent. County share is 16.67 percent. City share is 39.58 percent. 2) City furnished materials (Interconnect 5ystem) . Estimated Cost is $5,221.00. Anticipated Minnesota Department of Transportation share is 43.75 percent. County share is 16.67 percent. City share is 39.58 percent. 4. Upon execution of this agreement and a request in writing by the City; the County shall advance to the City an amount equal to their portion of the project costs based on the actual bid price and City furnished materials plus six percent (6%) of such amount for the County's share of the cost for Engineering and Inspection. 95019- 3 �jS - 8"5 ` 5. Upon final payment to the contractor and computation of the County's final share for the work provided for heiein, that amount of the funds advance by the County in excess of the County's 5na1 share will be retumed to the County without interest and the County agrees to pay to the City that amount of its final share which is in excess of the amount of the funds advanced by the County. 6. Upon completion of the work contemplated in paragraph 3 hereof, the City shail maintain and keep in repair the traffic control signal systems with street lights, signs, interconnect and EVP systems including electrical power costs in accordance with the "7oint Powers Agreement", County Board Resolution 93-643, dated November 23, 1993 entered into by and between the City and the County. 7. It shall be the City's responsibility to secure or coliect any construction cost of this project, City Project No. 95-T-1262, from the Minnesota Department of Transportation on the basis of entering legs of any intersection along University Avenue (T.H. 52) prior to any jurisdiction change between the County and Minnesota Department of Transportation. The County will not be responsible for any construction costs on University Avenue for this project. 8. All timing and related adjustments of the traffic control signals shall be detemuned by the City through its Tr�c Engineer, and no changes shall be made to these adjustnnents without the approval of the City. 9. Any and all persons engaged in the maintenance work to be performed by the County not be considered employees of the City, and any and all claims that may arise under the Worker's Compensation Act of this State on behalf of those employees so engaged, and any and all claims made by any third party as a consequence of any negligent act or omission on the part of those employees so engaged on any of the work contemplated herein shall not be the obligation and responsibility of the City. 10. The parties agree to defend, indemnify and hold each other hannless from any claims, demands, actions or causes of action, arising out of any act or omission by the party, its subcontractor, partners or with relation to any of the work or services to be performed or fumished by the party, its subcontractors, partners, or independent contractors or any of their agents, or employees, under the terms of this agreement.
