RESOLUTION D EGATING TO THE HOUSING AND
REDEVELOPM T AUTHORITY OF THE CITY OF
SAINT PAUL, MINNESOTA THE DUTIES AND
OBLIGATION OF THE CITY UNDER A LEASE
BETWEEN THE Cll'Y AND THE CHILDREN'S MUSEUM
INCORPORATED CENTRAL BUSINESS DISTRICT 17
WHEREAS, the City, as lessor, has jentered into or will enter into a lease with The Children's
Museum, Incorporated, doing busine s as the Minnesota Children's Museum (the "Museum "), as
lessee, with respect to Disposition Par North Half of Block 25; and
WHEREAS, Disposition Parcel North Half of Block 25 is more particularly described as follows:
That part of Lot 3 lying Southeasterly of the Northwesterly one foot thereof; that part of
Lot 4 lying Southeasterly of the Northwesterly one foot thereof; all of Lots 5 and 8; and
the Northwesterly one -half ofisLot 6; all in Block 11, Bazil & Guerin's Addition to Saint
Paul, Ramsey County, Minne ota
(the "Property "); and
WHEREAS, the Housing and Redevelopment Authority of the City of Saint Paul, Minnesota (the
"HRA ") has entered into a Development and Tax Increment Financing Agreement dated
December 1, 1991, as amended (the "Development Agreement ") with the Museum providing for
financial assistance and other matter relating to development of a new facility for the Museum
on the Property; and
WHEREAS, the HRA will administer and manage development of the Property and has the staff
and resources to continue to monitor the operations of the facility located on the Property;
NOW, THEREFORE, BE IT RESOLVED by the Council of the City of Saint Paul, Minnesota
as follows:

1. The City hereby delegates to e HRA all of the powers, rights, duties and obligations of
the City, as lessor, under and ith respect to the lease (the "Lease ") entered into or to be
entered into between the City and the Museum with respect to the Property.
2. The delegation expressed in Paragraph 1 above, shall extend to all powers, rights, duties
and obligations of the City, a$ lessor, provided that:
a. the Lease shall not be emended or modified except with the prior approval of the
City;
b. the HRA shall not terminate the Lease nor exercise an unlawful detainer action
thereunder without prior approval of the City;
c. the HRA shall take no action which would cause the Lease to fail to comply with
Minnesota Laws 1994 Chapter 643, Section 2, Subdivision 18 or Section 81 or
Minnesota Statutes, S ction 16A.695; and
d. all reporting to the Staite of Minnesota with respect to the Lease shall be done by
the HRA in the name of the City.

This resolution accompanies a City Council Resolution accepting State funds accepting
title to the property per State requ.rements, approving a lease between the City and The
Children's Museum, and authorizing d of State funds to the Museum. The attar d
Resolution delegates to HRA certain duties and responsibilities of the City under the
Lease between the City and the Museur.
ADVANTAGES IF APPROVED:
The HRA will administer and manage development of the Children's Museum project on publi
property and has the staff and resources to continue to monitor the operations of the
facility located on the public property.
