S.P. 6215-82 S.A.P. 164-164-14 and 164-207-�6 C.P. 93-T-1269 Prepared by Traffic Engineering ESTIN�ATED AMOUNT ItECEIV"A3LE AMOUNT ENCI3MBEREB S 2d.624.00 95-7 THIS AGREEMENT made and entered into by and between the State of Minnesota, Department of Transportation, hereinafter referred to as the "State", and the City of St. Paul, hereinafter referred to as the "City", WITNESSETH: WFiEREAS, Minnesota Statutes Section 161.20 (1994) authorizes the Commissioner of Transportation to make arrangements with and cooperate with any governmental authority for the purposes of constructing, maintaining and improving the Trunk Highway system; and WF-ISREAS, it is considered mutually desirable to revise the existing traffic control signals with street lights and emergency vehicle pre-emption on Trunk Highway No. 51 (Snelling Avenue) at_Thomas Avenue, Minnehaha Avenue and at Hewitt Avenue; and WHEREAS, che existing traffic control signals on Trunk Highway No. 51 (Snelling Avenue) are operated and maintained by City forces, it is considered in the best interest of the public to revise the existing traffic control signals on Trunk Highway No. 51 {Snelling Avenue) at Thomas Avenue, Minnehaha Avenue and at Hewitt Avenue, with City forces and equipment. WHERSAS, the City and State will share in the cost, maintenance and operation of the revised traffic control signals with street lights and emergency vehicle pre-emption, as hereinafter set forth; 73830 -1- 95�778 NOW, THEREFORE, IT IS AGREED AS FOLLOWS: 1. The City shall prepare the necessary plan, specifications and proposal which shall constitute "Preliminary Engineering", The City shall also perform the construction inspection required to complete the items of work hereinafter set forth, which shall constitute '�Engineering and Inspection" and shall be so referred to hereinafter. 2. The cost of all labor, materials, and equipment rental required to complete the work, except the cost o£ providing the power supply to the service pads or poles, shall constitute the actual "Construction Cost" and sha11 be so referred to hereinafter. 3. The City shall perform the revised traf�ic control signal work provided for under State Project No. 6215-82, State Aid Project No.'s 16a-164-1� and 16a-207-06 and City Project No. 93-T-1269. Such work as described immediately above shall hereinafter be referred to as '�City Force Account Worx," and as provided for in Exhibit "A" atcached hereto and made a parc hereof all at the estimated costs to the City for materials, labor and equipment rental as therein shown. 4. The City with its own £orces and equipment sha11 perform the traffic control signal work provided for under State Project No. 6215-82, State Aid Project No.'s 164-164-14 and City Project No. 93-T-1269 witih the Construction Costs shared as follows: 73830 -2- � 9� � aJ Trunk Aighway No. 51 (Snelling Avenue) at Thomas Avenue. System "A". S.A.P. 164-207-06. Revise the existing traffic control signal with street lights and emergency vehicle pre-emption. Estimated Construction Cost is $13,800.00. State's share is 50 percent. City's share is 50 percent. b) Trunk Highway No. 51 (Snelling Avenue) at Minnehaha Avenue. System "B", S.A.P. 164-164-14. Revise the existing traffic control signal with street lights and emergency vehicle pre-emption. Estiinated Construction Cost is $15,400.00. State's share is 50 percent. City's share is 50 percent. c) Trunk Highway No. 51 (Snelling Avenue) at Hewitt Avenue. System "C". Revise the existing traffic control signal with street lights and emergency vehicle pre-emption. Estimated Construction Cost is $16,400.00. State's share is 50 percent. City's share is 50 percent. 5. Force account records sha11 be made for all labor, materials and equipment. Copies of these force account records 73830 -3- 9 � - 778 shall be made in triplicate on forms provided by the SCate's Assistant Division Engineer at Roseville or his duly authorized representative for this purpose and shall be signed each day by authorized personnel of both parties. Payment for labor, materials, and equipment hours shall be based on these records. All actual and related indirect costs of the City shall be accumulated in accordance with its established accounting procedures. 6. Payment to the City will be made by the State for the State's share of the actual Construction Costs [as specified in Paragraph 4] for the City Force Account Work (estimated Construction Cost $22,800.00) plus eight (8) percent of such shares for the cost of Engineering and Inspection, which is completed and approved by the State's Assistant Division Engineer at Roscville or his authorized representative and upon submission by the City oi an incoice in quintuplicate to the State's Assistant Division Engineer at Roseville itemizing the costs and certified by a responsible City official that said City Force Account Work has been completed under the terms of this agreement. The invoice and supporting records are subject to audit by the State's representative at its direction. 7. The City shall maintain all books, documents, papers, accounting records and other evidence pertaining to costs incurred in connection with the City Force Account Work performed hereunder for a period of not less than 3 years after receipt of 73830 -4- 95� payment. The City shall make such materials available at iCs office at all reasonable times during this agreement, for inspection by the State (as provided by Minnesota Statutes, Section 16.095), and copies thereof shall be furnished upon request. 8. The amount to be encumbered for payment to the City from Trunk Highway Funds for the City Force Account Work performed under this Agreement is $24,624.00. In the event that at any time it appears that such reimbursement wi11 exceed said sum, the City shall promptly notify the State's Assistant Division Engineer at Roseville or his duly authorized representative in writing of the reason for the increase in cost and the amount of additional fiznds necessary to complete the City Eorce Account Work. If approved b� the State's Assistant Division Engineer at Roseville or his duly authorized representative, additional funds shall be encumbered by the State and notice given to the City by the State's Assistant Division Engineer at Roseville or�his duly authorized representative of such additional encumi�rance will permit the City to complete the City Force Account Work. 9. The City Force Account Work provided for herein shall be under the direction and supervision of the City. It is agreed, however, that the State shall have the right to periodically inspect said work. 73830 -5- 95�778 10. Upon completion of the work contemplated in Paragraph 4 hereof, it shall remain the City�s responsibility, at its cost and e�ense, to operate, maintain and provide power for the revised traffia control signals with street lights and emergency vehicle pre-emption, as provided for in exiting agreements. 11. Any and all persons engaged in the aforesaid work to be performed by the City shall not be considered employees o£ the State.and any and all claims that may or might arise under the Worker's Compensation Act of this State on behalf of said employees while so engaged, and any and all claims made by any third party as a consequence of any act or omission on the part of said employees while,so erigaged.on any of the worlc contemplated herein shall not be the obligation and responsibility of the State. `Phe City shall not be responsible under the Worker's Compensation Act for any employees of the State. 73830 -6- 95-778 CITY OF ST.
