AMOITNT RECIIVABLE $150,000.00 PARTNERSHIP AGREIIVIENT BETWEIIV THE MINNESOTA DEPORTMENT OF TRANSPORTATION AND THE CTTY OF ST. PAUL THIS AGRFENIEIVT is made and entered into by and between the State of Mimiesota, Department of Transportation, hereinafter referred to as "Mn/DOT" , and the City of St. Paul, hereinafter referred to as the "City". WEiEREAS, under Minnesota Statutes Section 174.02, subd. 6(1994), Mn/DOT may enter into agreements with governmentai entities for research and experunentation; for sharing facilities, equipment, staff, data or other means of providing transportafion-related services; or for other cooperative programs that promote efficiencies in providing governmental services or that further development of innovation in transportation for the benefit of the citizens of Mimiesota; and Wf�REAS, the term "partnership agreemenY' is defined far the purposes of this agreement as a cooperadve program that pmmotes efficiencies in providing governmental services and that "partnership" is not intended by the parties to define a joint venture or separate legal entity; and WHEREAS, the City and Mn/DOT have jointly determined to participate in a mulfl-agency team to complete a Federal Iiighway Administration operational test, the Advance Parking Information System Project ("pmjecY'), as further described in Attactunent A, which is attached hereto and incorporated herein; and R�I�REAS, the City and Mn/DOT will participate in a pIlot test of parking management for major events in downtown St. Paul by providing informational signs on the interstate highway system, primary downtown streEts and at parking faciliries for the putpose of managing an reducing tiaffic congestion; and WHEREAS, Mn/DOT has agreed to parkicipate in the project by contributing stafF time as part of the multi-agency local match to federal funding and to administer and supervise the project; and WHEREAS, the City has agreed to participate in the pmject by contributing an amount not to exceed $150,000.00 for capital costs of the project. NOW, ��n��ORE, Mn/DOT and the City agree to the following: I. Term of Agreement. This Agreement shall be effective upon the dat� of execution and approval by the appropriate City, Mn/DOT and state officiais and shall remain in effect until October 31, 1996. Upon termination, the obligations, duties and rights under this agreement shall terminate unless extended prior to said date by written amendment executed by the parties and appmved by the appropriate City and State officials. �s-l�-y II. Obligations of the City and MulDOT. A. Project committee. Mn/DOT shall form a joint committee of representatives from the Mn/DOT, the City, FHWA, contractors and other private partners to coordinate the Advance Parking project ("project committee"). The City shall appoint one or more representatives to serve on the project committee. The pmject committee will meet at mutually agreeable times and locations. Mn/DOT shall be responsible for the administration of the meetings and for notifying the City and other committee member of the meeting dates, times and agenda. The project committee will provide direction and make policy decisions for the pilot test project. B. F�nding. The City shall make an advance payment to Mn/DOT in an amount not to exceed Fifty Thousand and no/100ths Dollars ($50,000.00) and 20% of each invoice submitted up to a sum total of $150,000.00 and such payment will be utilized toward a portion of the capital costs of the Advance Parking Information System project after the following condidons have been met: 1. Execuuon and approval of this agreement and Mn/DOT's transmittal of a copy of the agreement to the City. 2. Receipt by the City of a written request fmm Mn/DOT for the advancement of funds. The $50,000.00 advanced by the City shall be placed by Mn/DOT in an account hereinafter referred to as the "advancement account". The funds placed in the advancement account shall be used by Mn/DOT to pay a pro rata portion of the eligible capital costs for purchase and acquisition of equipment and computer software, as well as training, wnsuitant costs and other non-operating expenses for the project. The 20% of each invoice payment shall be used in conjunction with the $50,000.00 advanced payment by Mn/DOT to pay a pro rata portion of the eligible capital costs for purchase and acquisition of equipment and computer software, as well as training, consuitant costs and other non-operating e�cpenses for the project. Mn/DOT shall report to the City monthly on the project status and the current amount in the advancement account. If at the end of the project or upon termination of the agreement prior to the end of the pmject a positive balance remains in the advancement account, Mn/DOT shall, within 30 days of the end of the project or termination date, refund the remaining balance to the Ciry without interest. C. Consultant andlor ProfessionaUTechnical Services. Mn/DOT shall hire consultants, as needed, from its approved list of consultant and/or pmfessionaUtechnical "T-contracts" . Mn/DOT will issue work orders to the selected consultants and/or pmviders of professionaUtechnical services covering the following areas: preliminary engineering; detail design and marketing strategy; system deployment and conducting of the operational test; assist in the selection of evaluation goals and objectives for the Project; define needs for data collection; coordinating Project Management Team meetings; and preparation of a Concept Definition & Evaluation Plan report. Other work may be speciFied by Mn/DOT in 2 �5-�a.`i addirional work orders as needed. Mn/DOT shall manage and administer the consultant and/or professionalltechnical services contracts and work orders. MnJDOT's duties shaJl include issuing work orders to said consultants which describe in detail the required "Scope of Services" for each phase of the Project. Mn/DOT will direct the work of the consultants and pay for such services from the appmpriate funds, which may include a combination of state, federal and Ciry funds. Mn/DOT shall provide reports generated by it or by the consultants as to the status of the work performed under such work orders. Mn/DOT shall also pmvide the Ciry with copies of all invoices submitted to it by each consultant and such invoices shall include detailed payroll costs information, direct costs information, overhead costs information and a progress report. III. Mn/DOT's Consultant Selection Process and Compliance with Affirmative Action and Other Applicable Laws. The City understands and agrees to the process used by Mn/DOT in advertising, selecting and complying with applicable laws in the consultant selection process. The pmcess used by Mn/DOT inciuded the advertising in the Minnesota State Register and direct mail of a Request for Proposal ("RFP") for its Mivnesota Guidestar Program, Task Order Contract to pmvide support services for Intelligent Vekucle Highway Systems. The RFP was issued in 7anuary of 1994. The RFP required responders to submit or provide information regarding the following: - copy of the firm's Certificate of Compliance with the Mnuiesota Human Rights pmvisions set out in Minuesota 5tatutes Section 363.073 (1994); evidence of compliance; and a notarized letter of aff'idavit certifying that the fum had less than 20 full-time employees at any time during the previous 12 months (subcontractors performing work exceeding $10,000.00 are also required to comply this pmvision) - documentation of how the responder would fulfill the I7isadvantaged Business Enterprise requirement (goal of 10 % participation) - evidence of compliance with Minuesota's Workers Compensation insurance coverage requirements - Certif'ication for Federal-Aid Contracts regarding compliance with federal lobbying restrictions - an organizational chart; identif'ication of key personnel; description of experience in the IVEIS field; references; federal employer and Minnesota tas Identif'ication Numbers - Conf'idential Pre-awazd Audit information pursuant to Mn/DOT's standard pre-awazd audit evaluation criteria described in the RFP The City understands that Mn/DOT selected a list of consultauts and/or professionaUtechnical service providers through a prescribed selection process and that all selected contractors were required to comply with the iequirements set forth in the RFP. Master or"T° contracts were executed and approved 3 `I S -iay with the selected contractors and such contracts included requirements for compliance with all applicable state and federai aff'umative action, DBE and Tazgeted Group Business requirements, insurance requirements and all other General and Special Conditions set forth in Mn/DOT's standard consultant and/or professionalltechnical services contracts. The Ciry also understands that Mn/DOT has a standard procedure for issuing specific work orders which are processed by Mn/DOT as individual task order contracts and which aze executed and approved pursuant to Minnesota Statutes Section 16B.06, subd. 2(1994). Mn(DOT shall comply with all state contract requirements and Mn/DOT work order procedures in the administration of this agreement. IV. Ownership of Documents and Copyright. Any reports, studies, photographs, negafives, or other documents prepared under this agreement shall be the exclusive properiy of Mn/DOT. Mn/DOT shall pmvide to the Ciry copies of any reports, studies, photographs, negafive oz other documents prepared under this agreement and grants the City a license to ieproduce or otherwise use such documents and materiais for government purposes during and after the agreement. Mn/DOT shall own all right, title and interest in all copyrightable materials produced under this agreement. Mn/DOT grants the City and the FHWA a royalty-free, non-exclusive and 'urevocable license to reproduce, publish or otherwise use and to authorize others to use for government purposes the copyrights identif'ied herein. V. Ownership of Equipment. Any equipment purchased through this agreement funds will remain the pmperiy of Mn/DOT during the operational test. Upon complefion of the test, equipment will become and remain the property and responsibility of Ciry. Mn/DOT shall comply with all applicable state laws regarding the transfer of such equipment to the City. V. Authorized Representatives. The City's authorized representative for the purpose of admiuistration of this agreement is Robert Geurs, Project Manager or his successor. Such representative shall have the fmal authority for acceptance of MnlDOT's services to the Ciry. Mn/DOT's authorized representative for the purpose of aduiinistration of this agreement is Samuei 7. Boyd, ITS Project Manager. Such representative shall be responsible for admnustrative services for the project and reporting to the City. VI. Liability. Any aud all empioyees of Mn/DOT and all other persons employed by Mn/DOT to perform any or all of the work under this agreement shall not be considered employees of the City and any and all claims that may or mighY arise under the Workers Compensation Act of Minnesota on behalf of said empioyees or persons while so engaged, and any and all claims made by any third person as a consequence of any `�.S - l a�-1 act or omission on the pazt of said employees or persons while so engaged in any of the work contemplated herein, shall not be the obligation or responsibiliry of the City. Any and all employees of the City and all other persons employed by the City to perform any of the work under tlus agreement shall not be considerecl employees of Mn/DOT and any and all claims that may or might arise under the Workers Compensarion Act of Mimiesofa on behalf of said employees or persons while so engaged, and any and all claims made by any third person as a consequence of any act or omission on the part of said employees or persons while so engaged in any of the work contemplated herein, s6ali not be fhe obligarion or responsibility of Mn/DOT. VII, Audit Clauses. Pursuant to Minnesota Statutes Section 16B.06, subd. 4(1994), the books, records, documents and accounting procedures and practices of MnIDOT relevant to this agreement shall be subject to examinadon by the City auditor and the legislative auditor or state auditor. Pursuant to federat law, the books, documents, papers, accounting procedures and practices of Mn/DOT and the City relevant to tlris contract shall be subject to examination by the Federal Highway Administration (FHWA). VIII.Assignment. Neither Mn/DOT or the City shall assign or transfer any rights or obligations under this agreement without the prior written approval of the other party. VIX. Amendments.
