WHEREAS, the Council of the City of Saint Paul, on September 28, 1994, approved Final
Order, resolution no. 94-1405 authorizing the acquisition of property for the Phalen Creek Trail
Access described as follows:
(see attached F.achibit "A")
WHEREAS, the Cit}�s Rea1 Estate Division has secured a purchase agreement for this
property, from George Broshears Jr., Bridget Broshears and Ruth Brosheazs in the amount of
$175,000.
WHEREA5, the purchase of this property has been approved and budgeted for in Metropolitan
Parks and Open Space Grant.
TI-IEREFORE BE IT RESOLVED, that the Council of the City of Saint Paul hereby authorizes
payment to George Brosheazs Jr., Bridget Brosheazs and Ruth Broshears in the amount of
$175,000. The conditions of the purchase of this property aze contained in the purchase
agreement dated December 12, 1994, said agreement is attached hereto and incorporated
herein by reference.

PURCHASE AGREEMENT
1. Date: December 12. 1994
2. Location of the Real Estate: Southeasterl�quadrant of the intersection of Payne Avenue
and East 7th Street.

and wife. 588 East 7th Street. St. Paul. MI3 55101
5. Purchase price accepted by Seller: $175.000.00
6. Real Estate Taxes: Seller shall pay all taYes payable in 1995, as well as any delinquent taxes
not yet paid. Any assessments, tazes, and liens not paid as of the date of closing, will be paid
by the Seller. Buyer shall pay all real estate ta�ces payable in 1995 and after.
7. Buyer shall pay all assessments levied against said property as of the date of closing.
8. Type of Conveyance required: Seller shall convey marketable fee title to the City
by Warrantv Deed
9. Seller shall provide the Buyer, within seven days of signing this Purchase Agreement, an
an updated Abstract of Title and/or an Owner's Certificate of Title. Seller agrees, at
Sellers's cost and expense, to correct or remove any exception or "clouds" on the title as
shown on the Buyer's "Commitment to Insure" title examination report.

10. Closing shall occur within 90 days following execudon of this Purchase Agreement, at which
time the tifle to the premises shall be conveyed to the City. The Closing date may be
postponed and rescheduled by mutual agreement of the parkies hereto. Buyer shall pay all
closing costs.
11. Seller sha11 provide an affidavit on the date of closing, indicating that the Seller has not used
or permitted the use of the subject properry as a hazardous waste disposal facility as defined
in section 115A.03 Subd. 10 of Chapter 121 of the Laws of Minnesota of 1983, and that
there is no basis to conclude that tkus property has been subject to or contaminated by the
release of any hazardous substance, hazardous waste, pollutants of contaminants as defined
in Section 115B.02 of the Minnesota Statutes.
12. Buyer shall take title to the subject property at the date of closing. Seller shall vacate said
property on, or before, April 30, 1995. Seller shall be responsible for paying all utilities
while in possession of the property and shall take the necessary action to temunate a11 utility
service upon vacating the premises. Buyer shall inspect the property within 10 days of being
vacated , and being accompanied by tt�e Seller, to ensure that the subject property has not
been subject to contamination, hazazdous substance, hazardous waste, or pollutants.
13. All wananties and representations made in this Purchase Agreement shail survive the
closing and the conveyance of title to the property. This Purchase Agreement and all
obligations provided shall, to the ea�tent not fully satisfied and performed by or through the
Closing, survive the closing and the conveyance of title to the property.
