95-10OR1G11�AL RESOLUTION OF SAINT PAUL, MINNESOTA r�c�as Referred To Committce: Date h WHEREAS, the City of Saint Paul is concerned about protecting the health and well- being of the residents of Saint Paul; and WHEREAS, Saint Paul Public Health has developed expertise in epidemiology and disease prevention and control; and WHEREAS, Ramsey County is interested in contracting with the City of Saint Paul for epidemiological services fior the Suburban Ramsey County areas; and WHEREAS, a joint relationship and 'yoint planning for disease prevention and control would benefit both the City of Saint Paul and Ramsey County; and WHEREAS, funding will be provided from Ramsey County to the City of Saint Paul to support staff and associated costs to expand the current Epidemiology Team to Suburban Ramsey County. Staff will be working specifically with Ramsey County on their disease investigation and control issues. Saint Paul Public Health will provide staff to perform related duties including disease investigations, consultation on communicable disease, and monthly reporting. WF3EREAS, City of Saint Paul {"City") is e�cperienced in the provision of epidemiological services and has staff and equipment available to provide such services; and WFiEREAS, Ramsey County ("County") has a need for epidemiological services. NOW, THEREFORE, each of the parties hereto do hereby agree as follows: I. TERM OF AGREEMENT This Agreement shall be effective January 1, 1995 through December 31, 1995, the date of execution notwithstanding, unless amended or terminated as provided in Article VII.F TERMINATION CLAUSE. II. RESPONSIBILITIES OF the City of Saint Paul A. The City shall provide epidemiology services to the County in accordance with the work plan in Attachment A to this Agreement. B. The City shall assure that 0.5 FTE of an Epidemiologist is available through its Division of Public Health to coordinate the County's services. In addition, the City shall make available Public Health staff in the areas of infectious disease, pediatrics, health statistics, computer systems and health information, and interns in epidemiology to provide services to the Epidemiology Team. C. The City shall maintain epidemiological records on reported communicable diseases for the County on the City's Public Health computer network, and shall provide the epidemiologist with access to the computer network via modem. D. The City shall attend scheduled Metropolitan Epidemiology Meetings. The City shall inform the County of scheduled meetings and shall report findings to the County. The City shall attend County Environmental Health and Public xealth Nursing sCaff meetings and report on the Metropolitan meetings. E. The City shall provide monthly disease investigation reporting to Ramsey County. F. The City Epidemiologist shall be on site at least weekly with County staff of the Department of Public Health to coordinate epidemiology services. qs-�a Page 2 Agreement with City o£ Saint Paul III. RESPON5IBILYTIES OF RAMSEY COUNTY A. The County shall provide additional staff for disease investiqation in the event of an outbreak. B. The County shall pay the City an amount not to exceed $33,290.00 for 1995, for services provided under this Agreement. IV. CONTRACT COORDINATOR Each party to this Agreement shall assign a person to serve as a coordinator for this agreement. The coordinators shall be responsible for maintaining communications related to the agreement. The City shall submit an invoice for services to the County Department of Public Health the enfl of each quarter. B. Ramsey County shall pay the City's invoices within 30 days of receipt of the invoice. VI. CONTRACT INSURANCE REQUIREMENTS The City shall obtain and attach certificate of insurance, acceptable to the Ramsey County Risk Manager, to the sigried Agreement for: A. Workers' compensation Minimum limits: $500,000 per accident B. General liability insurance (C.G.L.): 1. Bodily and Personal Injury and Property Damage $600,000 per occurrence $1,000,000 aggregate C. Professional liability insurance l. Minimum limits $600,000 per occurrence 2. $1,000,000 aggregate D. Automobile liability insurance: 1. Niinimum limits $600,000 combined single limit 2. Coverage sha11 include hired, non-owned and owned automobiles. E. City or state licen5es as required. Any and all agents, servants, or employees of the City, while engaged in the performance of any work or services required to be performed by the County under the Agreement, shall be considered employees of the City. The City, its agents, servants, or employees sha11 be entitled to none of the rights, privileges, or benefit of the County employees except as otherwise may be stated herein. C. Hold Harmless Clause The City further agrees to defend and indemnify and hold the County harmless from any claims, demands,_actions, or causes of action arising out of any act or omission on the part of the City or its subcontractors, partners or independent contractors or any of their agents, servants or employees in the performance of or with relation to any o£ the work or services provided by the City under the terms of the Agreement. The County further agrees to defend and indemnify and hold the City harmless from any claims, demands, actions, or causes of action arising out of any act or omission on the part of the County or its subcontractors, partners or independent contractors or any of their agents, servants or employees in the performance of or with relation to any of the work or services provided by the County under the terms of the Agreement. Nothing in this Agreement shall constitute a waiver by the Counties of any statutory limits or exceptions on liability. D. Alteration Clause Any alteration, variation, modification, or waiver of the provisions of the Agreement shall be valid only after it has been reduced to writing and duly signed by both parties. E. Non-Conforming Services The acceptance by the County of any non-conforming services under the terms of the Agreement shall not eonstitute a waiver of the County's right to conforming services or any rights and/or remedies in respect to any subsequent breach or default of the terms of this Agreement. The rights and remedies of the County provided or referred to under the terms of the Agreement are cumulative and not mutually exclusive. 9S-!o Page 4 Agreement with City of Saint Paul F. Termination Clause 1) With Cause The County reserves the right to immediately suspend or terminate this Agreement if the City violates any of the terms or conditions of this Agreement or does not fulfill in a timely and proper manner its obligations under the Agreement as determined by the County. In the event that the County exercises its right of suspension or termination under this Paragraph, it shall submit written notice to the City specifying the extent of such suspension or termination, the reasons therefore, and the date upon which such suspension or termination becomes effective. Upon receipt of such notice, the City shall take a11 actions necessary to discontinue further commitments of funds to the extent that they relate to the suspended or terminated portions of the Agreement. 2) Without Cause The County or the City may terminate the Agreement issued hereunder without cause and for any reason whatsoever upon giving at least fourteen (14) days written notice thereof to the other party. In such event, the City shall be entitled to receive compensation for the services provided in a satisfactory manner up to and including the effective date of termination. G. Non-Discrimination 1) The City agrees to comply with all Federal, State and local laws, resolu�ions, ordinances, rules, regulations and . executive orders pertaining to unlawful discrimination on account of race, color, creed, religion, national origin, sex, marital status, sexual preference, status with regard to public assistance, disability, or age, including the Americans with Disabilities Act. When required by Iaw and requested by the County, the City shall furnish a written affirmative action plan. 2) No qualified individual with disability as defined by the Americans with Disabilities Act, 42 U.S.C. Sections 12101-12213 shall be: a. Denied access to or opportunity to participate in or receive benefits from any service offered by the City under the terms and provisions of this Agreement, or b. Subject to discrimination in employment under any program or activity related to the services provided by the City. qs.�o Page 5 Agreement with City of Saint Paul H Compliance with Applicable Law The City further agrees to comply with all Fedexal, State, and local laws or ordinances, and a11 applicable rules, regulations, and standards established by any agency of such governmental units, which are now or hereafter promulgated inso£ar as they relate to the City's performance o£ the provisions of the Agreement. It shall be the obligation of the City to apply for, pay for and obtain all permits and/or licenses required by any governmental agency for the provision of those services contemplated herein. Access to Records/AUdit 1) The County its authorized representative or the State Auditor shall have full access to all records to the performance of this Agreement. 2) The City agrees to maintain records relating to all services provided by it under the terms of this Agreement and sha11 retain all such documentation for six (6) years following the termination of this Agreement. Such records shall be made available for audit or inspection at any time upon request of the contractor or its authorized representative. 3) All data collected, created, received, disseminated for any purpose in the course is governed by the Minnesota Governmental Minn. Stat. Ch.13, or any other applicabl state rules adopted to implement the Act, regulations on data privacy. J. T. Investigation reports of communicable disease in suburban Ramsey County, including the following: A. Vaccine preventable diseases B. Viral hepatitis C. Tuberculosis D. Other diseases reportable under state statute E. Consult on investigations of £ood and water borne outbreaks II. Recommend appropriate control measures for the above categories of disease. Measures to control disease wi11 include interventions carried out by Ramsey County Department of Public Health Staff under the direction of Epidemiologist, Medical Director and Director of Ramsey County Public Health. III. Maintain a computerized communicable disease reporting system in cooperation with the Minnesota Department of Health. IV. Produce a written summary of the occurrence of reportable diseases in Ramsey County on a monthly and annual basis, showing breakdown of disease in the City of Saint Paul and Ramsey County. V. Provide consultation, information and education to County Department of Public Health staff in regard to communicable diseases, adverse health events and other issues. V2. Conduct special projects to analyze adverse health events in Ramsey County. A. During the term of this agreement this would be limited to no more than three projects. B. The City and County shall agree on the projects to be conducted. C. The City shall provide regular reports on progress in completing the pzoject to the County. V22. Provide consultation to professionals working for the County Department of Public Health, schools, nursing homes, child care center staff and citizens about communicable diseases. Such consultation shall he limited to phone consultation.
