1 RESOLVED, that, upon the petition of the Amherst H. Wilder Foundation, as documented in Real
2 Estate Division File Number 16-2001-A, public properties hereinafter described are hereby vacated and
3 discontinued as public property:

5 The alley located west of the southerly extension across it of the east line of Lot 9, Victoria&
6 Lafond St. Add., and the north-south alley located west of the southerly extension across it of the
7 east line of Lot 1, Block 1, in The House of Good Shepherd's Addition, Saint Paul, Minnesota;
8
9 This vacation shall be subject to the terms and conditions of Chapter 130, codified March 1, 1981, of the
10 Saint Paul Legislative Code as amended, and to the following conditions:
11
12 1. That the petitioners, their successors and assigns shall pay$500.00 as an administrative fee for
13 this vacation which is due and payable within 60 days of the effective date of this resolution.
14
15 2. That an alley turn-around area shall be dedicated and construction done in accordance with a plan
16 approved by the Department of Public Works.
17
18 3. That a sewer easement shall be retained within that portion of the alley abutting Lots 9 and 10,
19 Victoria and Lafond Street Addition. The Department of Public Works reserves the right of the
20 City to maintain and operate any sewer in or upon said easement and to enter upon said easement
21 or any portion thereof at any time and from time to time, for the purposes of future construction,
22 reconstruction, inspecting, maintaining or repairing the same or any part thereof. Said utility
23 easement shall be subject to the following conditions:

25 a. No buildings, structures, trees or any temporary structure, material storage, fixture, or any
26 other objects that will prohibit normal access to utility facilities for maintenance purposes
27 will be permitted within the easement area.

29 b. Improvements in or upon the above described easement that do not prohibit the City from
30 exercising its reserved rights may be allowed by obtaining written permission from the
31 Department of Public Works Sewer Division with the understanding that the restoration
32 and costs of such improvements shall be the sole responsibility of the petitioner, its
33 successors and assigns in the event the City exercises its reserved easement rights.

4 d. No change in surfacing within the easement area will be permitted without written

11 ends of the vacated area, to properly eliminate the appearance of a public thoroughfare,
12 including, but not limited to, costs for new curbs, sidewalks, storm drains, and signs, all to the
13 satisfaction of the Department of Public Works.

15 5. That the petitioner shall be required to obtain site plan approval from the Department of Public
16 Works, within the City site plan approval process, for their proposed parking lot improvements
17 within the vacated area.

19 6. That the petitioners, their successors and assigns agree to indemnify, defend and save harmless
20 the City of Saint Paul, its officers and employees from all suits, actions or claims of any character
21 brought as a result of injuries or damages received or sustained by any person, persons or
22 property on account of this vacation or petitioners' use of this property, including but not limited
23 to, a claim brought because of any act of omission, neglect, or misconduct of said petitioners or
24 because of any claims or liability arising from any violation of any law or regulation made in
25 accordance with the law, whether by the petitioners or any of their agents or employees.

33 successors and assigns in the event the City exercises its reserved easement rights.

1 WHEREAS,in 1980 the City of Saint Paul ("City") acquired a residential parcel located immediately

13 WHEREAS,the Amherst H. Wilder Foundation ("Wilder") has proposed to develop said parcel into a
14 parking lot for users of its facility at 919 Lafond Avenue; now, therefore be it
15
16 RESOLVED, that, upon the petition of the City of Saint Paul, as documented in Technology and
17 Management Services Department File Number 16-2001-B, the public property heretofore described is
18 hereby vacated and discontinued as public property; and be it further
19
20 RESOLVED,that the Council of the City of Saint Paul hereby authorizes the proper City officials to
21 convey the vacated property by Quit Claim Deed to the HRA for subsequent sale to Wilder.
22
23 This vacation shall be subject to the terms and conditions of Chapter 130, codified March 1, 1981, of the
24 Saint Paul Legislative Code as amended, and to the following conditions:
25
26 1. That a permanent utility easement for sewer purposes shall be dedicated to the City of Saint Paul
27 over the entire parcel, with easement restrictions as follows:
28
29 a. No buildings, structures, or trees are permitted within the easement area, nor any
30 temporary structure, material storage, fixture, of other objects that will prohibit normal
31 access to utility facilities for maintenance purposes.

33 b. Improvements in or upon the easement area that do not prohibit the City from exercising
34 its reserved rights may be allowed by obtaining written permission from the Department
35 of Public Works Sewer Division with the understanding that the restoration and costs of

1 such improvements shall be the sole responsibility of the petitioner, its successors and
2 assigns in the event the City exercises its reserved easement rights.

4 c. No change from the existing grade within the easement area will be permitted without
5 written permission from the Department of Public Works Sewer Division.

7 d. No change in surfacing within the easement area will be permitted without written
8 permission from the Department of Public Works Sewer Division.

10 e. That the petitioner, its successor and assigns agree to indemnify, defend and save
11 harmless the City of Saint Paul, its officers, agents, employees and servants from all suits,
12 actions or claims which shall arise from any injuries or damages received or sustained by
13 any break in any service pipe or connection in said reserved easement, arising out of, or
14 resulting from, any action or negligence on the part of the petitioner, its employees,
15 agents, or business invitees.

17 2. That this property, which is part of a larger tax parcel, requires a survey of the parcel showing the
18 split, which shall be submitted to the PED Zoning Office for approval.
19
20 3. That plans shall be submitted for site plan approval to the Office of LIEP for their parking lot
21 improvements. Improvements on the parcel are subject to the approval of Public Works Sewer
22 Engineering within the site plan review process.

24 4. That the HRA shall reimburse the City in the amount of the gross proceeds from the sale of said
25 property described.
