First Trust National Association, a national banking association
organized and existing under the laws of the United States of
America, for good and valuable consideration, the receipt and
sufficiency of which is hereby acknowledged, hereby grant, bargain,
sell, convey and quitclaim to the City of Saint Paul, a Minnesota
municipal corporation, its successors and assigns, a permanent,

16 all in RICE STREET VILLAS, according to the recorded plat
thereof, Ramsey County, Minnesota, lying within the
circumference of a circle having a radius of 55 feet . The
center of said circle is a point on the centerline of
Albemarle Street 56 . 50 feet south, as measured along said
centerline, of the south line of Nebraska Avenue .
A permanent easement for public right-of-way purposes over,
under and across that part of Lots 13 , 14 and 15, Block 12;
and vacated Nebraska Avenue, all in RICE STREET VILLAS,
according to the recorded plat thereof, Ramsey County,
Minnesota which lies within the circumference of a circle

32 to, a claim brought because of any act of omission, neglect, or misconduct of said petitioners or

26 maintain and operate any sewer in or upon said easement and to enter upon said easement or any
27 portion thereof at any time and from time to time, for the purposes of future construction,
28 reconstruction, inspecting, maintaining or repairing the same or any part thereof. Any
29 development or use of the property shall be subject to the following conditions:

31 a. No buildings, structures, trees or any temporary structure, material storage, fixture, or any
32 other objects that will prohibit normal access to utility facilities for maintenance purposes
33 will be permitted within the easement area.

13 e. The petitioner, its successors and assigns shall indemnify, defend, and save harmless the
14 City of Saint Paul, its officers, agents, employees, and servants from all suits, actions, or
15 claims which shall arise from any injuries or damages received or sustained by any break
16 in any service pipe or connection in said reserved easement arising out of or resulting
17 from any action or negligence of the petitioner, its employees, agents, or business
18 invitees.

20 2. That, on behalf of the Board of Water commissioners, a permanent utility easement shall be
21 retained on, over, under and across the vacated area to reserve the right of the Board of Water
22 commissioners to maintain and operate any water facility in, on or under said easement, and to
23 enter upon said easement or any portion thereof at any time, and from time to time for the
24 purposes of future construction, reconstruction, inspecting, maintaining or repairing the same or
25 any pert thereof. Any development or use of the property within the said utility easement shall be
26 subject to the following restrictions:
27
28 a. No buildings, structures, trees or any temporary structure, material storage, fixture, or
29 other object that may prohibit normal access to water facilities for maintenance purposes
30 will be permitted within the easement area.

32 b. With written permission from the Saint Paul Regional Water Services, improvements in
33 or upon the above described easement that do not prohibit or limit the full and free
34 exercise by the Water Services of its reserved rights may be allowed. Permission so
35 given will be with the understanding that the restoration and costs of such improvements,
36 should the Water Services exercise its easement rights, shall be the sole responsibility of
37 the fee owner, its successors and assigns.

39 c. Should it be necessary that the petitioner's works or improvements be removed or
40 damaged as a result of the Board of Water commissioners' operations, all removal,
41 replacement or modification costs shall be borne solely by the petitioner.

43 d. No change from the existing grade will be permitted without written permission from the
44 Water Services.

46 e. No change in surfacing within the easement area will be permitted without written
47 permission from the Water Services.

16 2. The petitioner shall submit a second petition and diligently pursue the vacation of Wells Street
17 between Walsh and Greenbrier; the alleys in Blocks 39 and 40, Arlington Hills Addition, the
18 remaining portions of Walsh and Weide Streets south of Wells Street and the portion of Wells
19 Street abutting Lot 1, Block 2, Andrew Addition, as shown on the attached drawing, Exhibit `B".

21 3. The petitioner shall be responsible for all costs associated with the removal of street lighting
22 within the vacated area and installation of alternate power sources to accommodate remaining
23 lights outside the vacated areas.

25 4. The petitioner shall be responsible for all costs to maintain the City street light on the portion of
26 Wells Street west of Arcade Street and east of the southerly extension of the west line of Lot 1,
27 Block 2, Andrew Addition by backfeeding from Arcade Street.

29 5. The petitioner shall be responsible for the site grading and reconstruction of Wells Street from
30 the east line of Greenbrier Street to approximately 285 feet westerly, to the satisfaction of the
31 Department of Public Works and Housing and Redevelopment Authority of the City of Saint
32 Paul under an ordinance permit issued by Street Engineering.

34 6. The petitioner shall, at its expense, grade Wells Street from the east line of Greenbrier Street to
35 the west line of Walsh Street, once it is vacated, according to a plan that is reviewed and
36 approved by the Housing and Redevelopment Authority of the City Saint Paul.

2 7. The petitioner shall be responsible for the construction, maintenance and ongoing liability of the
3 driveway entrance in Wells Street west of Arcade Street, which includes but is not limited to,
4 pavement, curb, gutter, sanitary and storm sewer, retaining walls, and signs, all to the satisfaction
5 of the Department of Public Works under an ordinance permit issued by Street Engineering.

7 8. The petitioner shall be responsible for the reconstruction of the intersections of York&Weide,
8 York&Walsh, Arcade &Wells, Greenbrier&Wells, and the ends of the vacated alleys where
9 they meet the existing public streets, to remove all appearances of public right-of-way, to the
10 satisfaction of the Department of Public Works, including, but not limited to, new curbing ,
11 drainage structures, sidewalk, boulevard, and signs.

13 9. The petitioner shall provide acceptable access to the properties on Wells Street between Payne
14 Avenue and Walsh Street until said properties have been acquired and residents relocated.

16 10. The petitioner shall accept ownership and responsibility for the existing 12" sanitary sewer in
17 York Avenue between Weide and Walsh Streets and the 9" sanitary sewer in Wells Street west of
18 the manhole 20 feet west of the center line of Arcade Street.

20 11. The petitioner shall be responsible for properly abandoning to the satisfaction of Saint Paul
21 Sewer Utility the following existing sewer mains:
22
23 storm sewer in Wells Street, west of the manhole 46 feet west of the center line of Arcade
24 Street; and,
25
26 storm sewer in Upper Wells Street east of Greenbrier; and,
27
28 sanitary sewer in upper Wells Street between Walsh Street and 50 feet west of the center
29 line of Greenbrier Street.

31 12. The petitioner shall be responsible for protecting any survey monuments and/or property irons
32 within the vacated areas, with all costs to perpetuate said monuments to be borne by the
33 petitioner.

35 13. That a permanent utility easement shall be retained within the vacated area on behalf of the City
36 of Saint Paul, Board of Water Commissioners subject to the following property described as
37 follows:

39 All of that part of York Avenue between the east line of Walsh Street to the west line of
40 Weide Street; and,

7 3. That a permanent utility easement shall be retained within the vacated area to protect the interest
8 of Qwest Communication, Inc.

11 the City of Saint Paul, its officers and employees from all suits, actions or claims of any character
12 brought as a result of injuries or damages received or sustained by any person, persons or
13 property on account of this vacation or petitioners' use of this property, including but not limited
14 to, a claim brought because of any act of omission, neglect, or misconduct of said petitioners or
15 because of any claims or liability arising from any violation of any law or regulation made in
16 accordance with the law, whether by the petitioners or any of their agents or employees.

1 BE IT RESOLVED,that, upon the petition oberyl Jean Lake, as documented in Real Estate Division
2 File Number 26-2001, public properties hereinafter described are hereby vacated and discontinued as
3 public property.

5 The property to be vacated is described as follows:

7 - that part of the alley in Block 120, West St. Paul Proper lying south of the westerly extension of
8 the north line of Lot 8, said Block 120.

10 This vacation shall be subject to the terms and condition of Chapter 130, codified March 1, 1981, of the
11 Saint Paul Legislative Code as amended, and to the following conditions:

13 1. That the petitioner's, their successors and assigns shall pay $500.00 as an administrative fee for
14 this vacation which is due and payable within 60 days of the effective date of this resolution.

16 2. That a permanent utility easement shall be retained within the vacated area to protect the interest
17 of Northern States Power Company, d.b.a. Xcel Energy.

19 3. That a permanent utility easement shall be retained within the vacated area to protect the interest
20 of Qwest Communication, Inc., and that Qwest must approve any change to the grade of the area
21 to be vacated.

23 4. That, to accommodate access by emergency vehicles, the petitioner shall not construct any
24 improvements upon, or change the grade of, the area to be vacated, and shall not pile excess
25 snow from sidewalks or parking lots across the area to be vacated; and that any fence erected
26 across the area to be vacated shall be equipped with a gate at least twelve feet wide.

1 5. That, to ensure ample access to its parking area, the petitioner agrees to acquire a private access
2 easement across, or to purchase any part of the east-west leg of the alley that may accrue to the
3 property to the south.

5 6. That the petitioners, their successors and assigns agree to indemnify, defend and save harmless
6 the City of Saint Paul, its officers and employees from all suits, actions or claims of any character
7 brought as a result of injuries or damages received or sustained by any person, persons or
8 property on account of this vacation or petitioners' use of this property, including but not limited
9 to, a claim brought because of any act of omission, neglect, or misconduct of said petitioners or
10 because of any claims or liability arising from any violation of any law or regulation made in
11 accordance with the law, whether by the petitioners or any of their agents or employees.

13 7. That the petitioners, their successors and assigns shall, within 60 days of the effective date of this
14 resolution, file with the City Clerk an acceptance in writing of the conditions of this resolution
15 and shall, within the period(s) specified in the terms and conditions of this resolution, comply in
16 all respects with these terms and conditions.

This is a note to the file pertaining to the vacation of City right of way in connection with
the construction Minnesota Mutual Building on the block bounded by Minnesota, Sixth,
Seventh Place and Robert .
In attendance were representatives for the vacation petitioners, the Saint Paul
Port Authority, Minnesota Mutual and their project consultants.
In attendance for the City of Saint Paul was City Engineer, Ton Kuhfeld, Map & Peiiiiits
Technician Linda Dickhut and Real Estate Technician Juan Ortiz.
It was requested by the City that the petitioner re-plat the block and dedicate the proper
right of way needed in the new plat.
The petitioner said that this was not agreed on previously and asserted that the existing
plat remain in place and they would convey any right of way easements necessary from
the existing plat.
The City hesitantly agreed. Since it didn't detriment the City or the petition, the City
could not demand the petitioner to re-plat the property.

8 That part of the alley in Block 2, Edmund Rice's Second Addition, according to the recorded plat
9 therof and situated in Ramsey County, Minnesota lying between the westerly extensions of the
10 north and south lines of Lot 6, said Block 2.

12 This vacation shall be subject to the terms and condition of Chapter 130, codified March 1, 1981, of the
13 Saint Paul Legislative Code as amended, and to the following conditions:

15 1. That the petitioners, their successors and assigns shall pay $500.00 as an administrative fee for
16 this vacation which is due and payable within 60 days of the effective date of this resolution.

18 2. That a permanent utility easement shall be retained within the vacated area to protect the interest
19 of Xcel Energy.

22 of Qwest Communications by maintaining service to 850 Agate Street which is provided through

28 5. That the petitioners shall obtain a build permit for the fence construction and possibly the
29 retaining wall depending on wall height and structural considerations.

32 the City of Saint Paul, its officers and employees from all suits, actions or claims of any

1 character brought as a result of injuries or damages received or sustained by any person, persons

3 limited to, a claim brought because of any act of omission, neglect, or misconduct of said

32 a. No buildings, structures, trees or any temporary structure, material storage, fixture, or any
33 other objects that will prohibit normal access to utility facilities for maintenance purposes
34 will be permitted within the easement area.

36 b. Improvements in or upon the above described easement that do not prohibit the City from
37 exercising its reserved rights may be allowed by obtaining written permission from the
38 Department of Public Works Sewer Division with the understanding that the restoration and
39 costs of such improvements shall be the sole responsibility of the petitioner, its successors
40 and assigns in the event the City exercises its reserved easement rights.
