Conveyance of Easement. Grantor hereby grants to Grantee, its successors and assigns, an easement (the "Easement") for ingress and egress to the Grantee Tract over, upon and across that part of the Grantor Tract described below(the"Easement Area"): See Exhibit A. The Easement over, across and upon the Easement Area shall include the right and authority to enter upon and use the Grantor Tract as is necessary to construct, maintain, repair and replace a driveway on the Easement Area. 2. Duration of Easement. Grantee shall not suffer or permit anything to be done that will cause the Easement Area or the Grantor's Tract to become encumbered by any mechanic's lien or similar lien, charge, or claim. If any mechanic's lien or similar charge or claim is filed against the Easement Area due to Grantee's alleged instance or request for labor or materials, Grantee shall discharge such lien of record within thirty(30) days after Grantee receives notice of such lien. 4. Driveway Maintenance. Grantee, at its sole expense, shall be responsible for all repairs, resurfacing, cleaning, clearing, snow and ice removal, security, maintenance, and replacements of the driveway, or any part thereof, that are reasonably necessary to maintain the 2 driveway in a good and safe condition and in compliance with all applicable governmental regulations and requirements, unless the condition necessitating the foregoing responsibilities of Grantee is the result of an act or omission of Grantor. 5. Miscellaneous. All provisions of this Agreement shall inure to the benefit of and be binding upon the parties hereto and their respective heirs, successors, and assigns. The headings of this Agreement are inserted for convenience only and shall not affect the meaning or interpretation of this Agreement or any provision or paragraph hereof.
