16 lying within the recorded plat of STRUB'S REARRANGEMENT on file and of record in the
17 office of the County Recorder in and for Ramsey County, Minnesota, which lies west of the
18 northerly extension of the east line of the west 115.00 feet of Lot 18. S. W. BASS GARDEN
19 LOTS and northerly of the centerline of the former Soo Line Railroad Company right-of-way
20 across said plat of STRUB'S REARRANGEMENT.

22 This vacation shall be subject to the terms and condition of Chapter 130, codified March 1, 1981, of
23 the Saint Paul Legislative Code as amended, and to the following conditions:

25 1. That the petitioner's, their successors and assigns shall pay $500.00 as an administrative fee
26 for this vacation which is due and payable within 60 days of the effective date of this
27 resolution.

29 2. That with the accompanying Utility Easement Certificates of Intended Non-Use, filed
30 voluntarily on behalf of U.S. West Communications, Incorporated, Northern States Power
31 Company, District Energy St. Paul, Incorporated, Access Transmission Services Incorporated,
32 Continental Cablevision, The Water Utility, and The Department of Public Works, made a part
33 hereof by this reference and filed in the office of the City Clerk of Saint Paul, the City, for
34 itself and on behalf of these corporations and departments, waive the right to the utility
35 easements in the vacated area described above.

YOUR PETITIONER, the Port Authority of the City of Saint Paul
respectfully states and alleges that we are the fee owners of record of the real
estate abutting Windmill Street and Clear Avenue (aka Strub Street), Cottage
Street, Residence Street (aka Sherwood Avenue) further described as follows:
That part of Strub Street (aka Clear Avenue), Cottage Street, and
Windmill Street lying within the recorded plat of STRUB'S ADDITION on
file and of record in the office of the County Recorder in and for Ramsey

The proposed vacation is required for the development of
Arlington/Jackson Business Park.
Your Petitioner herein requests that there be no assessment of
compensation to Petitioner on account of the value of the accrual; and that in lieu
of a bond, and by acceptance of the terms of the vacation, the Port Authority
agrees to fully indemnify, defend and save harmless the City of Saint Paul and
the Board of Water Commissioners, its officers, agents, employees and servants
from all suits, actions or claims which may arise from any injuries or damages
received or sustained by a break in any service pipe, water main, or connection
in said vacated areas, arising out of or resulting from any action or negligence of
the Petitioner, its employees, agents or business invitees. Your Petitioner herein
further requests that the provisions of the Saint Paul legislative Code, Chapter
130, pertaining to the reservation of easements be waived upon presentation to
and approval by the City Council of Saint Paul.
We request Certificates of Intended Non-Use over the vacated area for
electrical, gas, water, sanitary sewer, storm sewer, U. S. West, Cable television,
and any other parties interest.
WHEREFORE, your Petitioner respectfully requests your Honorable Body
to vacate the portions of Windmill Street, Clear Avenue (aka Strub Street),
Cottage Street, Residence Street (aka Sherwood Avenue) for the purposes

MEMORANDUM

RE: Petition for Vacation of Portions of Windmill Street, Clear Avenue (a/k/a Strub
Street), Cottage Street, and Residence Street (a/k/a Sherwood Avenue
The Port Authority seeks to vacate any existing street rights-of-way within an area where
the Port Authority is acquiring fee title to the underlying real estate. As of this date, the last
recorded holders of fee title to Lots 7, 8, and 9, Block 4, Strub's Addition to the City of Saint
Paul, are Bernard J. Hinrichs and his wife, Christina Hinrichs, and Mathias P. Hinrichs and his
wife, Elizabeth Hinrichs. Upon information and belief, each of these persons has died and there
is no record that the underlying fee title has been passed on to their heirs. The last recorded
holders of fee title to Lots 2 and 5, Strub's Rearrangement, are Mathias A. Strub and his wife,
Grace J. Strub. Upon information and belief, both Mathias A. Strub and Grace J. Strub have
died and there is no record of their passing-on the underlying fee title to their heirs. On
September 6, 1996, the Port Authority filed a Petition in Condemnation and Motion for Transfer
of Title and Possession under Minn. Stat. § 117.042 (a "quick take"). On November 7, 1996,
the Ramsey County District Court issued its Order Granting the Petition and Appointing
Commissioners, and also authorized the payment or deposit of the "quick take" and transferring
title of the real estate to the Port Authority on or after January 15, 1997. Copies of the Court's
Orders are attached hereto as Exhibits "A" and "B".

The real estate described in the Petition in Condemnation is subject to an easement
running in favor of the State of Minnesota for highway purposes, specifically the right-of-way
for Interstate Hwy. 35E. When the State of Minnesota acquired easement rights for the
construction of I-35E, it also determined the official boundary line for the highway right-of-way.
In Definite Location Order No. 27231 and Width Order No. 27232, the latter dated October 28,
1957, the Commissioner of Highways determined that, so far as is relevant herein, the western
boundary of the I-35E right-of-way would be the west line of Windmill Street. Minn. Stat.
§ 161.18 provides that when any road or highway, including any city street or portion thereof,
is taken over by the state as a trunk highway, the state as to any such road, street, or highway
or portion thereof, without compensation paid therefore, shall be vested with all rights, titles,
easements, and appurtenances thereto appertaining, held by or vested in any of the political
subdivisions of the state prior to the time such road, street, or highway is taken over by the
state. Thus, by operation of law, the Department of Transportation succeeded to the rights
previously held by the City of Saint Paul in the rights-of-way for Windmill, Clear, Cottage, and
Residence Streets. Thus, at present, the City has nothing to vacate in this area.
The Port Authority, however, is negotiating with Mn/DOT to acquire Mn/DOT's
highway easement rights over the property. At such time as Mn/DOT releases its easement
rights, it will also release whatever rights it acquired pursuant to Minn. Stat. § 161.18. Thus,
after Mn/DOT releases its easement rights in the property, the easement rights held by the City
of Saint Paul in Windmill, Clear, Cottage, and Residence Streets will "reappear." When
Mn/DOT releases its easement rights over the Strub and Hinrichs properties, and when the Port
Authority pays its deposit into Court and title transfers on January 15, 1997, the Port Authority

will own the undivided fee interest in the Strub and Hinrichs properties. The City will have its
easement rights in the streets. The Port Authority asks that the City of Saint Paul release its
easement rights in Windmill, Clear, Cottage, and Residence Streets to the adjacent landowner,
which by no later than mid-January 1997, will be the Port Authority. After the City releases
its easement rights, the Port Authority will then own the undivided fee interest in all of the real
estate which lies in and adjacent to the streets which the Port Authority has requested the City
to vacate.

right, title, estate, interest, or lien in
the property described in the Petition herein,
Respondents.
IN THE MATTER OF THE CONDEMNATION OF CERTAIN
REAL PROPERTY LOCATED IN THE CITY OF SAINT PAUL,
COUNTY OF RAMSEY, STATE OF MINNESOTA, FOR THE
ARLINGTON JACKSON REDEVELOPMENT DISTRICT
TO THE DISTRICT COURT ABOVE NAMED:
Petitioner Port Authority of the City of Saint Paul, Minnesota (hereinafter, the "Port
Authority"), brings this Petition and respectfully represents and alleges as follows:
1. Petitioner, the Port Authority, is a public body corporate and politic, duly
organized and existing pursuant to Minn. Stat. § 469.049.
2. Pursuant to Minnesota law, the Port Authority has all powers necessary and
convenient to carry out the purposes of the Port Authority Act, including the power of eminent
domain, as provided in Minn. Stat. Chapter 117 and Minn. Stat. § 469.055, Subd. 8.

3. The Port Authority has been seeking potential sites for industrial development/
redevelopment since 1990.
4. After several surveys and discussions, the Port Authority determined that the site
now known as the Arlington/Jackson Development District was an appropriate and suitable
property for industrial redevelopment. On September 28, 1993, the Port Authority adopted
Resolution No. 3443 finding that the Arlington/Jackson property constituted marginal land within
the meaning of Minn. Stat. § 469.048, Subd. 5, and creating the Arlington/Jackson Development
District. Attached hereto as Exhibit "A" is a copy of Resolution No. 3443.
5. The Arlington/Jackson Development District is located approximately two miles
north of downtown Saint Paul and is bounded on the north by Arlington Avenue, on the west
by Jackson Street, on the south by Maryland Avenue, and on the east by Interstate 35E.
6. The Port Authority has found and determined that a public purpose will be served
by the acquisition of property within the Arlington/Jackson Development District by providing
industrial economic development for the benefit of the City of Saint Paul and its citizens.
Further, the Port Authority determined that acquisition of the property known as the Arlington/J-
ackson Development District would be a useful and valuable contribution to the public health,
safety, and welfare of the citizens of the City of Saint Paul.
7. The Port Authority has found and determined that the acquisition of property
within the Arlington/Jackson Development District through the exercise of the power of eminent
domain is necessary to achieve the objectives of the Port Authority, to make the land and the
redevelopment district available for development to serve a public purpose by maximizing
opportunity, consistent with the sound needs of the community as a whole, and for the creation
of new jobs and businesses, providing economic stability for the area.

8. In Port Authority Resolution No. 3587 dated July 23, 1996, the Commissioners
of the Port Authority authorized the acquisition of the hereinafter described property by the
exercise of eminent domain pursuant to Minn. Stat. Chapter 117. Attached hereto as Exhibit
"B" is a copy of the Resolution No. 3587.
9. The Port Authority has determined that it requires possession and title of the real
estate as soon as possible, therefore it seeks that its possession of said real estate be effective
on January 15, 1997 in accordance with Minn. Stat. § 117.042 which provides for use of the
"quick take" procedure.
10. The Port Authority seeks to acquire fee simple absolute title in the parcels of real
estate situated in the City of Saint Paul, County of Ramsey, State of Minnesota, described as
follows, subject only to the easement for right-of-way purposes held by the State of Minnesota:
Parcel 1
Lots 8 and 9, Block 4, Strub's Addition to the City of St. Paul, according to the
plat thereof on file and of record in the Office of the County Recorder in and for
Ramsey County, Minnesota; and all that part of Lot 7, Block 4, Strub's Addition
to the City of St. Paul lying westerly of a line that is parallel to and one hundred
fifty (150) feet easterly of, as measured at right angles, to the westerly right-of-
way line of Windmill Street, as shown on said plat.
Parcel 2
All that part of Lots 2 and 5, Strub's Rearrangement, according to the plat
thereof on file and of record in the Office of the County Recorder in and for
Ramsey County, Minnesota, lying westerly of a line that is parallel to and one
hundred fifteen (115) feet easterly of, as measured at right angles, the westerly
right-of-way line of Windmill Street, as shown on said plat.
11. All persons appearing of record to be owners or claimants of an interest in the
above-described property, including all persons or entities whom the Port Authority has been
able by investigation and inquiry to discover, together with the nature of the interest of each as
nearly as can be ascertained, are as follows:

(1) With regard to Parcel 1: In approximately 1959, the State of Minnesota acquired
an easement for highway purposes over and across the land described as Parcel
1. The last recorded holders of fee title to the land described as Parcel 1 are
Bernard J. Hinrichs and his wife, Christina Hinrichs, and Mathias B. Hinrichs
and his wife, Elizabeth Hinrichs. Upon information and belief, each of these
persons has died. There is no record of the underlying fee title in Parcel 1 being
passed on to their heirs, such that the fee title interest in the real estate described
as Parcel 1 is held by the unknown heirs of Bernard J. Hinrichs and his wife,
Christina Hinrichs, and Mathias B. Hinrichs, and his wife, Elizabeth Hinrichs.
(2) With regard to Parcel 2: In approximately 1959, the State of Minnesota acquired
an easement for highway purposes over and across all the land described as
Parcel 2. The last recorded holders of fee title to the land described as Parcel 2
are Mathias A. Strub and his wife, Grace J. Strub. Upon information and belief,
both Mathias A. Strub and Grace J. Strub have died. There is no record of the
underlying fee title to Parcel 2 being passed on to their heirs, such that the fee
title interest in the real estate described as Parcel 2 is held by the unknown heirs
of Mathias A. Strub and Grace J. Strub.
WHEREFORE, the Port Authority prays for an Order of this Court approving the Port
Authority's Petition and directing:
1. That such proceedings may be had as are provided by law in order that the Port
Authority may acquire, by condemnation, the fee simple absolute title to the real property
described above subject only to the easement for right-of-way held by the State of Minnesota,
2. That it be adjudged and determined that the property is sought to be taken for a
public use and that the taking is authorized by law;
3. That three competent and disinterested persons and two alternates, residents of
Ramsey County, Minnesota, be appointed as commissioners to ascertain and report the amount
of damages that will be sustained by the owner on account of the taking;
4. That the Court order and fix the time and place of the first meeting of the
commissioners and set their compensation;

5. That the commissioners be directed and instructed by the Court to proceed
according to law to make a fair and impartial assessment and award of all damages that will be
sustained by the owners by reason of the taking and timely report the same to this Court;
6. That if for any reason it be doubtful as to whom the award shall be paid, the
payment shall be made to the administrator of the Ramsey County District Court to be paid out
by that office under the direction of the Court;
7. Pursuant to Minn. Stat. § 117.042, as amended, authorizing entry by the Port
Authority and its employees and agents onto the real estate described above, for the purpose of
such appraisals, surveys, tests, soil borings, inspections, and evaluations as the Port Authority
may elect; and
8. For such other relief as the Court may deem just and proper.
The Port Authority further prays for an Order of this Court pursuant to Minn. Stat.
§ 117.042, as amended, authorizing the transfer of title and the right to possession of said real
estate described as Parcel 1 and Parcel 2 to the Port Authority to be effective as of
January 15, 1997.

RESOLUTION OF THE
PORT AUTHORITY -OF THE CITY OF SAINT PAUL
WHEREAS, the Port Authority of the City of Saint Paul ("Port
Authority") , at least ten days after the legal publication of the
notice thereof, held a public hearing for the purpose of
establishing an Industrial and Economic Development District
("District") , within the City of Saint Paul, Ramsey County,
Minnesota, on property described in Exhibit "A" attached hereto and
by reference made a part hereof, hereinafter referred to as the
Arlington-Jackson Development District; and
WHEREAS, said notice of hearing was published and said public
hearing was conducted in accordance with the provisions of
Minnesota Statutes 469. 058; and
WHEREAS, in conjunction with the Port Authority , the
Department of Planning and Economic Development of the City of St.
Paul (PED) undertook a study of the land uses in the Arlington-
Jackson area and other areas and the findings were in a report
dated December, 1990; and
WHEREAS, the Port Authority, based on' the PED study and its
own review, finds that the lands within the Arlington Jackson
District are characterized by an economic dislocation,
deterioration, disuse resulting from faulty planning; and
WHEREAS, the Port Authority finds that certain lands within
the District are not devoted to industrial or other economic uses,
but are necessary to industrial and economic development within the
District; and
WHEREAS, the Port Authority finds that certain lands within
the District are characterized by a growing lack of proper
utilization of areas, resulting in a stagnant and unproductive
condition_of land potentially useful and valuable for contributions
to the public health, safety, and welfare of the citizens of the
port district of Saint Paul; and
WHEREAS, the Port Authority finds that certain lands within
the District have undergone a loss of population and reduction of
proper utilization of the area resulting from its further
deterioration and at a cost to the taxpayer for the creation of new
public facilities and services elsewhere; and
WHEREAS, the Port Authority finds that creation of the
Arlington-Jackson Development District is proper and desirable in
establishing a system of harbor and river improvements and
industrial economic developments for the benefit of the port
district of Saint Paul and the citizens thereof;

WHEREAS, the State of Minnesota has acquired an easement for right-of-way purposes
over property immediately east of the proposed Arlington-Jackson Industrial Park; and
WHEREAS, the Port Authority desires to acquire a portion of said property rights from
the State of Minnesota at such time as the State of Minnesota Department of Transportation
determines that the westerly two acres of the right-of-way is excess; and
WHEREAS, staff recommends that the Port Authority condemn the interest of the
underlying fee owners such that it is eligible as the first priority purchaser of the State of
Minnesota's interest after the right-of-way has been determined to be excess.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COMMISSIONERS
OF THE PORT AUTHORITY OF THE CITY OF SAINT PAUL, that condemning the fee
interest in the property described in Exhibit A attached hereto is in the best interest of the Port
district and in the furtherance of the redevelopment activities being undertaken in the Arlington-
Jackson Industrial District; and

required by the applicable Minnesota Statutes and that the notice of the filing of the Petition was
duly served upon all Respondents within the time required by law, and proof of service has been
filed with the District Court Administrator.
The Court further finds that the Notice of the Filing of the Petition was duly served upon
all unknown respondents named in the Petition within the time required by law by three (3)
weeks published notice in the St. Paul Legal Ledger. Said service by publication was duly made
in accordance with and pursuant to Minn. Stat. § 117.055 and proof of service has been filed
with the District Court.

hereby GRANTED.
