1 BE IT RESOLVED, that, upon the petition of St. Croix Partners, L.L.C., as documented in Finance
2 Departmetn File Number 3-97, public properties hereinafter described are hereby vacated and
3 discontinued as public property: and, subject to the herein stated exceptions, the easements within
4 those public propertries are hereby released.

6 The property to be vacated is described as follows:

8 Territorial Road lying between the westerly Saint Paul city limits and the west line of Berry
9 Street extended.

11 This vacation shall be subject to the terms and condition of Chapter 130, codified March 1, 1981, of
12 the Saint Paul Legislative Code as amended, and to the following conditions:
13
14 1. That the petitioner's, their successors and assigns shall pay $500.00 as an administrative fee
15 for this vacation which is due and payable within 60 days of the effective date of this
16 resolution.

18 2. That the petitioner shall be responsible to reconstruct the street at both ends of the vacation to
19 the satisfaction of the Saint Paul Department of Public Works, including, but not limited to,
20 new curbing, drainage structures, sidewalk, boulevard, and signage, to remove all appearances
21 of public right-of-way.

23 3. All costs to perpetuate survey monuments and irons within the vacated area shall be the
24 responsibility of the petitioner.

26 4. That a permanent utility easement shall be retained within the vacated area to to protect the
27 interest of Northern States Power Company.

29 5. That a permanent utility easement shall be retained within the vacated area to protect the
30 interest of U.S. West Communication, Inc.

1 6. That the petitioner's their successors, and assigns agree to indemnify, defend and save
2 harmless the City of Saint Paul, its officers, and employees from all suits, actions, or claims of
3 any character brought as a result of injuries or damages received or sustained by any person,
4 persons, or property on account of this vacation or petitioner's use of this property, including
5 but not limited to a claim brought because of any act of omission, neglect, or misconduct of
6 said petitioner or because of any claims or liability arising from any violation of any law or
7 regulation made in accordance with the law, whether by the petitioner or any of their agents or
8 employees

10 7. That the petitioner's their successors, and assigns, shall within 60 days of the effective date of
11 this resolution, file with the City Clerk an acceptance in writing of the conditions of this
12 resolution and shall within the period(s) specified in the terms and conditions of this resolution,
13 comply in all respects with these terms and conditions.

I am requesting a date of June 25, 1997 for a Public Hearing to approve the attached
Council Resolution. The purpose of the resolution is to vacate part of Territorial Road
lying between the westerly Saint Paul city limits and the west line of Berry Street
extended, allowing the petitioner to expand existing facilities. I have enclosed
photocopies of the Green Sheet, the Council Resolution and a map of the area to be
vacated. Please let me know if there is any additional information you might need.

Vacation of Territorial Road between
Berry St. and the west City limits
The Department of Public Works has completed a review of the above referenced
proposal. Territorial Road is an improved street with a 66 foot wide right-of-way. There
is a survey monument on the center line of Territorial Road and the west city/county
limits. In addition there is a property iron on the north line of Territorial Road and said
west county line. Due to the discrepancy between Ramsey and Hennepin County as
to the correct location of said west county line, these monuments would have to be
perpetuated. The costs for this, estimated at around $3,000, would be the
responsiblity of the petitioner
Therefore, the Department of Public Works has no objections to the vacation proposal,
subject to the following:
1. The City of Minneapolis should be notified and have input into this vacation
proposal.
2. There is a street light which may have to be removed or relocated at the petitioners
expense.
3. The petitioner shall be responsible to reconstruct the street at both ends of the
vacation to the satisfaction of the Saint Paul Department of Public Works and the City
of Minneapolis, including, but not limited to, new curbing , drainage structures,
sidewalk, boulevard, and signage, to remove all appearances of public right-of-way.

Dear Jerry:
Enclosed is a check in the amount of$7,000 from Hubbard Broadcasting, Inc., to be held
by St. Paul Water Utility as security for payment of the actual cost to abandon the existing
watermain and relocate the fire hydrant at the corner of Territorial Road and Berry Street.
Hubbard Broadcasting, Inc., is delivering this money to you in connection with its application to
the City of St. Paul for vacation of the portion of the right-of-way of Territorial Road between
Berry Street and the city line. As you and I discussed, Hubbard has not yet completed its
development plans and therefore requests that the St. Paul Water Utility refrain from abandoning
the watermain and relocating the hydrant until it is able to coordinate those activities with
Hubbard. Hubbard will contact you when its plans are better developed.

1 BE IT RESOLVED, that, upon the petition of St. Croix Partners, L.L.C., as documented in Finance
2 Departmetn File Number 3-97, public properties hereinafter described are hereby vacated and
3 discontinued as public property: and, subject to the herein stated exceptions, the easements within
4 those public propertries are hereby released.

6 The property to be vacated is described as follows:

8 Territorial Road lying between the westerly Saint Paul city limits and the west line of Berry
9 Street extended.

11 This vacation shall be subject to the terms and condition of Chapter 130, codified March 1, 1981, of
12 the Saint Paul Legislative Code as amended, and to the following conditions:
13
14 1. That the petitioner's, their successors and assigns shall pay $500.00 as an administrative fee
15 for this vacation which is due and payable within 60 days of the effective date of this
16 resolution.

18 2. That the petitioner shall be responsible to reconstruct the street at both ends of the vacation to
19 the satisfaction of the Saint Paul Department of Public Works, including, but not limited to,
20 new curbing, drainage structures, sidewalk, boulevard, and signage, to remove all appearances
21 of public right-of-way.

23 3. All costs to perpetuate survey monuments and irons within the vacated area shall be the
24 responsibility of the petitioner.

26 4. That a permanent utility easement shall be retained within the vacated area to to protect the
27 interest of Northern States Power Company.

29 5. That a permanent utility easement shall be retained within the vacated area to protect the
30 interest of U.S. West Communication, Inc.

1 6. That the petitioner's their successors, and assigns agree to indemnify, defend and save
2 harmless the City of Saint Paul, its officers, and employees from all suits, actions, or claims of
3 any character brought as a result of injuries or damages received or sustained by any person,
4 persons, or property on account of this vacation or petitioner's use of this property, including
5 but not limited to a claim brought because of any act of omission, neglect, or misconduct of
6 said petitioner or because of any claims or liability arising from any violation of any law or
7 regulation made in accordance with the law, whether by the petitioner or any of their agents or
8 employees

10 7. That the petitioner's their successors, and assigns, shall within 60 days of the effective date of
11 this resolution, file with the City Clerk an acceptance in writing of the conditions of this
12 resolution and shall within the period(s) specified in the terms and conditions of this resolution,
13 comply in all respects with these terms and conditions.

L.L.C., an affiliate and representative of Hubbard Broadcasting, Inc. The petition is signed on
behalf of Hubbard Broadcasting, Inc., and St. Croix Partners, L.L.C., by Robert W. Hubbard, an
officer of both entities. Also enclosed are an Abstractor's Certificate from Commonwealth Land
