1 WHEREAS, the S int Paul Gard �lub has raised funds in the amount of $14,810; and

� WHEREAS, the money as been specifically designated for the purpose of making improvements to
4 the south side of Rice Park, herein after described as Rice Park South Garden, including the removal of
5 existing plantings, benches and concrete pads and the installation of a new walkway and seating area, m-
6 ground irrigation system, grading, seeding and turf installation, and planting beds; and
7
8 WHEREAS, the Saint Paul Garden Club shall provide and install plant materials and continue to
9 maintain the South Garden; and
10
11 WHEREAS, it is the desire of Parks and Recreation to establish a fmancing and spending budget for
12 the Rice Park South Garden project; and
13
14 WHEREAS, the Mayor, pursuant to Sectiun 10.07.1 of the Charter of the City of Saint Paul, does
15 certify that there are available for appropriation, funds of $14,810 in excess of those estimated in the 2010
16 Capital Improvement Budget; and
17
18 NOW THEREFORE BE IT RESOLVED, by the City Council of the City of Saint Paul, upon
19 recommendation of Yhe Mayor and the positive advice of the Long Range Capital Improvement Budget
20 Committee, that $14,810 is available for appropriation in the 2010 Capital Improvement Budget, and said
21 2010 budget, as heretofQre adopted by the Council, is here by further amended as follows:

THIS AGREEMENT is made and entered into as of tbis _ day of

(hereinafter referred to as "SPGC")
AND
CITY OF SAINT PAUL, MINNESOTA
(hereinafter referred to as "CITY")
WHEREAS, SPGC has requested that the CITY provide Professional Design Services to prepare
a landscape plan and administer Pro�ect Management Services through the construction of a
portion of Ricc Park called out m this contract as the South Garden; and
S�rHEBEAS, the CTI'Y owns and manages Rice Park; and
WHEREAS, SPGC has funds raised through donations which will be gifted to fhe CITY to cover
the costs of Professional Design Services and Projeet Management Services listed in the scope of
work m this contract, as well as the costs to construet construction of the designed site
improvements; and
WHEREAS, Design, Project Management and Constmetion Administration costs are not to
exceed $2,260.00; and
WHEREAS, the Construction costs arc not exceed $12,550 00; and
WAEREAS, rt has 6een ducussed that the SPGC shall provide and install plant materials and
continue to maintam the South Garden;
NOW, THEREFORE BE IT RESOVED, in considerahon ofthe mutual mider[akings and
agreements hereinafter set forth, the parties agree as folloa�s:
A Scope of Work
The Design & Construction Section of the CITY's Parks and Recreation Department will
prepare conceptual srte plan and final conshuction documents, managc biddin� and contract
process, oversee construetion and installation and act as fiscal agent for the project usmg
funds gifted from SPGC for the project.
B Reimbursement
The CITY will act as the fiscal agent for the project once the funds have been g�8ed to the
CIT`Y. Should there be remaining funds once the contract ts closed, the money uiil be
retumed to the SPGC in the form of a check in the amount of the remaining balance.

Upon receipt of the SPGC's detailed design based on the CITY's concept, the CITY shall
produce construction documents including plans and specifications for the purpose of pubiic
bid. The CITY shall oversee the bldding and contract process through project completion.
The CITY will retain ownership ofthe final design.
E. Approval
Rice Park is CITY-owned Pazk propertv, and no improvements, design, construction or
alterations can be done without written consent of the CITY. No work can commence
without appropriate funding in place, nor are the plans a guazantee that the project will
receive priority over other park projects in the City of Saint Paul.
Any proposals for improvement, design, construction or alterations which involve street
stormwater will require approval bythe SaintPaul Public Works Department.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement on the day and year
above first written.
