PARTIES
THIS AGREEMENT is entered into by the Minnesota Department
of Transportation, (State), and the City of St. Paul, (City).
RECITALS
Minnesota Statutes Section 161.20 authorizes the
Commissioner of Transportation to enter into agreements with any
governmental authority for the purposes of constructing,
maintaining and improving the Trunk Highway system.
The parties have determined that there is justification and
it is in the public's best interest to install a new traffic
control signal including street Lights, emergency vehicle pre-
emption and signing (Traffic Control Signal) on Trunk Highway
No. 952A (RObert Street) at Cesar Chavez Street.
Whereas, the existing traffic control signals on Cesar Chavez
Street are operated and maintained by City forces, it considered in
the best interest of the public to install a new Traffic Control
Signal, with City forces and equipment.
The City and the State will participate in the cost,
maintenance and operation of the new Traffic Control Signal.

CONTRACT
1. The City will prepare the necessary plan,
speci£ications and proposal, (Preliminary Engineering). The
City will also perform all necessary construction inspection,
(Construction Engineering). The State reserves the right to
periodically inspect the Construction work.
2. The Cost of Construction, (Construction Cost) consists
of the contract cost of the work or, if the work is not
contracted, the actual cost of all labor, materials, and
equipment rental required to complete the work. Construction
Cost does not include the cost of providing the power supply to
the service pole or pad.
3. The City shall install a new Traffic Control Signal
provided for under State Project No. 6217-42 (T.H. 952A=334), State
Aid Project No. 164-010-063 and City Project No. 09-T-1330. Such
work as described immediately above sha11 hereinafter be referred
to as "City Force Account Work", and as provided for in Exhibit "A"
attached hereto and made a part hereof all at the estimated costs
to the City for materials, labor and equipment as therein shown.
4. The City, with its own resources and equipment, will
perform the new Traffic Control Signal work pursuant to the
plans and specifications for State Project No. 6217-42 (T.H.
952A=334), State Aid Project No. 164-010-063 and City Project

No. 09-T-1330. The total estimated Construction Cost (including
Construction Engineering and Inspection) is $263,796.40, as
shown in Exhibit "A". The estimated Construction Cost is
$215,344.00. The estimated Construction Engineering and
Inspection Cost is $48,452.40. The State wi11 pay the City
$104,110.19 for the State share of the Construction Cost. The
State will also pay the City $8,325.81 for Construction
Engineering (8o of the State share of Construction Cost). The
State's share of the Construction Cost and Construction
Engineering Cost shall not exceed $112,439.00.
5. The City Force Account work provided for herein shall
be under the direction and supervision of the City. It is
agreed, however, that the State shall have the right to
periodically inspect said work.
6. Force account records shall be made for all labor,
materials and equipment and shall be signed each day by
authorized personnel. Payment for labor, materials and equipment
hours shall be based on these records. All actual and related
indirect costs of the City sha11 be accumulated in accordance
with its established accounting procedures.
7. Payment to the City wi11 be made by the State for the
State's share of the actual Construction Costs and construction
engineering percentage (as specified in paragraph 4) for the

City Force Account Work which is completed and approved by the
State's District Engineer at Roseville or his authorized
representative and upon submission by the City of an invoice to
the State's District Engineer at Roseville itemizing the costs
and certified by a responsible City official that said City
Force Account Work has been completed under the terms of this
agreement. The invoice and supporting documents are subject to
audit by the State's representative at its direction.
8. The City shall maintain all books, documents, papers,
accounting records and other evidence pertaining to costs
incurred in connection with the City Force Account Work
performed hereunder for a period of not less than 3 years after
receipt of payment. The City shall make such materials available
at its office at all reasonable times during this agreement, for
inspection by the State (as provided by Minnesota Statute,
Section 16.095), and copies thereof shall be furnished upon
request.
9. The amount to be encumbered for payment to the City
from Trunk Highway Funds for the City Force Account Work
performed under this agreement is not to exceed $112,439.00.
10. The City will be responsible for the cost and
application to secure an adequate power supply to the service
pad or pole for the new Traffic Control Signal. Upon completion

of this project, the City will thereafter pay all monthly
electrical service expenses necessary to operate the new Traffic
Control Signal.
11. Upon completion of the work contemplated in Paragraph
3 hereof, it shall be the City's responsibility, at its cost and
expense, to maintain, including underground locates, and keep in
repair the new Traffic Control Signal including street lights,
emergency vehicle pre-emption and signing.
12. Each party will be solely responsible for its own acts
and omissions, and the results thereof, to the extent authorized
by law. The State's liability is governed by the Minnesota Tort
Claims Act, Minnesota Statutes Section 3.736. The City's
liability is governed by Minnesota Statutes Chapter 466. Each
party will be solely responsible for its own employees for any
Workers Compensation Claims.
13. Timing of the new Traffic Control Signal provided for
herein sha11 be initially determined by the City's Traffic
Engineer. Adjustments of said signal timing may be determined by
the State, through its Commissioner of Transportation, and no
changes shall be made therein except with the approval of the
State.
14. Any amendment to this Agreement must be in writing and
will not be effective until it has been executed and approved by

the same parties who executed and approved the original
Agreement, or their successors in office.
15. If any party fails to enforce any provisions of this
Agreement, that failure does not waive the provision or its
right to enforce it.
16. This Agreement contains all negotiations and
agreements between the parties. No other understanding
regarding this Agreement, whether written or ora1, may be used
to bind either party.
17. Minnesota law governs this contract. Venue for all
legal proceedings arising out of this Agreement, or its breach,
must be in the appropriate state or £ederal court with competent
jurisdiction in Ramsey County, Minnesota.
18. This Agreement is effective on the date the State
obtains a11 required signatures under Minnesota Statutes 16C.05,
Subdivision 2, and will remain in effect until terminated by
written agreement of the parties.
19. The State may terminate this Agreement at any time it
does not obtain funding from the Minnesota Legislature or other
funding source, or if funding cannot be continued at a level
sufficient to complete the work under this Agreement.
