WHEREAS, the County Welfare Board has heretofore proposed
the purchase of premises known as:
Parts of "Lots 5, 6, 7 and 8, Block 8, ,Bazil and
Guerints Addition to Saint Paul
which is also knwon as 476-484 St. Peter Street in Saint Paul,
and to take possession thereof in the near future, and '
WHEREAS, said Welfare Board has proposed the removal
of its activities from its present quarters at 103 East :Sixth
Street in Saint Paul, the lease on which requires monthly payments
of rent which from February 1, 1957 to September' 30, 1960 totals
$55,550,00, and
WHEREAS, the City heretofore in considering the budget
of said Welfare' Board provided money for such purchase and the
elimination of the, ., iabiL ty of such Welfare Board and hence the
City on such lease` ent
WHEREAS, the Ramsey County Welfare Board and edwar'd. E.
Cleary, Assistant County Attorney have reported to the County .
of Ramsey and to the..Cit:y Council the following proposals to
effectuate such intent:
1. Benz Company will deed said premises on St, Peter
Street hereinabove described to the County_ of
Ramsey and the City of Saint Paul in a 72 and
27 respectively,eonditiened that if the sum of
$179,593.75 is not paid it by January 16, ' 1957,
the title to said premises will revert to it:

such proportion of 72 and 274% to be paid
to Sixth and Robert Realty Co., lessor in the
above referred lease, to be paid said lessor
or its successors or assigns at stated intervals
when proper release and/or assignments are
furnished said County and City pursuant to an
agreement dated December 26, 1956, between the
Sixthand Robert Realty Co. and the Ramsey
County Welfare Board, and
WHEREAS, the action taken by the County Board in con-
nection with this matter is outlined in County Board File #1529,
Resolution 9-4350, a copy of which is attached hereto and made
a part hereof by reference,
NOW THEREFORE, upon the foregoing basis, be it
RESOLVED that the Council of the City of Saint Paul authorizes
and directs the proper City officers to execute such agreement
with the Benz Company, and the Council hereby ratifies the agree-
ment between Sixth and Robert Realty Co, and the Ramsey County
Welfare Board,

the Welfare Board's lease on the property at 105 B. 6th Street.

Settlement of the Welfare Board's lease on the property at 105
B. 6th Street has been reached in such form as to be acceptable to the
County and City Attorneys. (Agreement is signed).
Roughly, the terms of the settlement are that the Welfare Board
will pay one-half of the remaining value of the lease after January 31. 1957.
or $27,775.00. No money will be paid until satisfactory evidence of proper
authority of the landlord, Mr. Narver, to give a legally acceptable release
is submitted.
The Bens Building is being purchased for $190,000, less an allow.
ante of $10,406.00 which the Bense Company is contributing toward the coat
of paying off the old lease. (let $179,594).
Net cost of settling the old lease is approximately $17,369.00•

Gentlemen:
In August of this year the County Welfare Board advised
your honorable body of the negotiating that was being carried on
to purchase the building known as the State Farm Mutual Building
at 476 St. Peter Street from The Benz Company. Further you were
informed that negotiations were being held with the present lessor
of the property occupied by the Welfare Board at 105 East Sixth
Street in an effort to secure a cancellation of the existing lease
on this property. The City Council was willing at that time to
authorize the inclusion of an appropriation of $190,000 with which
to purchase this building, but made as a condition of the purchase
a provision that some satisfactory settlement of the existing lease
on the premises at 105 East Sixth Street should be made.
Representatives of the Welfare Board have been negotiating
on many occasions since that time with the representatives of the
Benz Company, owners of the State Farm Mutual, and Mr. Hillard Marver,
lessor of the property at 105 East Sixth Street. After these lengthy
negotiations, a proposal was received from the Benz Company to sell
the building to the City and the County at a purchase price of
$190,000. In addition to that The Benz Company stated that they
would be willing to contribute $7,500 toward the settlement of the
existing lease on the premises at 105 East Sixth Street. A copy of
the letter of proposal from The Benz Company is attached hereto for
your information.
You will note that the Benz Company has made a provision
in their proposal that the transaction conveying title of the building
to the City and County must be closed not later than the end of
October and further that acceptance of the offer was limited to
October 16, 1956.

By resolution the Ramsey County Welfare Board decided to
recommend to the City Council and the County Board that authorization
be granted for the purchase of this building for the use of the Board
as a central office. A copy of the Board's resolution is attached
hereto.
The Board has also received a letter from Mr. Hillard Marver
of the Robert & Sixth Company, lessors of the premises at 105 East
Sixth Street, in which Mr. Marver offers to release the Board from
the existing lease on those premises for a consideration of $28,406.25.
This contemplates the termination of the lease as of December 31, 1956.
The lease actually runs until September 30, 1960. The offer to settle
therefore is the equivalent of about one-half of the value of the
remainder of the lease. It should be pointed out that taking into
consideration the contribution of $7,500 offered by the Benz Company
to help defray the cost of settling this lease, the net cost to the
City and County would be $21,960.25.
It should also be pointed out to the Council that there is at
this writing a currently unsettled legal question as to the authority
of Mr. Marver to write such a letter. The lease, itself, was made
with the Sixth and Robert Realty Corporation, and it is known that Mr.
Marver had a partner or partners in the ownership of the building.
Mr. Marver has told us that he has been negotiating for several months
to secure title to the property in his own name and has stated further
that these negotiations have been settled with the exception that final
legal documents have not yet been signed by his other partner or part-
ners. He has also said that notwithstanding this fact that his attorney
has authorized him to write the letter of release to terminate this
current lease agreement. It is of course recognized that this question
would have to be settled by the legal staffs of the City and County.
