Sept, 28, 1938 Ramsey County Welfare Board Ramsey County Court House St. Paul, Minnesota Gentlemen: After the breakup of our luncheon meeting September 20, we dis- cussed with the officers of The Benz Company the modification of our proposal which we talked over briefly with you at the close of that meeting. While the officers of The Benz Company are not willing to recede from the offer to sell at $190,000, they will be willing to con- tribute $7,500 towards the settlement of the Max ver lease, provided the transaction conveying title to the State Farm Mutual Insurance Company building to the City and County can be closed not later than the end of October. Occupancy by the County Welfare Board would begin December 1, 1956, and payment of the $190,000 by the City and County and ©f $7,500 by The Benz Company would be made not later than January 15, 1957, All expenses in connection with the building including taxes, if any, are to be borne by the Welfare Board from the date of delivery of the deed. For the protection of The Bens Company, the payment contract would have to provide for a reconveyance of the pr+perty to The Benz Company in the event of default and the deed would be similarly conditioned. Because the time factor is important, The Benz Company limits this offer until October 18, 1956. Sixth Street: in consideration of the Welfare Board's paying to the Sixth and Robert Co., 526,406.25, the manner and time of payment of which shall be at the option of the Sixth and Robert Co., the Sixth and Robert Co. will release the Ramsey County Welfare Board from the remainder of the lease period (45 months from December 31, 1956), and the subject premises would then= be free to be used or leased at the discretion of the Sixth and Robert Co., and the Welfare Board would have no further liability fee' the premises, nor the right to rentals received from the new occupants of the premises.
