RESOLUTION
CITY OF SAINT PAUL, MINNESOTA

VJHEREAS, the City of Saint Paul has an a�reement with the Saint Paul Saints Baseball Team to play its 2010 home games at the Crty's
'Vlidway Stadium; and
WHEREAS, the Ciry of Samt Paul opetates the pazking lot at Midway Stad�um, where the Saint Paul Saints will play up to fifty-five (»)
home games during the 2010 American Association season; and
WHEREAS, the Saints may schedule other events at the Stadmm; and
WHEREAS, the City receives income from fhe parldng of vehicles at these events; and
WHEREAS, the Midway Stadium site lacks a sufficient number of pazking spaces to accommodate all visrtors for Saint Paul Saints events;
and
WHEREAS, AMB U.S Logistics Fund, L.P owns the property ]ocated at 1930 Energy Pazk Drive, which has a pazkmg lot located within
walking distance of M�dway Stadium; and
WHEREAS, AMB U.S. Log�sfics Fund, L.P, is willing to allow the City to use its east parking lot for overflow pazldng for Saint Paul Samts
home games during the 2010 Amencan Association season, as well as during other events scheduled by the Samts and ae eed to by the City,
but on the condition that AMB be indemnified a�d held harmless from damagzs and cla�ms arismg out of the use of the pazking lof for that
purpose; now therefore be it
RESOLVED, that the Council of the Ciry of Saint Pau] hereby finds thaf fhe indemm&cation of AMB U.S. Logistics Fund, L.P. for the use of
its east parking lot at 1930 Energy Park Drive serves a valid and legf�mate public purpose; and be it
FURTHER RESOLVED, that the Counci] of the C5ry of Saint Paul hereby agrees to defend, iudemnify and hold AMB U.S. Logistics Fund,
L.P. harmless from any and all damages it rrtay be required to pay as a result of s�its, claims, actions or �udgments arising ouf of the use of the
1930 Energy Pazk Drive east pazking ]ot as a pazking site for the Saint Paul Saints home games and approved events during the 2010 season,
and ]et it be
FURTHER RESOLVED, fhat the foregomg defense and indemm5cahon does not covee: 1) any occurrences or events which do not take place
during fhe use of the 1930 Energy Puk Dnve east pazking lot for a Saint Paul Saints home game or approved event; or 2) injuries or damages
azising from hidden traps or dangerous conditions of the 1930 Energy Park Drive east pazking Iot as to which AMB U.S. Logistics FUnd, L.P.
had actual or consttvctive nohce; and be it
FURTHER RESOLVED, that nothing in fhe foregoing provisions shall be construed as a waiver of the mumc�pal tort l�abil�ty l�mits set forth
in Minn. Stat.§466 et seq.

Initiating Problem, Issues, Opportunity (Who, What, When, Where, Why):
The Ciry wishes to enter into an agreement with AMB U.S. Logistics Fund, L.P., to use part of their properry for vehicle parking
during Saint Paul Saints home games and stadium events in 2010. Paragraph S of this agreement calls for the City to defend,
indemnify and hold haanless AMB for the use fo their lot.

Attached is a resolution from Parks requesting authorization to indemnify and hold
harmless AMB U.S. Logistics Fund, L.P. ("AMB") as specified in an agreement between
Parks and AMB. The agreement allows the City to use AMB property for overflow
parking for Saints games and other events at Midway stadium. OK to sign.
