WHEREAS, in connection with Contract No. 55-S-465, Comptroller' s
Contract No. L-5655, dated September 1 ., 1955, for the construction of the
Trout Brook Sewer Extension to Rice Street, F. Morettini, Contractor, due to
unsuitable foundation and sub-soil conditions not disclosed by the borings
taken in advance but indicated by test pilings driven during the progress of
the work, it was necessary to order the contractor to perform extra work in
driving piling and placing concrete foundations and doing incidental work for
an additional 686 feet of the 8' diameter reinforced concrete pipe sewer, such
additions being specifically provided for in the general specifications and in
special provisions under the fol1owi.nr- clause: "The Engineer reserves the
right to increase or decrease the amount of piling and to order piling driven
.-here not shown on the plan" and a separate unit price for additional pilings
being called for In the bid and not included in the lump sum price; and
WHEREAS, a. work order was iss ued on February 27, 1956, by the Depart-
ment of Public Works for such additional work with the provision that the final
additional cost be based on the actual auantities of work involved; and
WHEREAS, Such final cuantities of work has been determined and the
cost arrived at on the basis of the fixed schedule of prices in the contract for
excavation, gravel sub base, steel and wood pilings and in accordance with an
agreed price per cubic yard. for class A concrete and. class C concrete as provided
for in the general specifications of the contract, the Quantities and cost
amount being as follows:

WHEREAS, under date of September 22, 1956, the said Contractor
filed with this Council a statement in writing claiming that the addition to
the contract for the extra work under the contract Change Order for reim-
bursement to it for the work performed, should be in the sum of $158,692.39,
and thereafter said Contractor later amended said figure to $881901.00 by
affidavit executed July 6, 1957, attached to which was an itemization of its
asserted costs in connection with the extra work; and
WHEREAS, as heretofore stated, the Department of Public Works has
determined that the net total additions to the contract should be in the sum
of 875,374.84, covering the items listed herein by separate category and in
the specific amounts expressly set forth; therefore, be it
RESOLVED, that the Council of the City of Saint Paul does hereby
approve and authorize the foregoing additions to said project and contract
made in accordance with the specifications, in the sum of 05,374.84, said
sum to be added to the lump sum consideration set out in the contract,
described as Comptroller's Contract No. L-5655, and that the said sum be
authorized as payment in full of the claim heretofore filed with this body
by the said Contractor, and the Department of Public Works, through its
Commissioner, having agreed with the Contractor that the amount of
$75,374.84 is a reasonable amount to be added to the above contract for
the extra work done under and pursuant to the contract Change Order of
February 27, 1956, said amount shall be paid to the said Contractor upon
the execution by Contractor of proper releases to the City of Saint Paul
for all and every claim or claims of said Contractor arising from the
carrying out of the above improvement.

Saint Paul September 25, 1957.
This letter concerns itself with the above
named claim made by the Contractor for asserted costs
incurred by it as a result of a so-called "Change Order"
during the progress of one of the City' s projects on
which said Contractor was low bidder, and was in process
of doing the work..
THE FACTS
(F. Morettini, Inc. , is hereinafter
referred to as the "Contractor" . )
On September 7, 1955, a contract was entered
into between the City of Saint Paul and said Contractor
under which said Contractor was to furnish all labor
and material for the construction of Trout Brook Extension
to Rice Street and sewer in Rice Street from Cottage
Avenue to Larpenteur Avenue in accordance with plans
and specifications issued by the City in connection with
said project.
This work, of course, had been put out on
competitive bidding. Formal Bid was No. 5301. The
Contractor was low bidder and was awarded the contract
by the City. (See Council Resolution 174462, approved
August 30, 1955. )
The City Contract Number is 55-S-465. It bears
Comptroller' s Contract No. L-5655. Performance Bond is
No. 509181, on file in the office of the Comptroller.
Some time after work was initiated by the
Contractor, it seemingly became apparent to the parties

that extra work would necessarily have to be performed
by Contractor in connection with the project , such work
being of such type, kind and extent that it could not
reasonably have been foreseen and anticipated when the
plans and specifications for said project had been issued
by the City.

work, see :Ai-. George Shepard' s letter to
iarshall F. Hurley, Corporation Counsel ,
on May 3, 1957 , and June 20, 1957. )
That thereafter a "Contract Change Order" dated
February 27, 1956, and executed :arch 2, 1956, was entered
into by the parties , signed by the Contractor through its
President, the Department of Public Works by Frank D.
Marzitelli, Commissioner, and George M. Shepard, Chief
Engineer, and countersigned by Joe .-Mitchell, Comptroller
of the City of Saint Paul.
A copy of this "Change Order" is attached hereto.
While a tentative figure following certain itemizations
is stated at $38, 932.50, said Order closes with the sen-
tence, "The final additional cost will be based on the
actual quantities of piling driven and concrete poured. "
By letter, dated March 2, 1956, directed to the
Commissioner of Public Works , F. Morettini, President of
the Contractor, informed the City of his feeling that
certain additional costs and items should be made a part
of the Change Order. See letter attached.
Under date of September 22, 1956, the Contractor
addressed a letter to the City Council which was his "
bill for extra work performed on the above project. " (See
letter attached. ) This letter was intDduced in Council on
September 25, 1956, and by that body referred to the atten-
tion of the Commissioner of Public Works . The Contractor' s
ciaim was in the amount of $158, 692.39 and presented only
in category itemization of the type of work completed by it.

The matter of said claim had the attention of
the Department of Public Works and Mr. George Shepard
following the receipt of said claim.

December 11, 1956, to F. Morettini, Inc. ,
copy of which is attached. )
On April 18, 1954, the Commissioner of Public
Works , George Shepard and the undersigned met together
on the matter of the Contractor' s claim. At this meeting,
the undersigned informed the said officials that a "break-
down" or detailed inventory of the alleged additional
costs should be demanded of the Contractor to support
any claim under the aforementioned "Change Order".

F. Morettini, Inc. , dated April 18,
1957, hereto attached. )
Answer to George M. Shepard' s letter of April
18, 1957, was made by Contractor on April 30, 1957.
(See letter of F. Morettini, Inc. , signed
by C. A. Cheney, dated April 30, 1957,
to Mr. George M. Shepard, copy of which
is hereto attached. )
At a meeting in the office of the undersigned
following receipt of said letter, attended by Mr. Morettini
and Mr. Cheney of said Contractor, and Mr. Shepard,
Mr. Holmgren, Deputy Commissioner of Public Works, and
myself , the said agents of the Contractor were told that
supporting data under affidavit by an officer of the
corporation would necessarily have to be filed by the
Contractor in support of any such claim for extra work
and materials assertedly made necessary by reason of
the so-called "Change" order.
Subsequently, such affidavit and supporting
data were furnished by Contractor and are now in the
main file relative to said claim.

At some stage in these proceedings on this
claim (the exact date being at this date unknown to
the undersigned) and after a detailed check of the records
of the Department of Public Works in relation to this project
"Change" , the said Department established a reasonable
price to be paid for the settlement of this claim made
by the Contractor and submitted under the so-called
Change Order. The amount determined by the Department
as reasonable payment for the extra work involved by
reason of the Change Order was in the sum of $75, 374.84.

CONCLUSIONS
We here set out the facts in reference to
this matter in chronological fashion so that explanation
of such facts may be made more concisely to the Council
in this matter.
First , we make two points clear as far as this
office is concerned.
(1) Ours is not the responsibility- to pass on
the question of the amount determined to be a reasonable
figure for settlement of this claim. The sum of $75, 374.84
as set by the Department seemingly is a reasonable figure.
The determination of this figure was founded on bases set
out fully in Mr. Shepard's communication to ILr. Hurley of
May 3, 1957 , and June 20, 1957.
(2) The obligation of this office, as we see it ,
is to advise the Council as to the legality of the procedure
involved in settlement of said claim.
eJa advise the Council that it has the power,
by resolution, tc approve the additions made in accordance
with the specifications and the properly executed "Contract
Change Order" in the amount arrived at by the Department
of Public Works , and authorize the settlement of the claim
made by such Contractor in connection with the said project.

The Charter of the City of Saint Paul makes
provision for such a "Contract Change Order" as was
executed in this matter.
(Sec. 95. " * * * No claim or extra labor
or material shall be allowed unless the
cost thereof has been fully agreed upon
by the department for which the labor
or material is furnished and the contrac-
tor, and a memorandum of said agreement
has been filed with the comptroller and
countersigned by him prior to the furnish-
ing of such extra labor or material. " )
Competitive bidding requirements in a
home rule charter do not bar the making
of changes or alterations in the plans
of a valid written contract for the
construction of a public work when
• the right to make such changes or
alterations is reserved in the contract
itself .

In the contract between the City and Contractor
of -which the project specifications are made a part, we
find the following :
1. 31-General Specifications
"The Engineer reserves the right to make
such reasonable changes , additions or deduc-
tions in the plans and specifications as may
be necessary to meet exigencies of particular
situations when, in the opinion of the Engineer,
such changes are necessary or desirable. In
which case or cases , if such changes entail
an additional expense upon the contractor, an
allowance will be made therefor, and if such
change or changes reduce the amount of work,
labor or material which otherwise would be
necessary under the contract , a corresponding

deduction will be made from the contract
price. The allowance or deduction in
either case shall be determined by the
Commissioner of Public Works and his
determination thereon shall be final.
Such determination shall , however, as
far as practicable be based upon the
unit prices given in the schedule of
prices for the same or similar work in
these specifications . No allowance will
be made for anticipated profits . "
We find that the "Contract Change Order" in
this particular case answers the requirement of the
Charter and the Contract Specifications .
One more matter might well receive our comment,
and that is the adjustment in this settlement of claim
of the prices per cubic yard of Class A and Class C
concrete to an agreed price differing from the unit
prices in the Schedule of Prices in the Specifications .
It appears that the prices for this material as set out
in the Specifications for concrete were based on 1948
figures . It is my opinion that any settlement offered
by the Department of Public Works in the matter of this
claim can properly and legally adjust the figures to the
level of unit prices current at the time the Change Order
was carried out by the Contractor. Any other basis for
the adjustment of this particular item involved in the
Change Order would, it appears to me, be wholly inequitable.
On the basis of the facts detailed at length
hereinabove and on the conclusions which this office has
arrived at , we advise you that it is proper for the Council
to make settlement of this claim.
We furnish you herewith a form of resolution
which you may use if , in your discretion, you arrive
at the conclusion that the settlement of the disputed
claim should be in the amount and for the reasons set
out in the said Resolution.

specify a number of extra items including :

No items involving steel sheeting , additional dewatering ,
and additional excavation are listed .
If we are to proceed immediately witn this revision in t;;e
619' area , we rightfully should be compensated for the
legitimate additional expense not contemplated by either
party. As your Engineers know , it is necessary to steel
sheet this area in order to dewater to permit pouring the
concrete saddle and to maintain the banks in place at this
new depth in this unstable ground. We should also be
compensated for the dewatering itself in this depth not
originally contemplated .
We also are now required to excavate an additional 21 feet
to provide depth for the saddle , and in addition we are now
requested to pour concrete under winter conditions and tai

preheating of the ready-mix and the additional heat and
covering required to cure the concrete raises our cost over
and above the schedule your office attached to the contract.

RESOLVED, That the Council hereby approves the award of the Purchasing
Committee therefor and hereby awards contract for furnishing and delivering
to the City of St. Paul Water Department Purification Plant, Soo Line
Siding, St. Paul, Minnesota, One Years Supply (to July 15, 1958) - approximately
450 tons • Solvay Liquid Chlorine in carload shipments of 30 tons each, to
MATERIAL SUPPLY CORPORATION at a contract price of appriximately $38,160.00
f.o.b. point of delivery, in accordance with City specifications and the
Formal Bid 706490 of said Material Supply Corporation, said bidder being a
reasonable and reliable one and the Corporation Counsel be and hereby is
directed to draw up the proper form of contract therefor and the proper
City offitials hereby are authorized to execute said contract on behalf
of the City of St.Paul.
