WHEREAS, the Department of Emergency Management applied for the 2007 Citizen Coip Pzogam Grant of $10,250.00 to
enhance the City of Saint Paul's citizen ou4each, educarion and involvement in emergency prepazedness, disaster response, and
recovery and mitigation efforts,
WHEREAS, the onginal contract was approved on Council Resolurion 07-1076, and
WHEREAS, the fust rimeline extension was approved on Council Resolution 08-886, and
WHEREAS, the State of Minnesota, through an amendment to the original contract, has extended the end date of the onginal
grant in ocder to allow sufficlent time for pcoject completion, and
NOW THEREFORE IT BE RESOLVED, that the proper City offic9als aze heieby authorized and diTected to execute a grant
contract amendment for a rimeline extension with the State of Minnesota, Aepartrnent of Public Safety as provided by the Saint
PauPs Deparhnent of Emergency Management; a copy of said agreement is to be kept on file and of record in the Office of
Financial Services.

The Ciry of Saint Paul has previously been awazded a 2007 Citizen Corp Program Grant for $10,250.00 from the State of Minnesota.
The State of Minnesota has granted additiona] time for the City to complete the tasks and services covered by the grant. The purpose
of this grant is to establish a Citizen Corp Covncil and develop a Cidzen Prepazedness and Participation Plan to buiId citizen
participarion in planning, responding to, and recovering from disasters and emergencies.

The crea6on of a Community Emergency Response Team (CERT) will pmvide a ci4zen group ofi trained response & support officials
that are integreted wifh 8 supporfing pubiic safety 2sponders in disaster mitigat�on, preparedness, response & recovery efforts. The
CERT would directiy support expanded regional collaboration by becoming a 2gionai asset availabie to otherjurisdicUons in the metro
area. Following CERT training & certifica5on, the Samt Paul CERT members will be selected & trained to "special¢e" in certain
high-demand response & support roles during ptanning, response & recovery operafions: t) pubiic oWeach/education; 2) amateur
radio support, 3) VIPS program involvement, and 4) EOC support. These specialized talents will be availabie to organizat�ons &
agenaes region-wide. Infiai program goais would be 50 CERT members. Ideally, after basic CERT training, 20 would be selected for
VIPS; 10 as public educaGon spedalists; 1 D for amateur redio support; and 10 for EOC support roles. The CERT aiso prov�des an
excelient opportunity to grow diversity in the City's Emergency Management Program. MN Emergency Managers are predominantly
Caucasian. CERT provides an exceptionai opportunity to invofve & promote diversity, provid�ng the Emergency Management program
with insights on the speafic needs & talents of different cuftural communrtes, and provides the opportunity to grow a diverse group of
emergency management professionals for the future.

7he CERT will fortn the basis of community participafion and public ouheach efforts for Saint Paul Emergency Management, correcting
a long-standing defiat in city disaster readiness efforts. CERT members wiil be selected and specialiy trained to perfonn traditional
CER7 activities of neighbor-helping-neighbor in fimes of cnsis. In add'Rion, however, s@iected CERT members with the talent and
desire for inore spedaf¢ed operetions will be invoived in 4 areas: public education, amafeur 2dio support, VIPS, and EOC support.
The public education group will be engaged in outreach edupfion and training of other dfizens and cif¢en groups. These CERT
Public Eduption Speciafists will provide ha�ds-on demonstrations on how to build emergency kits, how to prepare homes and
businesses for disasters, and other p2cfical preparedness activi5es. We will go from "here's a websde of infortnaLon.." to "let me
show you how to do it...." Citizens training their neighbors and family members will provide a signficant boost to citizen involvement
and participafion. Likewise, the other CERT "speciaiists" in amateur radio, VIPS, and EOC operations/support will directiy involve the
citizenry in emergency management and public safety work where personnel resources are limited, and the need during disasters us
always high. New specialty areas can be develed in the future as the needs of the aty and the cit¢ens change,-

Police fieserre Progsam into a format, organized, and vibrant ViPS pmg2m would iead to mcreased cit¢en exposure and recrvNng
efforts, increased parficipation finm a wider vanety of citizens groups, and "baseline traming" before starting the VIPS program (all
VIPS members would come from the CERT program and 2cerve basic CERT training and educafion). The regionai infegrefion and
mutual support of VIPS programs thrpughout the metro area and state would provide the Pofice Reserve Program with inaeased
perspecfive, lessons leamed and 6est prachces, and ensure regional coltaboretion for major events like the 2008 Repubiiqn National
Converriion.

FEDERAL AUDIT REQUIREMENTS

For subrecioients that are state or local oovemments. non-orofit oraanizations or Indian trfbes
If the grantee expends tofal federal assistance of �500,000 or more per year, the granfee agrees to obtain either a
single audit or a program-specific audit made for the fiscal year in accordance with the terms of the Singie Audit Act
Amendments of 1896.
Audifs shall be made annually unless the state or local govemment has, by January 1, 9987, a constitutional or
statutory requirement for less frequent audifs. For thos� govemments, the federal cognizant agency shall permit
biennial audits, covering both years, 'rf fhe govemmenf so requests. It shall also honor requests for biennial audits by
govemments that have an administrafive poficy calfing for audits less frequent than annual, but only audits prior to
1987 or administrative policies in place prior to January 1, 1987.
For subrecioients that are institufions of hiaher educafion or hosoitals
If the grantee expends total direct and indirect federal assistance of $500,000 or more per year, the grantee agrees
to obtain a financial and compiiance audit made in accordance with OMB Circular A-110 "Requirements for Grants
and Agreements with Universities, Hospitals and Other Nonprofit Organizations" as applicable. The audit shall cover
either the en6re organization or all federal funds of the organization.
The audit must detertnine whether the subrecipient spent federal assistance funds in accordance with applicable
taws and regutations. .
2. The audit shafl 6e made by a� independent auditor. An independent auditor is a state or {ocal govemment auditor or
a public accountant who meets the independence standards specfied in the General Accounting OfFice's "Standards
for Audit of Govemmental Organizafions, Programs, AcSVities, and Functions "
3. The audit reporf shali state that the audit was perFormed in accordance with the provisions of OMB Circular A-133 (or
A-110 as applicabfe).
The reporting requirements for audit reports shall be in accordance with the American Ins4itute of Cerfified Pubiic
Accounts' (AICPA) audit guide, "Audits of State and Local Govemmental Units," issued in '1986. The federal
govemment has approved fhe use of the audit guide.
in addition to the audit report, the recipient shall provide comments on the findings and recommendations in the
report, including a plan for correc6ve ac5on take� or planned and comments on the status of corcective action taken
on prior findings. If correcfive acEion is not necessary, a statement describing the reason it is not shouid accompany
the audit report.
4. The grantee agrees that tfie grantor, the Legislative Auditor, the State Auditor, and any independent auditor
des+gnated by the grantor shall have such accsss to grantee's records and finanaa4 statements as may be necessary
for the grantor to compiy with the Single Audit Act Amendments of 1996 and OMB Circular A-133.
5. Grantees of federal financial assistance from subrecipients are aiso required to comply with the Singie Audit Act and
OMB CircularA-133.
6. The Statement of Expenditures form can be used for the schedule of federal assistance.
7. The grentee agrees to retain documentation to support the schedule of federel assistance ior at least four years.

grant contract.
2 Federal funds for this grant contract are provided from the 2006 Homeland Security Grant Program, Award
Number2006-GE-T6-0005 for the Citizen Corps Program (CCP).
3 The State needs to allocate and disburse federal funds for the Citizen Corps Program to eiigibte recipients.
4 The Granlee represents that it is duly qualified and a to perform all services described in this grant

1 Term of Grant Contract

l.l Effeckve date: AuQUSt 1. 2007, or the date the State obtains all required signatures under Minnesota
Statutes Section 16C.0�, subdivision 2, whichever is later. Once this grant contract is fully executed,
the Grantee may claim reimbursement for expenditures incurred pursuant to Clause 4:2 of this gant
contract. Reimbursements will only be made for those expenditures made according to the terms of this
grant contract.
1.2 F,xpirakan date: June 30, 2008, or until al1 obIigations have been satisfactorily fulfilled, whichever
occurs first.
13 Survival of Terms. "1'he following ciauses survive the expiration or cancellation of this grant contract:

Goveming Law, Jurisdiction, and Venue; and 15. Data Disclosure.
2 Grantee's Duties
The Grantee, who is not a state employee, wili:
21 Perfortn the services and tasks as submitted and approved by the State in the Grantee's 2006 Citizen
Corps Program Grant Application, Attachment A, which is attached and incorporated into this grant
contract.
2.2 Comply with the standards and requirements attached and incorporated into this grant contract. These
addifioual standards and requirements aze the following:
(1) Federal Audit Requuements, labeled Attachment B, which is attached and incorporated into this
grant contract.
(2) Federal Assurances, labeled Attachment C, which is attached and incorporated into this grant
contract.
(3) For Grantees receiving federal funds over $100,000.00, the Grantee must complete and retum the
Certification Reaarding Lobbying; Debarment, Suspension, and Other Responsibility Matters; and
Drug-Free Workplace Requirements, Iabeled Attachment D, which is attached and incorporated into
this grant contract.
23 Use this funding to develop and implement or enhance Citizen Corps Program activities. Fuc�ds
approved under this grant contract shall be used to supplement and sha11 not be used to supplant non-
federal funds dedicated to this effort. The Grantee may be required to supply documentation certifying

that a reduction in non-federal resources occurred for reasons other than the receipt or expected receipt
of federal funds.
2.4 Use no more than 3% of this grant award for management and adminish activities specified in the
Minnesota 2006 Citizen Corps Program guidance which is incorporated by reference into this �rant
contract
3 Time
The Grantee must compiy with a11 the time requirements described in this grant contract. In the
performance of this grant contract, time is of the essence.
Consideration and Payment
4.1 Consideration. T'he State will pay for all services performed by the Grantee under this grant contract as
follows:
(1) Compensation. The Grantee will be reimbursed an amount not to exceed $] 0,250.00 according to
the breakdown of costs in Attachment A. The Grantee will submit a written change request for any
su6stitution of budget items in Attachment A, or any deviaYion of more than 15% from the approved
budget category amounts in Attactunent A. Change requests for substitution of budget items, or a
deviation of more than 15% from the approved budget category amount must be given in writing to
the State's Authorized Representafive and at least 60 days prior fo the Expiration date of this grant
cantract. Grantees whose requests have been approved will be notified in writing by the Sfate's
Authorized Representative to the Grantee's Authorized Representative. Requests must be approved
prior to any expenditure by the Grantee.
(2) Matching Requirements. (If Applicable) Grantee certifies that the following matching requirement,
for the grant contract, will be met by the Grantee $0_00.
(3} Total Obligation. The total obiigation of the State for all compensation and reimbursements to the
Grantee under this grant contract will not exceed $10.250.00 .
4.2 Payment
(1) Financial Status ReportlPayment Kequest The State will promptly pay the Grantee after the
Grantee presents a Financiat Status Report/Payment Request for the services actually performed and
the State's Authorized Representative accepts the invoiced services. Financial Status
ReportfPayment Request must be submitted timely and according to the following schedule:
a. Grantee will submit the Financial Status ReporUPayment Request along with copies of the
Grantee's itemized invoices for actual costs incurred quarterly, but not more often than monthly,
and within 30 days of the period covered by the Financial Status Report/Payment Request.
b. Expenditures for each state fiscal yeaz (July through Juna) of this grant contract must be for
services satisfactorily performed within appIicable state fiscal years. The fmal Financial Status
Report/Payment Request of this grant contract must be received by the State no later than 30
days afrer the Expiration date of this grant contract.
c. Grantee will submit financial and narrative perfonnance reports at least quarterly, but not more
often than monthly. The narrative performance report shall consist of a compazison of actua]
accomplishments to the approved work plan in Attachtnent A. These reports must be submitted
before reimbursement will be paid.
(2) Federal funds. (Where applicable, if blank ihis section does not appiy) Payments under this b ant
contract wil] be made from federal funds obtained by the State through CFDA # 97.067, Public Law
108-7, the Denartment of Homeland Securit�� Aonropriations Act 2005 The Cnantee is responsible
for compIiance with all federal requirements imposed on these fun�s and accepts full financial
responsibility for any requirements imposed by the Grantee's fai9ure to comply with federal

Conditions of Payment
All services provided by the Grantee under this grant contract must be performed to the State's
sarisfaction, as determined at the sole discretion of the State's Authorized RepresentaYive and in
accordance with all applicable federal, state, and local laws, ordinances, ru(es, and rea lations. The
Grantee will not receive payment for work found by the 5tate to be unsatisfactory or performed in
violation of federal, state, or local lak�.

7 rissi;nment, Amendments, Waiver, and Grant Contract Complete
7.1 AssignmenL The Grantee may neither assign nor transfer any rights or obligations under this grant
contract wiYhout the prior consent of the State and a fully executed Assignment Agreement, executed
and approved by the same parties who executed and approved this gant contract, or their successors
in office.
72 Amendments. Any amendment to this grant contract must be in writing and will not be effective
until it has been executed and approved by the same parties who executed and approved the original
grant contract, or their successors in office.
7.3 Waiven If the State fails to enforce any provision of this grant contract, that failure does not waive
the provision or its right to enforce it.
7.4 Grant Contract Complete This b ant contract contains all negotiations and agreements between the
� State and the Grantee. No other understanding regarding this grant contract, whether written or oral,
may be used to bind either party.
Liability
The Grante.� must indemnify, save, and hold the State, its agents, and employees harmless from any
claims or causes of action, including attomey's fees incurred by the State, arising from the performance
of this grant contract by the Grantee or the Grantee's agents or employees. This clause will not be
construed to baz any legal remedies the Grautee may have for the State's failure to fixifill its obIigafions
under this grant contract.
9 State Audits
Under Minn. Stat. § 16C.05, subd. 5, the Grantee's books, records, documents, and accounting
procedures and practices relevant to this grant contract are subject to examination by the State andlor the
State Auditor or Legislative Auditor, as appropriate, for a minimum of six years from the end of this
gant contract.

10 Government Dafa PracYices
The Grantee and State must comply with the Minnesota Govemment Data Practices Act, Minn. Stat. Ch.
li, as it applies to aIl data provided by the State under this grant contract, and as if applies to all data
created, collected, received, stored, used, maintained or disseminated by the Grantee under this grant
contract The civil remedies of Minn. Stat. § 13.08 apply to the zetease of the data referred to in this
clause by either the Grantee or the State.
If the Grantee receives a request to release the data referred to in this Clause, the Grantee must
immediately notify the State. The State will give the Grantee instructions conceming the re]ease of the
data to the requesfing parry before the data is released.
11 Workers' Compensation
The Grantee certifies t1�at it is in compliance with Minn. Stat.§ 176.181, subd. 2, pertaining to workers'
compensation insurance coverage. The Grantee's employees and agents will not be considered State
employees. Any claims that may arise under the Minnesota Workers' Compensation Act on behalf of
these employees and any c[aims made by any third pariy as a consequence of any act or omission on the
part of these employees are in no way the State's obIigation or responsibility.
12 PubIicity aud Endorsement
12.1 Publicity. Any publicity regarding the subject matter ofthis b ant contracf must identify the State
as the sponsoring agency and must not be released without prior written approval from the State's
Authorized Representative. For purposes of this provision, publicity includes notices,
informational pamphlets, press releases, research, reports, sib s, and similaz public notices
prepared by or for the Grantee individually or jointly with others, or any subcontractors, with
respect to the progam, publications, or serv3ces provided resulting from this grant contract.
122 Endorsement. The Grantee must not claim that the State endorses its products or services.
13 Governing Law, 3urisdicfion, and Venue
Minnesota law, wiffiouf regazd to its choice-of-law provisions, govems this grant contract. Venue for ali
legal proceedings out of this grant contract, or its breach, must be in the appropriate state or federal
court with competent jurisdiction in Ramsey County, Minnesota.
14 TerminaHon
14.1 Termination by the Stat� The State may cancel this grant contract at any time, with or without
cause, upon 30 days' written notice to the Grantee. Upon termination, the Grantee will be en6tled
to payment, determined on a pro rata basis, for services satisfactorily performed.
14:? Termination for Insufficient Funding. The State may itnmediately terminate this grant contract
if it does not obtain funding from the Minnesota Legislature, or other funding source; or if funding
cannot be continued at a level sufficient to allow for the payment of the services covered here.
Termination must be by written or faz notice to the Grantee. The State is not obligated to pay for
any services that are provided after notice and effective date of terminafion. However, the Grantee
will be entitled to payment, determined on a pro rata basis, for services satisfactorily performed to
the extent that funds aze available. The State will not be assessed any penalty if the grant contract
is terminated because of the decision of the Minnesota Legislature, or other funding source, not to
appropriate funds. The State must provide the Crrantee notice of the lack of funding within a
reasonable time of the State receiving tt�at notice.
7 43 Termination for Failure to Comply. The State may cancel this b ant contract immediately if the
State fmds that there has been a failure to comply with the provisions of this grant, that reasonable

progress has not been made or that the purpose for which the funds were granted have not been or
will not be fulfilled. The State may take action to protect the interests of the State of Minnesota,
including the refusal to disburse additional funds and requiring the return of all or part of the funds

15 Data Disclosnre
Under Minn. StaL§ 270C.65, and other applicable law, the Grantee consents to disclosure of its social
securify number, federal employer tax identification number, and/or Minnesota taY identification
number, already provided to the State, to federal and state tax agencies and state personnel involved in
the payment of state obligations. T'hese identification numbers may be used in the enforcement of
federal and state tat laws which could result in action requiring the Grantee to file state tax returns and
pay delinquent state tax liabilities, if any, or pay other state liabilities.
