WHEREAS, the City of Saint Paul, Department of Parks and Recreation has a cooperative partner in the Capitol
Region Watershed Distsict (CRWD), and;
WHEREAS, the CRWD has offered to enter into a$7,000 agreement with Parks and Recreation to be used to fund a
natural resource intern in 2009, and;
WHEREAS, spending authority for these funds exists in special fund 33196 (Environmental Permits and Planning),
and;
10 THEREFORE, BE IT RESOLVED, that the City Council authorizes City of Saint Paul staff to enter into the
I 1 necessary agreements to receive intern funding from the CRWD.

Agreement between the Capitol Region Watershed District and the City of 5� Paul, Parks and
Recrearion Division
Re: 2009 Natural Resources Intern Cost-share for costs related to environmental assessments
THIS AGREEMENT, by and between the City of St. Paul Parks and Recreafion Division,
Minnesota, a municipal corporation, hereinafter referred to as the "City", and the Capitol
Region Watershed District, hereinafter referred to as the "DistricP'.
WITNESSETH:
WHEREAS, the City, District, Ramsey SWCD, Ramsey County and the City have collaborated
on shoreland and rain garden projects that benefit parks, natural resources and water
resources such as Como Lake; and
WHEREAS, the City is cooperating to ensure the successful implementation and maintenance
af the shoreland and rain garden projects on which the District, Ramsey SWCD, Ramsey
County and the City have collaborated.
WHEREAS, the City does not have the resources to focns on specialized vegetation
maintenance, monitoring and on-site interacfive education; and
WHEREAS, the City does not have the specialized knowledge base to fulfill the required
maintenance and education objectives; and �
WHEREAS, the District desires to aid the City in obtaining the resources to ensure the
successful implementation and maintenance of the shoreland and rain garden projects; and
WHEREAS, the District Board of Managers have approved $7,OOQ towards staffing costs
related to the Natural Resources Intern for restoration maintenance, natural area and
wildlife surveys, invasive plant monitoring and control, water-quality education aad
interpretation and participation in and/or leading volunteer natural resource activiries;
and
NOW, THEREFORE, IT IS HEREBY MUTUALLY AGREED AS FOLLOW5:
The City shall announce, hire and manage the Natural Resources Intern for the City of Saint
Paul's Park and Recreation Division's Natural Resource Prngram. The District shall
reimburse the City for staff costs related to Natural Resources Intern. The reimbursement
shall not ezceed �7,000. Monthly payments will be in the form oF reimbursement following
receipt of documentation from the City that the work has been completed satisfactorily.

The City is responsibie for all payments and disputes relating to the individual used for this
project. The City shall provide to the District finai reports and studies related to the activities
of the Natural Resources Intem. �� (� r I/ �

The City and District agree to be responsible for their own acts and omissions and hold each
other harmless from any and all claims, causes of action, lawsuits, judgments, charges,
demands, costs and expenses including, but not limited to, interest involved therein and
attorneys' fees and costs and e%penses connected therewith, arising out of or resulting from the
failure of either party to safisfy the provisions of this agreement or for damages caused to
fourth parties as a result of the manner in which the City or District perForm or fail to perform
duties imposed on each party by the terms of this agreement Nothing herein shall be deemed a
waiver of the statutory limits of liability of either party.
It is understood and agreed by the parties hereto that this agreement shalt not be modified or
amended except in writing duly signed by each of the parties.
This agreement shall remain in full force and effect until terminated by mutual agreement of
the City and the District.
