RESOLUTION APPROVING AND AUTHORIZING THE
EXECUTION OF A SETTLEMENT AGREEMENT WITH
EXXONMOBIL OIL CORPORATION
A. WHEREAS, the Housing and Redevelopment Authority of the City of Saint Paul,

Minnesota ("Authority") has approved a settlement agreement ("Settlement AgreemenY') with Exxon
Mobil Oil Corporation ("Exxon") regazding the condemnation of land owned by ExxonMobil within the
Koch-Mobil Redevelopment Project azea, and
B. WHEREAS, as part of that Settlement Agreement the City is being asked to assume and
perform the Authority's obligations thereunder upon the dissolution of the Authority and the City of Saint
Paul is willing to do so;
NOW, THEREFORE, BE IT RESOLVED by the Saint Paul City Council as follows:
Section 1. The City of Saint Paul hereby approves the Settlement Amendment with E�on in
substantially the form submitted, and the Mayor, City Clerk and Director, Off'ice of Financial Services are
hereby authorized and directed to execute the Settlement Amendment on behalf of the City of Saint Paul.
The Director of the Department of Planning and Economic Development is hereby authorized to negotiate
and agree to any amendments, deletions or revisions to the Settlement Amendment which do not
substantially change the rights or obligations of the Ciry of Saint Paul provided that such amendments are
acceptable in form and substance to the Saint Paul City Attorney.
Section 2. The City of Saint Pau1 staff and legal counsel for the City of Saint Paul are further
directed and authorized to take all actions necessary to implement this resolution and the PED Director is
authorized to execute any documents and instruments in connection therewith.
