PAUL PARKS AND RECREATION FOR FEDERAL PARTICIPATION IN CONSTRUCTION FOR S.P. 91-090-45; M.P. TEAX 6209(013) This agreement is entered into by and between ST. PAUL PARKS AND RECREATION ("SPPR") and the State of Minnesota acting through its Commissioner of Transportation ("Mn/DOT"), Pursuant to Minnesota Statutes Section 161.36, the SPPR desires Mn/DOT to act as the SPPR's agent to accept and disburse federal funds for the construction, improvement, or enhancement of transportation financed in whole or in part by federal funds. The SPPR is proposing a federal aid project to construct a trailhead facility for Phalen Arcade Pazk in St. Paul Minnesota, hereinafter referred to as the "Project(s)"; and The Project is eligible for the expenditure of federal aid funds, and is identified in Mn/DOT records as State Project 91-090-45, and in Federal Highway Administration ("FHWA") records as Minnesota Project TEAX 6209(013); and Mn/DOT requires that the terms and conditions of this agency be set forth in an agreement. THE PARTIES AGREE AS FOLLOWS: I. DUTIES OF THE SPPR. A. DESIGNATION. The SPPR designates Mn/DOT to act as its agent to accept and disburse federal funds made available for the Project. For details on the procedures to foliow see: http�//www dot state mn us/stateaid/dcp/dcpchecklist.htm. B. STAFFING. The SPPR wili designate a publicly employed registered engineer, ("Project Engineer"), to be in responsible charge of the Project and to supervise and direct the work to be performed under any construction contract let for the Project. If SPPR elects to use a private consultant for engineering services, the SPPR wili provide a qualified, fuil-time public employee of the SPPR, to be in responsible charge of the Project. The services of the SPPR to be performed � Agreement no. 93812 -t- pursuant to this agreemenY may not be assigned, sublet, or transferred unless the SPPR is notified in writing by Mn/DOT that such action is pemuYted under 23 CFR 133 and 23 CFR 635.105 and state law. This wri#en consent will in no way relieve the SPPR from its primary responsibility for performance of the wark. 2. Duriug the progress of the work on the Project, the SPPR authorizes its Project Engineer to request in writing specific engineering and/or technical services from Mn1D0"I', pursuant to Mii�nesota Statutes Section 15139. Such services may be covered by other technical service agreements_ If McJDOT' fiimishes the services requested, and if Mn/DOT requests reimbursement, then the SPPR cvill promptly pay IvIn/DOT to reimburse the state trunk highway fund for the fulI cost and expense of fun�ishing such services. The costs and expenses will include the current Mn/DOT labor additives and overhead rates, subject to adjustment based on actual direct costs that have been verified by audit Provision of such services will not be deemed to make Mn/DOT a principal or co-principal with respect to Yhe Project. 3. The SPPR will fumish the personnei, services, supplies, and equipment necessary to properly supervise, inspect, and document the work for the Project. - C. LETTING. The SPPR will prepaze construction contracts in accordance with Minnesota Iaw and applicable Federal laws and reguIafions. 1. The SPPR will solicit bids after obtaining written norification from Mi�/DOT that the Federal Highway Administration ("FHWA") has authorized the Project. Any Project advertised prior to authorization will not be eligible for federal reimbursement. 2. The SPPR will prepaze the Proposal for Highway Construction for the construction contract, which wili include all of the federal-aid provisions supplied by Mn/DOT. 3. The SPPR will prepaze and publish the bid solicitation for the Project as required by state and federal laws. The SPPR will include in the solicitation the required language for federal-aid contracts as supplied by Mi�/DOT. The solicita#ion will state where the proposals, plans, and specifications aze available for the inspection of prospecrive bidders. The solicitation will state where the SPPR wiil receive the sealed bids. 4. The SPPR may not include other work in the contract for the authorized Project without obtaiuiug prior notification from Mn/DOT that such work is altowed by FHWA. Faiture to obtain such notificafion may result in the loss of some or all of the federal funds for the Project. 5. The SPPR will prepaze and sell the plan and proposal packages and prepaze and distribute any addendums, if needed. Agreement no. 93812 -2- D�1�D� 6. The SPPR will receive, open, and evaluate bids. 7. After the bids are opened, Yhe SPPR governing body will consider the bids and will award the contract as required by state and federal laws, or reject all bids. If the bid contains a goal for Disadvantaged Business Enterprises, the SPPR will not award the contract until it has received certification of the Disadvantaged Business EnterQrise participation from the Mc�/DOT Equal Employment Opportunity Office. D. SUBLETTING. The SPPR will prepare request for proposals in accordance with Minnesota law and applicable Federal laws and regulations. 1. The SPPR will solicit proposals for construction engineering services after obtaining written notification from Mn/DOT that the FHWA has authorized the Project. Any Project advertised prior to authorization will not be eligible for federal reimbursement. 2. The SPPR will prepate the request for proposal, which will include all of the federal-aid provisions supplied by Mn/DOT. 3. The SPPR will prepare and publish the proposal solicitation for the Project as required by state and federal laws. The SPPR will inciude in the solicitation the required language for federal-aid contracts as supplied by Mn/DOT. The solicitation will state where the SPPR will receive the proposals. 4. The SPPR may not include other work in the contract for the authorized Project without obtaining prior notification from M��/DOT that such work is allowed by FHWA. Failure to obtain such notification may result in the loss of some or all of the federai funds for the Project. 5. The SPPR will prepare proposal packages and prepare and distribute any addendums, if needed. 6. The SPPR will receive open, and evaluate proposals. 7. After the proposals aze opened, the SPPR will consider the proposals begin negotiations on the price of the Construction Engineering in accordance with the practice commonly known as Quality Based Selection. If the proposal contains a goal for Disadvantaged Business Enterprises, the SPPR will not award the bid until it has received certification of the Disadvantaged Business Enterprise participation from the �vin/DOT Equal Employment Opportunity Office. 8. This written consent wiil in no way relieve the SPPR from its primary responsibility for performance of the work. Subcontractor agreements must contain all appropriate terms and conditions of this agreement. Agreement no. 93$12 -3- E. CONTRACT ADMINISTRATION. L The SPPR will prepaze and execute a conshuction contract with the Contractor, in accordance with the special provisions and the latest edition of N1v/DOT's Standazd Specificarions for Constnxction. 2_ The Project wili be consiructed in accordance with plans, special provisions, and standard specifications of each Project The standard specifications will be the latest edition of Mn/DOT Standard Specifications for Highway Construction, and all amendments thereto. The plans, special provisions, and standard specifications wiil be on file at the SPPR Engineer's Office. The plans, speciai provisions, and spec�cations aze incorporated into this agreement by reference as though fixlly set forth herein. 3. The SPPR wiIl fiirnish the personnei, services, supplies, arid equipment necessary to properly supervise; inspect, and document the work for the Project. The services of the SPPR to be performed pursuant to this agreement may not be assigned, sublet, or �ansferred unless the SPPR is norified in writing by Mv/DOT that such action is permiued under 23 CFR 133 and 23 CFR 635_105 and state law. This written consent will in no way relieve the SPPR from its prunary responsibility foz performance of the work. 4. The SPPR will document quantities in accordance with the guidelines set forth in the Mn/DOT Contract Administration Manual Sections 410 and 420 that were in effect at the time the wark was performed. 5. "fhe SPPR will test materials in accordance with the Mn/DOT Schedule of Materials Control in effect at the time each Project was iet. The SPPR wili notify Mn/DOT when work is in progress on the Project that requires observation by the Independent Assurance Inspector as required by the Independent Assurance Schedule. 6. The SPPR may make changes in the plans or the character of the work, as may be necessary to complete the Project, and may enter into supplemental agreement(s) with the individual, firm, or corporation contracting for and undertaking prosecution of the prescribed work (hereinafter "Contractor"). The SPPR wiil not be reunbursed for any costs of any work performed under a supplemental agreement unless Mn/DOT has notified the SPPR that the subject work is eligible for federal funds and sufFicient federal funds are availabie. 7. The SPPR will request approvai from Mi�/DOT for all cos#s in excess of the amount of federal funds previously approved for the Project prior to incurring such eosts. Failure to obtain such approval may result in such costs being disallowed for reimbursement. Agreement no. 93812 -4- 0�1�0� 8. The SPPR will prepare reports, keep records, and perform work so as to enable Mn/D03' to collect the federal aid sought by the SPPR. Required reports aze listed in Yhe Mv/DOT State Aid Manua1, Delegated Contract Process Checklist, available from Mn/DOT's authorized representative. The SPPR will retain ali records and reports in accordance with Mn/DOT's record retention schedule for federal aid projects_ 9. Upon completion of the Project, the ProjecY Engineer wili determine whether the work will be accepted. F. PAYMENTS FOR CONSTRUCTION OF THE PROJECT. 1. The entire cost of the Project is to be paid from federal funds made available by the FHWA and by other funds provided by the SPPR. The SPPR will pay any part of the cost or expense of the Project that is not paid by federai funds. 2. The SPPR will prepaze partial estimates in accordance with the terms of the construction contract for the Project. The Project Engineer will certify the amount of each partial esfimate. Following certification of the partial estimate, the SPPR will make partial payments to the Contractor in accordance with the terms of the construction contract for the Project. 3. Following certification of the partial estimate, the SPPR may request reimbursement for costs eligible for federal funds. The SPPR's request will be made to Mn/DOT and will include a copy of the certified partial estimate. 4. Upon completion of the Project, the SPPR will prepaze a final estimate in accordance with the terms of the construction contract for the Project. The Project Engineer will certify the final estimate. Following certification of the final estimate, the SPPR will make the final payment to the Contractor in accordance with the terms of the construction contract for the Project. 5. Following certification, by the Project Engineer, of the final estimate, the SPPR may request reimbursement for costs eligible for federal funds. The SPPR's request wili be made to Mn/DOT and will include a copy of the certified final estimate along with the required records. G. LIMITATIONS. 1. The SPPR must comply with all applicable Federai, State, and local laws, ordinances, and regulations. 2. Nondiscrimination. It is the policy of the FHWA and the State of Minnesota that no person in the United States will, on the grounds of race, color, or national origin, be excluded from participation in, be denied the benefits of, or be subjected to discrimination under any program or activity receiving Federal financial assistance (42 U.S.C. 2000d). Through expansion of the mandate for nondiscrimination in Title VI and through parallel legislation, the prescribed Agreement no. 93812 -5- bases of discriu�ivation include race, color, sex, na#ional origin, age, and disability. In addirion, the Title VI prograni has been extended to cover all progratus, activities and services of an entity receiving Federal financial assistance, whether such programs and activiries are Federally assisted or not. Even in the absence of prior discriminatory practice or usage, a recipient in administering a program or activity to rvhich this part applies, is expected to take affirmative action to assure that no person is excluded from participation in, or is denied the benefits of, the program or activity on fhe grounds of race, color, national origin, se� age, or disability. It is the responsibifity of the SPPR to carry out the above requirements. 3. Workers' Compensa6on. Any and ail employees of the SPPR or other persons while engaged in the performance of any work or services required or permitted by the SPPR under ttus agreemenY will not be considered employees of Iv1i�/DOT, and any and all clauns that may arise under the Workers' Compensation Act of Minnesota on behalf of said employees, or other persons while so engaged, wiil in no way be the obligation or responsibiiity of Mn/DOT. The SPPR wili require proof of Workers' Compensafion Insurance from any contractor and sub-contractor. 4. Utilities. The SPPR will treat all public, private or cooperatively owned utility faciiities which directly or indirectly serve the public and which occupy highway rights of way in conformance with 23 CFR 645 "Utilities" which is incorporated herein by reference. H. AUDIT. 1. The SPPR wili comply with the Single Audit Act of 1984 and Office of Management and Budget (OMB) circulaz A-133 including amendments and successors thereto, which aze incorporated herein by reference. 2. As provided under Minnesota Statutes Secrion 16C.05, subdivision 5, all books, records, documents, and accounting procedures and practices of the SPPR aze subject to examination by the United States Government, Mn/DOT, and either the Legislative Auditor or the State Auditor as appropriate, for a minimum of six yeazs The SPPR will be responsible for any costs associated with the petformance of the audi� L MAINTENANCE. The SPPR assumes full responsibility for the operation and maintenance of any facility constructed or improved under this Agteement. J. CLAIMS. The SPPR will pay any and all lawful claims arising out of or incidental to the performance of the Project work. The SPPR acknowledges that Ivfi�/DOT is acting only as the SPPR's agent for acceptance and disbursement of federal funds, and not as a principal or co-principal with respect to the Project. In all events, the SPPR will indemnify Mn/DOT and hold Mn/DOT l�arniless from any claims arising out of the Project. Agreemeni no. 93812 -6- D�I ��a- II. DUTIES OF Mi�JDOT. A. ACCEPTANCE. Mn/DOT accepu designation as Agent of the SPPR for the receipt and disbursement of federal fixnds and will act in accordance herewith. B. PROJECT ACTIVITIES. 1. 1VIn/DO"T will make the necessazy requests to the FHVJA for authorization to use federal funds for the Project, and for reimbursement of eligible costs pursuant to the terms of this agreement. 2. Mv/DOT will provide to the SPPR copies of the required Federal-aid clauses to be included in the proposal solicitation and will provide the required Federal-aid provisions to be included in the Proposal. 3. Mn/DOT will review and certify the DBE participation and notify the SPPR when certification is complete. If certification of DBE participation (or good faith efforts to achieve such participation) cannot be obtained, then SPPR must decide whether to proceed with awarding the contract. Failure to obtain such certification will resuit in the project becoming ineligible for federal assistance, and the SPPR must make up any shortfall. 4. Mn/DOT will provide the required labor postings. C. PAYMENTS. 1. Mn/DOT will receive the federal funds to be paid by the FHWA for the Project, pursuant to Minnesota Statutes § 16136, Subdivision 2. 2. MnfDOT will review and certify each partial pay request. Following certification of the partial estimate, Mn/DOT will reimburse the SPPR, from said £ederal funds made available to the Project, for each partial payment requesY, subject to the availability and limits of those funds. 3. Upon completion of the Project, the SPPR will prepare a final payment request in accordance with the terms of this agreement. Mn/DOT will review and certify the final payment request with a final audit. 4. In the event Mn/DOT does not obtain funding from the FHWA or other funding source, or funding cannot be continued at a sufficient level to allow for the processing of the federal aid reunbursement requests, the SPPR may continue the work with local funds only, until such time as Mn/DOT is able to process the federal aid reimbursement requests. The SPPR will make available a11 books, records, and documenfis perta.ining to the work hereunder, for a minimum of seven years following the closing of the construcrion contract. III. TORT LIABILITY. Each parly is responsible for its own acts and omissions and the results thereof to the extent authorized by law and will noY be responsible for the acts and omissions of any others and the results thereof. The Minnesota Tort Claims Act, Minnesota Statutes Section 3.736, governs Mn/DOT liability. V. ASSIGNMENT. Neither party will assign or transfer any rights or obligations under this agreement without prior written approvai of the other party. VI. AMENDMENTS. Any amendments/supplements to this Agreement must be in writing and be executed by the same parties who executed the original agreement, or their successors in office. VII. TERM OF AGREEMENT. This agreement will be effective upon execution by the SPPR and by appropriate State officials, pursuant to Mivnesota Statutes Section 16C.05, and will remain in effect for five (5) yeazs from the effective date or until a11 obligations set forth in this agreement have been satisfactorily fulfilled, whichever occurs first. VIII. TERMINATION. This agreement may be terminated by the SPPR or Mn/DOT at any time, with or without cause, upon ninety (90) days written norice to the other party. Such termination will not remove any unfulfilled financial obligations of the SPPR as set forth in this Agreement. In the event of such a termination the SPPR will be entitled to reimbursement for Mn/DOT-approved federally eligible expenses incurred for work sarisfactorily performed on the Project to the date of termination subject-to the terms of this agreement.
