Wf�REAS, Como Pazk Zoo and Conservatory and Como Regional Pazk are regional attractions with annual esrimated
visitorslup of 2.> million, ovez 80% of which aze from outside of the City of Saint Paul, and
WHEREAS, development of an off-site pazldng and shuttle is an element of the Como Pazk Master Plan, as a method
to provide visitor's convenient access, reduce traffic and eliminate congesrion, and
WHEREAS, Independent School Dishict No. 625, (Saint Paul Public Schools) has agreed to allow use of its property at
1430 Como Avenue as a pazking site for a seasonal shuttle service, the details zelated to such use sripulated in a proposed
agreement, now, therefore, be it
RESOLVED, that the Saint Paul City Council authorizes ciry officials and agents to enter into an agreement with Saint
Paul Public Schools to use theu properry at 193� Como as a location for off site parking for visitors to Como Regional Pazk,
and, be it
FURTHER RESOLVED, ffiat the City Council agees to indemnify, defend and hold harznless Saint Paul Public
Schools from any and all claims made against it involving in any way the Ciry's use of the property and operarion of the shuttle
service resulfing from this agreement.

Como Park Zoo and Conseroatory and Como Regional Pazk aze regional attracrions visited by 2.5 million persons annually. The
Pazk's existing 1,382 parking stalls aze not adequate during periods of peak use. Dedicaring park space that is presently greenspace
for use as surface pazking is generally not accepted as a preferred akemative. The Como Pazk Master Plan calls for pazking shuttles.
Pazks andRecreation pxeviously secured Federal appropriafion to develop a shuttle program.

An important step towards offering an off-site parking and shuttle program in 2009 will be accomplished. A key Master Plan element
will be addressed. Parking and conjestion issues affecring visitors and neighbors should be measureably lessened.

municipal corporation.
OVERFLOW PARKING AGREEMENT
WHEREAS, Independent School District No. 625 a/k/a/ Saint Paul Public Schools
(hereinafrer'�District'� owns and operates for its employees a parking lot adjacent to its
District Service Center located at 1430 Como Avenue in the City of Saint Paul,
Minnesota; and
WHEREAS, City of Saint Paul (hereinafter °City'� desires to utilize District's
parking lot for overflow parking for patrons of City`s Como Park and operate a shuttle
service between District`s parking lot and Ciry's Como Park for such patrons; and
WHEREAS, District and City wish to implement the foregoing upon the following
terms and conditions;
NOW, THEREFORE, in consideration of the sum of One Dollar and other good
and valuable consideration paid to it by City, the receipt and sufficiency of which is
acknowledged by District, it is hereby agreed by District and Ciry as follows:
1. District grants City the exclusive right to allow access to District's parking
lot by patrons of City's Como Park on Saturdays and Sundays during the term of this
Agreement (excepting therefrom the Saturdays and Sundays during the Minnesota
State Fair).
a. As used herein the term "parking lot" shall mean the parking lot
adjacent to DistricYs Service Center located at 1930 Como Avenue,
Saint Paul, Minnesota consisting oniy of that portion of the parking
lot on the north side of the Service Center building adjacent to the
drive and that portion of the parking lot on the west side of the
Service Center Buifding. The southeast portion of the parking lot,
which is enclosed by chain link fence and gates, will not be
available to City hereunder nor will parking on lawn area or under
the University of Minnesota Transitway be allowed hereunder. The
foregoing is depicted on the attached drawing.
2. The term of this Agreement shall be July 16, 2008 through September 30,
2008. Ciry may renew this Agreement for the period April 1, Z009 through September
30, 2009 by giving District written notice thereof by )anuary 1, 2009. City may likewise

notice thereaf by January 1, 2010.

3. City may provide shuttle service between the parking lot and its Como
Park via shuttle buses provided by or through City. In connection with said shuttle
service, City may at its sole wst and expense erect a bus shelter, sub}ect to District's
prior approval of design and location, and at the expiration of this Agreement City shall
at its sole cost and expense remove said bus shelter and restore District's premises
upon which the bus shelter was located to the condition in which said premises were in
prior to erection of such bus shelter. In addition, if City desires to provide electric light
to such bus sheiter it may do so at its sole cost and expense via overhead connection.

5.
City may not charge a fee for Como Park patrons' use of the parking lot.
Neither City nor District may assign this Agreement.
6. City shati at its sole cost and expense remove all vehicles utilizing the
parking lot on Saturdays and Sundays by 6:00 a.m. on Monday following each such
Sunday.
7. City accepts the parking fot in °as is" condition without any obligation of
District to repair or maintain the parking lot.
8. City does hereby agree to indemnify, defend and save harmless District
from any and all claims made against District involving in any way City's operation of
the parking lot and shuttle service under this Agreement.

Attached is a resolution that authorizes an agreement between the City and Saint Paul Pubiic
Schoois to use a school parking lot at 1930 Como as an offsite parking location for Como visitors.
The agreement, which is an important component of the pianned Como Circulator program,
requires the City to pay $1 for the use of the property in return for weekend use of the Iot. OK to
sign.
