WITEREAS, the City is presently undertaking various studies regazding the reuse of the Ford Motor
Company's Saint Paul Assembly Plant site and has established a Saint Paul Fard Site Sustainable
Redevelopment Team whose purpose is to idenrify, research, and move forwazd a sustainable
redevelopment platform for reuse of the plant site; and
6 WHEREAS, the Minnesota Pollution Control Agency (the "MPCA") has agreed to enter into a Crrant
7 Contract Agreement with the City in order to assist the City with low impact development projects for
8 sustainable brownfield redevelopment at the plant site; and

WHEREAS, under the terms of the said Grant Contract, MPCA will provide the City with up to $45,000
to assist the City with moving its sustainable redevelopment platform for the Ford site forwazd by, among
other things, conducting a feasibility study related to storm water management for the plant site through the
collection and organization of background data and the preparation of an Interim Report and a Final
Project Report as specified in the said Grant Contract and its Attachment "A," a copy of which is attached
hereto and incorporated herein by reference; and
WHEREAS, paragraph 9 of the said Grant Contract Agreement contains an indexnnification clause
whereby the City will "indemnify, save, and hold the State, its agents, and employees hannless from any
claims or causes of action, including attorneys' fees incurred by the State, arising from the performance of
this grant contract by the grantee or the grantee's agents or employees: '; and
WIIEREAS, the contract language has been reviewed by the City Attorney's and they have agreed that the
indemnification language is standazd and recommend its approval; NOW, THEREFORE,
BE IT RESOLVED, that the Council of the City of Saint Paul hereby authorizes appropriate City officials
to accept the indemnification clause contained in the MPCA Grant Contract, which will be used for the
purposes of identifying, researching and moving forwazd a sustainable redevelopment platform for the
Ford Motor Company's Saint Paul Assembly Plant site.

The MPCA is awazding 2 grants to PED to assist in planning for sustainable redevelopment of the Ford site. In order to meet the
MPCA grant deadline of 6/30/OS, the City Counci] must approve a resolution agreeing to the indemnifcation clasue contained in the
grant contracts. A budget admendment accepting the MPCA grants will be brought [o Council on 7/2/08.
