REQUESTING AGENCY shall: Facilities Rules and Renulations Please provide your caterer choice from the University approved list This information must be provided 30 (thirty) days prior to the event to avoid cancellation Write N/A if food/beverage will not be served at this event II. CONSIDERATION AND TERMS OF PAYMENT. A. Consideration for all services performed by the PROVIDING AGENCY pursuant to this Agreement shall be paid by the REQUESTING AGENCY as follows: Fees Spacefee $200.00 Janitorial/Set-up Group will use the space as it is not set-up required. B. Terms of Pavment. Payment shall be made by the REQLTESTING AGENCY 30 davs after the PROVIDING AGENCY has presented invoices for services performed to REQLTESTING AGENCY. III. CONDITIONS OP PAYMENT. All services provided by the PROVIDING AGENCY pursuant to this Agreement shall be performed to the satisfac[ion of the REQUESTING AGENCY, as determined at the sole discretion of its Authorized Representative. b� � �t ��1 IV. TERMS OF AGREEMENT. This agreement shall be effective Aori19. 2008, or upon the date that the final required signature is obtained by the PROVIDING AGENCY, whichever occurs later, and shall remain in effect until Anri19, 2008 or until all obligations set forth in this Agreement have been satisfactorily fulfilled, whichever occurs £ust. V. CANCELLATION. This Ageement may be cancelled by the REQLTESTING AGENCY or the PROVIDING AGENCY at any time, with or without cause, upon thirty (30) days written notice to the other party. In the event of such a cancellation, the PROVIDING AGENCY shall be entitled to payment, determined on a pro rata basis, for work or services sarisfactorily performed. VI. AUTAORIZED REPRESENTATIVES. VTII. ASSIGNMENT. Neither the PROVIDING AGENCY nor the REQUESTING AGENCY shall neither assign nor transfer any rights or obligations under this Agreement without the prior wntten consent of the other party. IX. AMENDMENTS. Any amendments to this Agreement shall be in writing, and shall be executed by the same parties who executed the original agreement, or their successors in office. X LTABII,ITY. Each pazty will be responsible for its own acts and the results thereof to the extent authorized by law and shall not be responsible for the acts of any others and tberesults thereo£ The PROVIDING AGENCY and the IiEQUESTING AGENCY liabilities shall be governed by the provisions of the Minnesota Tor[ Claims Act, Minnesota Statutes, Chapter 3.376, and other applicable law. XI. OWNERSHIP OF MA1'ERIALS AND INTELLECTUAL PROPERTY RIGHTS. A. The REQL7ESTING AGENCY shall own all rights, litle and interest in all of the materials conceived or created by the PROVIDING AGENCY, or its employees or subcontractors, erther individually or joinfly with others and which arise out of [he performance of this Agreement, including any inventions, reports, studies, designs, drawings, specif cations, notes, documents, software and documentation, coinputer based training modules, electronically, magnetically or d�gitally recorded material, and other work in whatever form (° MATERIAL,S"). The PROVIDING AGENCY hereby assigns to the REQLJESTING AGENCY atl rights, tiUe and interest to the MAT'ERIALS. The PROVIDING AGENCY shall, upon request of the REQLJESTING AGENCY, execute all papers and perform all o[her acts necessary to assist the REQUESTING AGENCY to obtain and register copyrights, patents or other forms of proteclion provided by ]aw for the MATERIALS. The MATERIALS created under this Agreement by the PROVIDING AGENCY, its employees or subcontractors, individually or jointly with others, shall be considered "works made for hire" as defined by the United States Copyright Act. All of the MATERIALS, whether in paper, electronic, or other forzn, shall be remitted to the REQUESTING AGENCY by the PROVIDING AGENCY, its employees and any subcontractors and the PROVIDING AGENCY, shall not copy, reproduce, allow or cause to have the MATERIALS copied, reproduced or used for any purpose other than performance of the PROVIDING AGENCY'S obligations under this Agreement without the prior written consent of the REQLTESTING AGENCY'S Authorized Representative. B. The PROVIDING AGENCY represents and warrants that MATERIALS produced or used under this Agreement do not and will not infringe upon any intellectual property rights of another, includmg but not limited to patents, copyrights, trade secrets, h'ade names, and service mazks and names. XII. PUBLICITY. Any publicity given the progam, publications, or services provided resui8ng from this Agreement, including, but not limited to, notices, informational pamphlets, press releases, reseazch, reports, signs, and similaz public notices prepared by or for the PROVIDING AGENCY ar its employees individually orjoinUy with o[hers, or 2 . � �� � any subcontractors shall idenufy the REQUESTING AGENCY as the sponsoring agency and shall not be released prior to approval by the REQLJESTING AGENCY'S authorized representative. XIII. OTHER PROVISIONS. Access/Eeress: LoadingJUnloadine @ Metropolitan State Universiri. Licensee is �anted normal access and egess to the Space tfirougfi public entries/exits adjacent to those areas of pernutted use. Licensee and/or fheir agent aze not permitt� to drive vehicles on walkways and/or plaza azeas without written pemeission from Licensor's authorized agent. Licensee, by signature on this agreement, acknowledges, accepts and a�ees to abide by these requuements. Failure to comply with loading/unlaading restricfions may result in Licensee being fined $1,000, immediate cancellation of permitted use, payment of all damages associated with unauthorized use and/or forfeiture of future space use privileges. It is desib ed to offer Ciry residents the opporiunity to discuss experiences with and expectations for the Police department. The cost of renting this space is $20� and will be pazd from the department's 2008 budget. This proposal seems reasonable and I recommend signing. Chris 4/28/08
